Academic Licence definition

Academic Licence. The use of this Academic Licence is limited to education and research purposes only and comes with absolutely no warranty. The Client must be an entity specialized in education and research in order to benefit of the Academic Licence. The Client asks for an Academic Licence on the website xxx.xxxxxxxxxxx.xxx and the Licensor decides, on his own discretion, if he grants the Academic Licence or not. The Academic Licence is free when limited to 1 computer and 1 simultaneous usage. Except this case, Licence Fees shall be paid by the Client to the Licensor. The Licence Key will be sent to the Client after receipt of the Purchase Order by the Client and payment of the Licence Fees. Any commercial use is strictly prohibited. Only strictly personal use is authorized. Using the software (whether or not for a fee) for the benefit of any other entity is forbidden to the Client regardless of the commercial or non- commercial nature of this entity.
Academic Licence means a License used for the purposes described in clause 3.
Academic Licence means the right to practice the Licensed Patents for any Non-Profit Research, including research and teaching purposes and sponsored research and collaborations. Affiliate means - with respect to any individual or legal entity- any entity that controls, is controlled by or is under common control with such first entity. For purposes of this definition only, “control” means (a) to possess, directly or indirectly, the power to direct the management or policies of a entity, whether through ownership of voting securities, by contract relating to voting rights or corporate governance, or (b) to own, directly or indirectly, more than fifty percent (50%) of the outstanding voting securities or other ownership interest of such entity; Agreement refers to the present agreement concluded between Parties, including all annexes thereto; Annex means any annex to this Agreement;

Academic Licence. An academic licence (e.g. delivered as a "university edition") only allows the Customer, such as universities or other educational establishments, to use the Products solely for teaching, learning and non- profit research on the following basis and the following conditions apply:
Academic Licence means a licence granted by Leximancer to the Client to utilise the Licensed Software in accordance with the terms of this agreement and only for academic research purposes and not for any Commercial Purpose. Access means a grant of access to the Client for it to use the Licensed Software on the terms specified in these Leximancer Software Terms.
Academic Licence means the right to practice the Licensed Patents for any Non-Profit Research, including research and teaching purposes and sponsored research and collaborations.
Academic Licence enables the use of ADTF for development activities, as a single-user license within universities and for students exclusively for noncommercial purposes only.
Academic Licence means a licence designed for universities, schools, or other legal entities specialised in training or teaching (whether free or for profit), and is based on the following principles. The access to the Software will be restricted to unlimited number of Authorised Users (whether part of staff of the Licensee or students) and unlimited number of Build Servers of the Licensee placed on site(s) owned or rented by the Licensee, provided that the Software is used solely for the purpose of teaching or training. The Academic Licence does not allow for general commercial use of the product by the Licensee, such as development of production software. The Academic License shall be non-transferable.

B "Affiliate" of a company means any person or other entity directly or indirectly controlling, controlled by, or under common control of such company. A joint venture shall not be considered an Affiliate of either party. 'control' in this context means having the direct or indirect ownership or control of the voting rights attached to more than 50% of the issued ordinary share capital of an entity, or the ability to control directly or indirectly the appointment of a majority of the board of management of an entity.
