Adjusted Option Price definition

Adjusted Option Price means the product of (x) nine (9) times (y) the average of Pre-Tax Income for the most recent trailing twelve (12) quarters ending prior to the date of the Option Closing times (z) the Class B Member’s Ownership Percentage Interest of the Company. In the event Xxxxxxx X. Xxxxx’x employment with the Company is terminated after the first month of any quarter, such quarter shall be included in the twelve quarters preceding the date of the Option Closing for the purpose of calculating the Adjusted Option Price. In the event Xxxxxxx X. Xxxxx’x employment is terminated prior to the date which is twelve (12) quarters from the Closing Date, the period of time set forth in (y) above shall be the most recent trailing twelve (12) months ending prior to the date of the Option Closing.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.
