Approved Transmission Means definition

Approved Transmission Means means the Encrypted delivery via Streaming of audio-visual content over the public, free to the consumer (other than a common carrier/ISP charge) global network of interconnected networks (including the so-called Internet, Internet2 and World Wide Web) using technology currently known as Internet Protocol (“IP”), whether transmitted over cable, DTH, FTTH, ADSL/DSL, broadband over power lines or other means (“Internet”). For the avoidance of doubt, “Approved Transmission Means” shall not include delivery over any so-called “walled garden” or closed, subscriber-based ADSL/DSL, cable or FTTH service or system, or Viral Distribution.
Approved Transmission Means means, subject to the last sentence hereof, the Transmission via Electronic Downloading and/or Streaming of audio-visual content to one (1) Approved Device over the public, free-to-the-consumer (other than any common carrier/ISP charges or similar charges) global network of interconnected networks (including the so-called Internet, Internet2 and World Wide Web) using technology that is currently known as Internet Protocol (“IP”), whether transmitted over cable, DTH, FTTH, ADSL/DSL, Broadband over Power Lines or other means (the “Internet”). For the avoidance of doubt, “Approved Transmission Means” shall not include delivery over any so-called “walled garden” or closed ADSL/DSL, cable or FTTH service or other subscriber-based system or service. For clarity, Licensor acknowledges that as of the Effective Date, the Licensed Service is not delivered via any so-called “walled garden” or closed ADSL/DSL, cable or FTTH service or other subscriber- based system or service. “Approved Transmission Means” does not include any means of Viral Distribution and such transmission means may only be enabled upon Licensor’s prior written approval of the applicable implementation and technology; it being understood that such approval is not currently given by Licensor.
Approved Transmission Means means the Encrypted delivery via Streaming or Electronic Download of audio-visual content via Traditional Means and Non-Traditional Means. Approved Transmission Means does not include delivery via Viral Distribution.

Examples of Approved Transmission Means in a sentence

  • Without limiting the generality of the foregoing, no Included Program shall be exhibited or transmitted by Licensee to any person other than to an Authorized Subscriber within the Territory during the Term as part of a Licensed Service in the medium of Subscription Video-On-Demand, or transmitted other than by an Approved Transmission Means in an Approved Format to Approved Devices for Permitted Use.

  • Withdrawal may, as specified by Licensor, apply to all features and functionalities licensed pursuant to this Agreement with respect to the withdrawn Included Program or only to certain portions of such features and functionalities with respect to the withdrawn Included Program.; provided, that such Included Program in each case is removed from all Other SVOD Distributors for the same or similar Approved Transmission Means to which the reason for such removal is applicable.

  • Without limiting the foregoing, each such transmission of an Included Program shall be solely by the Approved Transmission Means, in an Approved Format to an Authorized Subscriber’s Approved DeviceDevices located in the Territory for exhibition on each such Approved Device and/or its associated video monitor or television set, in compliance with the Usage Rules, in a format designed for viewing on such Approved Device and/or its associated video monitor or television set..

  • With respect to the transmission of Included Programs via Approved Transmission Means other than Traditional System Means and the exhibition of Included Programs on Authorized Devices connected thereto, Licensee shall at all times utilize content protection and DRM standards no less stringent or robust than the standardsstrictly comply with the Content Protection Requirements and Obligations attached hereto as Schedule B and incorporated herein by this reference.


More Definitions of Approved Transmission Means

Approved Transmission Means means (i) for Approved Set-Top Boxes, the Encrypted deliverytransmission of audio-visual content via Streaming to an Approved Set-Top Box by means of closed system via wireline (including without limitation, copper wire and/or, fiber optic cable and/or closed system IP/DSL network infrastructure (including ADSL/ADSL 2+/FTTH technologies))) located solely within the Territory and in each case wholly owned and, operated and/or controlled by Licensee (but not, for the avoidance of doubt over the Internet (as defined below));))(“Traditional System Means”); and (ii) for all other Approved Devices, the Encrypted deliverytransmission of audio-visual content via Streaming or (as applicable) temporary downloading or Electronic Downloading over the global, public network of interconnected networks (including the so-called Internet, Internet2 and World Wide Web), each using technology which is currently known as Internet Protocol (“IP”), free to the consumer (other than a common carrier/ISP access charge), whether transmitted over cable, DTH, FTTH, ADSL/DSL, Broadband over Power Lines (“BPL”)wireline, wireless or other means (the “Internet”). For the avoidance of doubt, an in-home network (whether via wireless, wireline or otherwise), shall be deemed to be included as an Approved Transmission Means shall not includehereunder (including as part of the Traditional System Means, if the home network’s initial receiving device received the MVPD Licensed Service via Traditional System Means). For purposes of this definition, any means of Viral Distribution shall be deemed not to be Approved Transmission Means.
Approved Transmission Means means the delivery of audio-visual content (a) via Electronic Downloading to a Downloading Device over the public, free to the consumer (other than a common carrier/ISP access charge) network of interconnected networks (including the so-called Internet, Internet2 and World Wide Web), each using technology that is currently known as Internet Protocol (“IP”), whether transmitted over cable, DTH, FTTH, ADSL/DSL, Broadband over Power Lines or other means (the “Internet”); (b) with Licensor’s prior written approval, which may be given or withheld in Licensor’s sole discretion on a system-by-system basis, for downloading on a Downloading Device over a closed distribution network or networks (including a subscription service that offers programming not generally available on the World Wide Web or a so-called “walled garden” or closed ADSL/DSL, cable or FTTH service), each using IP technology, whether transmitted over cable, DTH, FTTH, ADSL/DSL, BPL or other means (“Closed System”); and (c) via Streaming to Streaming Devices only, of audio-visual content transmitted over the Internet using IP technology. “Approved Transmission Means” does not include (i) any means of Viral Distribution and such transmission means may only be enabled upon Licensor’s prior written approval of the applicable implementation and technology; it being understood that such approval is not currently given by Licensor or (ii) Side Loading. Provided that such methods comply with the provisions of this Agreement, including without limitation the Content Protection Requirements set forth in Schedules B-2 and C-3, “Approved Transmission Means” may include “push download” (download initiated by Licensee rather than Customer of encrypted files to Customers in anticipation of Customer Transactions over Approved Transmission Means) and/or “pre-ordering” (download requested of a file of an Included Program by a Customer prior to the Availability Date of an Included Program) provided that, in each case, such file cannot be decrypted or otherwise viewed prior to: (y) the Availability Date for each such Included Program and (z) the completion of a Customer Transaction in respect thereof, subject to Licensor’s reasonable verification of the implementation process thereof; and, provided further, that such push downloading or pre- ordering is otherwise in compliance with this Agreement.

Approved Transmission Means means the Encrypted delivery via [Streaming/Push Download/Electronic Download] of audio-visual content over [(i) the Approved Closed Systems to an Approved Set-Top Box (“Closed System Delivery”), (ii) the Approved Mobile Networks to Approved Mobile Phones and Approved Tablets (“Mobile Delivery”) and (iii) the Internet to Approved Connected Televisions, Approved Mobile Phones, Approved Tablets, Approved Blu-ray Players, Approved Game Consoles and Approved Personal Computers (“Internet Delivery”)]. Approved Transmission Means do not include delivery via Viral Distribution.10
