ArQule Derivative Compound definition

ArQule Derivative Compound means a Derivative Compound synthesized by ArQule from an ArQule Compound under the Directed Array(TM) Program described in Section 3.3.
ArQule Derivative Compound means a chemical compound generated by ArQule for Abbott or by Abbott, its Affiliates or contractors by use of chemical modification methods from an ArQule Core Compound.
ArQule Derivative Compound means a Derivative Compound synthesized by ArQule from an ArQule Compound under the Directed Array™ Program described in Section 3.3.

  • ArQule and Monsanto will jointly own any Patent Rights applied for or obtained by either Party covering any method of making or using any ArQule Compound, ArQule Derivative Compound, Monsanto Compound or Monsanto Derivative Compound where such method is invented jointly by Monsanto and ArQule.

  • ArQule will solely own any Patent Rights applied for or obtained by either Party covering (i) ArQule Compounds or ArQule Derivative Compounds not owned by Monsanto pursuant to 5.1(a), or (ii) any method of making or using any ArQule Compound, ArQule Derivative Compound, Monsanto Compound or Monsanto Derivative Compound where such method is invented solely by ArQule.

  • With respect to infringement of any Sankyo Patent Right claiming the composition or use of a Licensed Compound, ArQule Derivative Compound, or Royalty-Bearing Product, Sankyo shall have the primary right, but not the obligation, to enforce such Patent Right under its sole control and at its sole expense.

  • With respect to infringement of any Solvay Patent Right or any ArQule Patent Right or Joint Patent Right exclusively licensed to Solvay claiming the composition or use of a Licensed Compound, ArQule Derivative Compound, or Royalty-Bearing Product, Solvay shall have the primary right, but not the obligation, to enforce such Patent Right under its sole control and at its sole expense.

  • The Parties intend that ArQule will produce approximately [ ]* of each ArQule Derivative Compound in the Directed Arrays, subject to the availability of the original Monsanto Compounds and/or the ArQule Compounds; PROVIDED, HOWEVER that the amount of each ArQule Derivative Compound that ArQule actually produces will ultimately be determined by the Research Committee.

  • If a Royalty-Bearing Product contains a compound discovered or designed by Solvay directly as a result of information obtained by Solvay under the MA Program or DA Program from (a) one or more Solvay Derivative Compounds under this Agreement and (b) a Licensed Compound, ArQule Derivative Compound, or Solvay Derivative Compound under the Prior Agreement (such that the Royalty-Bearing Product could fall within clause (i) or clause (ii) above), then the higher royalty rate shall apply.

  • Monsanto will solely own any Patent Rights filed by either Party covering any method of making or using any ArQule Compound, ArQule Derivative Compound, Monsanto Compound or Monsanto Derivative Compound where such method is invented solely by Monsanto.

  • During the term of the Directed Array™ Program, any ArQule Derivative Compound and any Wyeth-Ayerst Derivative Compound selected for resynthesis pursuant to this Agreement shall be reproducible by ArQule in quantities of at least * or such other reasonable quantity as determined by the Research Committee.

  • If a Royalty-Bearing Product contains a compound discovered or designed by Solvay directly as a result of information obtained by Solvay under the MA Program or DA Program from (a) one or more Solvay Derivative Compounds under this Agreement and (b) a Licensed Compound, ArQule Derivative Compound, or Solvay Derivative Compound under the Prior Agreement (such that the Royalty-Bearing Product could fall within clause (i) or clause (ii) above), then the higher milestone payments shall apply.

  • The Parties also intend that ArQule will produce approximately twenty (20) milligrams of each ArQule Derivative Compound and/or Sankyo Derivative Compound in the Directed Arrays (tm), subject to the availability of the original Sankyo Compounds and/or the ArQule Compounds; provided, however, that the amount of each ArQule Derivative Compound and/or Sankyo Derivative Compound that ArQule actually produces will ultimately be determined by the Steering Committee.
