Authorized Instruction definition

Authorized Instruction means a written, oral or electronic communication accepted by Custodian in good faith that has been transmitted subject to, and in accordance with, the Security Procedures or by such other method as may be acceptable to, and approved in writing by, each of Custodian and Client.
Authorized Instruction means any instruction, order or request received by RBCIS from an Authorized Person (including but not limited to a Standing Mandate Trade Instruction);
Authorized Instruction means a direction and instruction from an Authorized Party to the FOUNDATION with respect to the investment or withdrawal of funds comprising the Investor’s Custodial Account;

  • The Custodian shall not be required to follow any Authorized Instruction that would violate any applicable law, decree, regulation or order of any government or governmental body (including any court or tribunal) or that would be contrary to any provision of this Agreement.

  • Upon the receipt of Authorized Instructions from the Client, the Custodian shall establish and maintain one or more segregated accounts for purposes of segregating securities or cash for the purpose or purposes specified in the applicable Authorized Instruction.

  • For greater certainty, RBCIS is not obligated to act upon any Authorized Instruction and, notwithstanding any provision herein to the contrary, shall have the sole discretion to act upon the Authorized Instructions.

  • Notwithstanding the foregoing, an Authorized Instruction to cancel, revoke, amend or otherwise supersede a prior Authorized Instruction may be ineffective should RBCIS already have acted, in any way, on such previous Authorized Instruction.

  • The Customer understands that it may revoke this standing Authorized Instruction (which revocation shall be made in writing) without affecting its overall Standing Mandate Trading Instruction.

More Definitions of Authorized Instruction

Authorized Instruction or "Authorized Instructions" means a written or oral request or direction by the Trust, pursuant to and consistent with this Agreement, made by any one or more Authorized Persons. Unless a Written Instruction is required by this Agreement or any other agreement between the parties, an Authorized Instruction may be oral, but only if the Custodian reasonably and in good faith believes that the oral instruction has been given by an Authorized Person. Any Officers' Certificate also constitutes an Authorized Instruction.

Authorized Instruction means (i) a request, direction, notice or certification from any Authorized Person to the Bank in writing or via telephone, TWX, facsimile transmission, bank wire, the Bank's Securities InfoCash or Customer Data Entry System or other teleprocess or electronic instruction system acceptable to the Bank which the Bank believes in good faith to have been given by an Authorized Person or which is transmitted with proper testing or authentication pursuant to terms and conditions which the Bank may specify or (ii) a DTC Instruction (as defined in paragraph D of this Section 1). An Authorized Instruction given by telephone shall be confirmed by an Authorized Person within twenty four hours thereafter in writing or by facsimile transmission. The Trust shall safeguard any testkeys, identification codes or other security devices which the Bank shall make available to it and shall hold the Bank harmless from any loss incurred by the Trust except to the extent that such loss resulted from negligent action, negligent failure to act or willful misconduct of the Bank or any of its nominees, agents or subcustodians in allowing the use of such security device by an unauthorized person. The Bank may electronically record any telephone discussions with respect to the securities and cash held pursuant to this Agreement.
Authorized Instruction means a message or instruction (which may be in electronic form), in the prescribed format, containing the information and meeting the other requirements specified by Citcon from time to time, from Merchant to Citcon requesting Citcon to execute an Outward Payment.
