Authorized Signers definition

Authorized Signers means each of the officers of Seller listed on Schedule II or otherwise designated by the officer of Seller who is Seller’s administrator with respect to Mortgage Finance Online, as such schedule may be updated by Seller from time to time with prior written notice to Buyer.
Authorized Signers have the authority: to sign the Agreement, any Request and Implementation Forms and any addenda thereof; to accept on behalf of Client the terms and conditions governing the use of Services, including acceptance of Security Procedures (as defined below); to enroll in Services; to appoint and remove Administrators (as defined below); to appoint and remove Users (as defined below); to provide the required information to set up and administer Services; to perform the functions of an Administrator or User; to authorize and remove the authorization of individual Users; and to perform transactions related to any Service hereunder.
Authorized Signers. You may give one or more other persons the authority to write checks, withdraw funds and otherwise conduct transactions with respect to your account by designating those persons as authorized signers on the signature card or on a separate written authorization form that is acceptable to us. While authorized signers may conduct transactions with respect to your account, they do not have any ownership interest in your account. You hereby consent for us to release any information and documents concerning the account to any person you have authorized to sign checks and you hereby waive the Oklahoma Financial Privacy Act as to all owners and the persons authorized as signers on your account. You agree to be liable for all transactions conducted with respect to your account by any authorized signer. You also agree that we are not required to monitor transactions conducted by you or any authorized signer and that we will not be liable for the misapplication of any funds from your account by any authorized signer. Authorized signer’s rights cease upon death of a single owner of an account or the death of the last joint owner of the account. CUSTOMER IDENTIFICATION: As required by federal statute and regulation and by Legacy policy, Legacy may require and may verify certain information regarding individuals at account opening and as otherwise deemed necessary. This information may include complete customer name, residential or business address, mailing address if different, tax payer identification number, date of birth, government issued photo identification, and other information as may be required by government laws or regulations or as may be deemed appropriate to verify the identity of the customer. This information may be required for all individuals owning the account, acting as agent on behalf of the account owner, or otherwise associated with the account regardless of manner. Account access or proceeds of accounts opened without required information or subject to information verification may be restricted until such information is obtained and/or verified. You agree that Legacy may close an account at any time for any reason or no reason at all.

Authorized Signers. If you establish your account with authorized signers, or you subsequently appoint any authorized signers, you understand and agree that the credit union will not at any time be liable for the actions of such authorized signers and/or be obligated to ensure that their actions are in accordance with any instructions you have provided to them. Paragraph 101 et seq.), as amended by the Bankruptcy Reform Act and as further amended from time to time, or any successor statute. “Bankruptcy Reform Act” means the Bankruptcy Abuse Prevention and Consumer Protection Act of 2005, effective as of October 17, 2005. “Blanket Bond and E&O Required Endorsement” means endorsement of Seller’s mortgage banker’s blanket bond insurance policies to (i) provide that for any loss affecting Buyer’s interest, Buyer will be named on the loss payable draft as its interest may appear and (ii) provide Buyer access to coverage under the theft of secondary market institution’s money or collateral clause of such banker’s blanket bond insurance policy. “Business Day” means a day (other than a Saturday or Sunday) when (i) banks in Dallas, Texas are generally open for commercial banking business and (ii) federal funds wire transfers can be made. “Cash Equivalents” means any of the following: (a) marketable direct obligations issued by, or unconditionally guaranteed by, the United States Government or issued by any agency thereof and backed by the full faith and credit of the United States, in each case maturing within three (3) months or less after the date of the applicable financial statement reporting such amounts; and (b) certificates of deposit, time deposits, or overnight bank deposits, issued by any commercial bank organized under the laws of the United States, or any state thereof, whose deposits are insured by the FDIC. “Cash Pledge Account” means, if required by ▇▇▇▇▇, the blocked Seller’s account (under the sole dominion and control of Buyer) with NexBank styled as follows: Altisource Asset Management Corporation NexBank Bank Secured Party
