Barred Person definition

Barred Person means (i) any person, group or entity named as a “Specially Designated National and Blocked Person” or as a person who commits, threatens to commit, supports, or is associated with terrorism as designated by the United States Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), (ii) any person, group or entity named in the lists maintained by the United States Department of Commerce (Denied Persons and Entities), (iii) any government or citizen of any country that is subject to a United States Embargo identified in regulations promulgated by OFAC and (iv) any person, group or entity named as a denied or blocked person or terrorist in any other list maintained by any agency of the United States government.
Barred Person means any Person with whom a U.S. Person is barred from transacting business under U.S. law, including but not limited to (i) Persons identified as specially designated terrorists, narcotics traffickers, or blocked Persons by the U.S. Government on the “Specially Designated Nationals and Blocked Persons List” maintained by the U.S. Treasury Department; and (ii) Persons that are citizens of or organized or domiciled or resident in countries subject to U.S. economic embargo restrictions and thereby barred from transactions with U.S. Persons. “U.S. Person” means a person, that is a citizen of or organized or domiciled or resident in the United States. “Owned or Controlled” and variations thereof mean a direct or indirect interest in the Entity in question, including but not limited to voting or non-voting equity, partnership, joint venture and other arrangements, and specifically including but not limited to (1) all members of limited liability companies, (2) all shareholders owning ten percent (10%) or more of the outstanding shares of corporations, measured on an aggregate and/or class- by-class basis, (3) all general partners of limited partnerships and general partnerships, (4) all limited partners owning ten percent (10%) or more of the outstanding limited partnership interests in limited partnerships, (5) all trustees and settlors of trusts, and (6) all beneficiaries owning ten percent (10%) or more of the beneficial interests in trusts.

  • It is illegal for a Barred Person to work or seek to work in Regulated Activity.

  • To be clear, nothing in the Bar Order precludes the rights of any Barred Person to assert claims, other than Barred Claims, against any Released Party.

Barred Person means: a “disqualified person”, or a person who is subject to an “interim bar”, under the CPWC Act; or a “registrable person” referred to in the Child Protection (Offenders Registration) Act 2000 (NSW). You agree to: identify and comply with Your statutory obligations when engaging others in "child-related work" (as defined in the CPWC Act); ensure that Your Personnel are aware of and comply with their own statutory obligations in relation to such "child-related work"; and ensure that You and Your Personnel do not engage in any conduct that may bring Us into disrepute or lead to Reputational Proceedings being commenced. You agree to give Us on request such information as We may reasonably require in order for Us to assess Your compliance with this clause 7.1. Objections to and removal of Personnel We may object to any Personnel allocated by You to provide the Services where such Personnel have engaged in misconduct or, We believe, cannot perform the inherent requirements of the Services. Where We make any such objection to Your Personnel: You agree not to allocate such Personnel to the Services; and We will consult with You about the objection. Without limiting any other term of the Agreement, We may require the immediate removal of Personnel from undertaking any function or role in relation to the Services where, in Our reasonable opinion, the Personnel represents an unacceptable risk to any person who receives the benefit of the Services. Subcontracting You agree not to subcontract the whole or any part of the Services without Our prior written consent. We may in Our discretion: approve or not approve the engagement of any subcontractor; and impose any conditions on Our approval of a subcontractor that We consider appropriate. You agree: that subcontracting of any part of the Services by You does not in any way reduce Your responsibility for those Services; You are liable for any subcontractor’s acts and omissions as if they were Your own; that any subcontract You enter into with a subcontractor in relation to the Services must be consistent with the Agreement; and to ensure that all subcontractors comply with the terms of the Agreement as if they were a party to it. We may at any time require You to immediately cease using any subcontractor on reasonable grounds by notice in writing to You and You agree to comply with any such notice.
