Canadian Employee Benefit Plan definition

Canadian Employee Benefit Plan means (a) any employee benefit plan that is maintained for the benefit of employees or former employees of the Borrower or any of its Domestic Subsidiaries registered in accordance with the ITA or other Applicable Law which the U.S. Borrower or any of its Subsidiaries sponsors, maintains, or to which it makes, is making, or is obligated to make, contributions or (b) any Canadian Pension Plan or Canadian Multiemployer Plan that has at any time within the preceding six (6) years been maintained for the employees of the U.S. Borrower or any of its Subsidiaries, and shall not include any Employee Benefit Plan.
Canadian Employee Benefit Plan means any Canadian Pension Plan or Canadian Multiemployer Plan.
Canadian Employee Benefit Plan means any employee benefit, pension, retirement or other equivalent or analogous plan or program established or maintained by the Borrower or any of its Canadian Subsidiaries.

  • There is no investigation by a Governmental Authority or claim (other than routine claims for payment of benefits) pending or, to the knowledge of a Canadian Credit Party, threatened involving any Canadian Employee Benefit Plan or its assets, and no facts exist which could reasonably be expected to give rise to any such investigation or claim (other than routine claims for payment of benefits) which if determined adversely, could reasonably be expected to have a Material Adverse Effect.

Canadian Employee Benefit Plan means each (i) equity compensation plan, (ii) deferred compensation, employment, retention, severance, change-in-control, bonus, incentive, pension, profit sharing, stock option, and retirement plan, policy, agreement, or arrangement, (iii) welfare or “fringe” benefits, including, without limitation vacation and other paid time off arrangement, disability, medical, hospitalization, dental, life and other insurance, tuition, company car, club dues, sick leave, maternity, paternity or family leave, health care reimbursement, dependent care assistance, cafeteria plan, regular in-kind gifts or other benefits, and (iv) any other compensatory or employee benefit plan, contract or arrangement which is currently sponsored or maintained by Asset Seller for any employee, independent contractor, officer or director of Asset Seller or with respect to which Asset Seller has any liability. Canadian Employee Benefit Plan does not include any statutory plans to which Asset Seller is obliged to contribute or comply with, including the Canada Pension Plan, Quebec Pension Plan and plans administered pursuant to applicable Canadian federal or provincial health, workplace safety and insurance or Employment Insurance legislation.
