Capital Expenditures Reserve Funds definition

Capital Expenditures Reserve Funds shall have the meaning set forth in Section 8.2 hereof.

If the context of this Agreement or Lender requires, Capital Expenditures shall also be calculated on an Individual Property basis. “Cash Management Account” shall have the meaning set forth in Section 8.1 hereof. “Cash Management Agreement” shall mean that certain Cash Management Agreement, dated as of the date hereof, executed by Xxxxxxxx, Lender and Cash Management Bank, as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time. “Cash Management Bank” shall mean PNC Bank, National Association. “Casualty” shall have the meaning set forth in Section 5.2. “Casualty and Condemnation Account” shall mean an Account into which any Net Proceeds collected after the occurrence of a Casualty or Condemnation, as required pursuant to Article 5 hereof, shall be deposited. “Casualty Consultant” shall have the meaning set forth in Section 5.4 hereof. “Change in Law” shall mean the occurrence, after the Closing Date, of any of the following: (i) the adoption or taking effect of any law, rule, regulation or treaty, (ii) any change in any law, rule, regulation or treaty or in the administration, interpretation, implementation or application thereof by any Governmental Authority or (iii) the making or issuance of any request, rule, guideline or directive (whether or not having the force of law) by any Governmental Authority. “Clearing Account” shall have the meaning set forth in Section 8.1 hereof. “Clearing Account Agreement” shall mean, each individually or collectively, as the context may require, those certain Deposit Account Control Agreements (Hard Agreement) by and among the applicable Borrower, Lender and PNC Bank, National Association dated as of the date hereof, as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time in accordance with the terms hereof. “CFIUS” shall mean (i) the Committee on Foreign Investment in the United States first established pursuant to Executive Order 11858 of May 7, 1975, and (ii) any replacement or successor thereto, including, without limitation, pursua...
Capital Expenditures Reserve Funds means, individually or collectively, as the case may be and the context so requires, the Hard Cost Reserve Funds and/or the Soft Cost Reserve Funds.

Examples of Capital Expenditures Reserve Funds in a sentence

  • The Capital Expenditures Reserve Funds shall be used to fund the costs of Capital Expenditures on Schedule XVII hereof (the “Required Capital Expenditures”); provided, however, Required Capital Expenditures shall not include expense items that otherwise would be expensed in the operating statements of the Properties pursuant to the Uniform System of Accounts.

  • Capital Expenditure Reserve means, on an annual basis, an amount equal to $0.15 per square foot for each property owned by a Borrower or the Parent (or a Subsidiary thereof).

  • Non-Financed Capital Expenditures means Capital Expenditures not financed by the seller of the capital asset, by a third party lender or by means of any extension of credit by Lender other than by means of an Advance under the Revolving Credit Facility.
