Central Services definition

Central Services means those Services included in Part 1 of Schedule B;
Central Services means those Merchant central administrative services necessary for the conduct and support of the Sale, including, but not limited to, use or and access to Merchant’s: (i) inventory control system, (ii) payroll system, (iii ) accounting system, (iv) office facilities, (v) central MIS and POS services, (vi) cash reconciliation, (vii) central administrative services and personnel to process and perform sales audit, banking, and other normal course administrative services customarily provided to or for the benefit of operating the Distribution Centers and/or the Stores, (viii) such other central office services reasonably necessary for the Sale, and (ix) use by Agent reasonably sized offices located at Merchant’s central office facility to effect the Sale.
Central Services means certain services which are provided to the Hotel Facility and Conference Center Facility by personnel who are employees of Management Company or one of its Affiliates and who are not normally located at the Hotel, including the following: executive supervision of food & beverage, rooms, marketing, engineering, human resources (excluding recruiting services), public relations, corporate accounting and financing; planning and policy making; trademark protection relating to Proprietary Marks; and certain product research and development. Any service which is defined as being included within the term "Group Services" shall not be included within "Central Services". The Central Services which are provided to the Hotel & Conference Center shall be generally consistent with those Central Services which are provided to other comparable hotels and conference centers managed by Management Company and its Affiliates.
