Costs of Delivery definition

Costs of Delivery means all items of expense directly or indirectly payable by or reimbursable to the City and related to the authorization, execution, sale and delivery of the Certificates, including bond insurance or other credit enhancement fees and expenses, advertising and printing costs, costs of preparation and reproduction of documents, title insurance fees, filing and recording fees, initial fees and charges of the Trustee, legal fees of parties to the transaction (including fees of Special Tax Counsel), initial fees and charges of the Escrow Agent and all other initial fees and disbursements contemplated by this Lease and the Declaration of Trust.
Costs of Delivery means the costs of insurance and transportation of the goods to the place of delivery;
Costs of Delivery means all reasonable transportation expenses, fuel charges, costs, deductions or other charges actually paid by or on behalf of Buyer or, where notional, representative of such charges which would have been reasonably incurred to deliver Gas from a Delivery Point to (a) a location directly on a mainline pipeline system or (b) an Aggregation Area, either of which is covered by an Index and subject to any applicable Index Price Adjustment. If the Delivery Point is at the mainline pipeline system or Aggregation Area, then the Costs of Delivery as defined herein shall be zero. Where the Costs of Delivery are notional, the Buyer shall, on or accompanying the statement provided pursuant to Section 8.2 hereof, so indicate and shall disclose the basis on which such Costs of Delivery are determined.

Costs of Delivery means all items of expense directly or indirectly payable by or reimbursable to the Lessee or the Lessor relating to the delivery of the Certificates, including but not limited to filing, recording and title insurance premiums and fees, settlement costs, printing costs, reproduction and binding costs, financing discounts, initial fees and charges of the Trustee (as Trustee hereunder), legal fees and charges, financing and other professional consultant fees, fees for credit ratings, fees for the Trustee’s execution, transportation and safekeeping of Certificates, and other charges and fees in connection with the foregoing and the sale of the Certificates.
Costs of Delivery means all reasonable transportation expenses, fuel charges, costs, deductions, or other charges actually paid by or on behalf of Buyer (the "Actual Costs of Delivery"), or a cost that is representative of charges not actually paid by Buyer but which would have been reasonably incurred to deliver Gas from a Delivery Point to a location directly on a mainline pipeline system which is covered by an Index and subject to any applicable Index Price Adjustment (the "Effective Costs of Delivery"). If the Delivery Point is at the mainline pipeline system which is covered by an Index, then the Costs of Delivery as defined herein shall be zero. The Effective Costs of Delivery, including volumetric deductions for fuel or other quantity adjustments normally charged by the service provider, for each Delivery Point(s) are listed on Exhibit "A."
