COVID Actions definition

COVID Actions means any actions taken by the Company or any of its Subsidiaries to the extent that such action is reasonably necessary to ensure compliance by the Company and its Subsidiaries and their respective directors, officers and employees with all Applicable Laws related to COVID-19, including quarantine, “shelter in place,” “stay at home,” workforce reduction, social distancing, shut down, closure, sequester, “essential business” or any other similar Laws.
COVID Actions means any commercially reasonable actions that Seller or the Company or their Affiliates reasonably determine are necessary or prudent for Seller or the Company to take in connection with (i) events surrounding any public health emergency, epidemic, pandemic, or disease outbreak caused by the COVID-19 Virus, (ii) reinitiating operation of all or a portion of the Rolling Mill Business to the extent shut down or slowed down in response to the events referenced in clause (i) of this definition, (iii) mitigating the adverse effects on the Rolling Mill Business of the events referenced in clause (i) of this definition, and (iv) protecting the health and safety of customers, employees, contractors, and other business relationships and to ensure compliance with any Law, pronouncement or guideline issued by a Governmental Authority, the Centers for Disease Control and Prevention, the World Health Organization or industry group providing for business closures, “sheltering-in-place” or other restrictions that relate to, or arise out of, health conditions (including any public health emergency, epidemic, pandemic, or outbreak (including the COVID-19 Virus)).
COVID Actions means any commercially reasonable actions that Seller reasonably determines are necessary for Seller, or any of its Subsidiaries, including the Company, to take in connection with directives or guidelines promulgated by any Governmental Entity or quasi-governmental authority (such as the Centers for Disease Control and Prevention and the World Health Organization) relating to any pandemic or public health emergency caused by COVID including those intended to mitigate the risk of exposure to or spread of COVID, or protect the health and safety of customers, employees and other business relationships and to ensure compliance with any Law, in each case (A) as generally applied by the Company to its gaming operations that are subject to substantially similar recommendations or restrictions imposed by the Centers for Disease Control and Prevention or any other governmental or quasi-governmental authorities having jurisdiction over the applicable properties or (B) undertaken with Acquirors’ consent, such consent not to be unreasonably withheld, conditioned or delayed.

Examples of COVID Actions in a sentence

  • The Company shall be permitted, and Seller shall be permitted to cause the Company, to take COVID Actions.

COVID Actions means any commercially reasonable actions that the Seller, Parent or the Acquired Companies determine are necessary or prudent for the Seller, Parent, the Acquired Companies or any of their Subsidiaries to take in connection with (i) events surrounding any pandemic or public health emergency caused by COVID, (ii) limiting, opening, closing, re-opening, or operating all or a portion of the Casino & Hotel, (iii) mitigating the adverse effects such events, pandemic or public health emergency on the business of one or more of the Acquired Companies, (iv) protecting the health and safety of customers, employees and other business relationships, (v) ensuring compliance with any Law or any recommendations or restrictions imposed by the Centers for Disease Control and Prevention or any other governmental or quasi-governmental authorities having jurisdiction over the Casino & Hotel, (vi) complying with the Acquired Companies’ and Casino & Hotel’s COVID policies and guidelines, a copy of which has been provided to the Purchaser, or (vii) any other action related to COVID so long as the Seller, Parent or any Acquired Company provides advance notice to the Purchaser of such action (or in the event the Seller, Parent or any Acquired Company determines that such action must be taken immediately or before advance notice can be provided, the Seller, Parent or any Acquired Company may immediately take such action and provide notice of such action to Purchaser as promptly as practicable afterward, but in any event within 3 Business Days) and the Purchaser either (a) consents to such action (such consent not to be unreasonably withheld, conditioned or delayed), or (b) does not provide written notice of objection within 3 Business Days after receipt of such notice.
COVID Actions means any commercially reasonable actions taken by a Party or its subsidiaries (after determination by such Party or its applicable subsidiary that such actions are necessary and prudent) to the extent that such action would have been taken by a reasonable Person similarly situated as such Party and its subsidiaries in connection with (i) mitigating the adverse effects occurring after the date hereof of events caused by the 2019 novel coronavirus pandemic or the public health emergency resulting therefrom (including as reasonably necessary to protect the health and safety of customers, suppliers, employees and other business relationships of such Person) or (ii) ensuring compliance by such Person and its subsidiaries and their respective directors, officers and employees with any quarantine, “shelter in place”, “stay at home”, workforce reduction, social distancing, shut down, closure, sequester or any other Laws, in each case, enacted after the date of this Agreement, by any Governmental Entity in response to the 2019 novel coronavirus.
COVID Actions means any commercially reasonable actions that the Seller reasonably determines are necessary to take in relation to the Business to (a) comply with any quarantine, “shelter in place”, “stay at home”, workforce reduction, social distancing, shut down, closure, sequester or any other Law or Governmental Order adopted in response to COVID-19 applicable to the Business or the Manufacturing Facilities, (b) reduce the risk of exposure to or spread of COVID-19 at the Manufacturing Facilities and other facilities of the Seller and its Subsidiaries at which the Business operates, or (c) reduce the risk of environmental or safety issues resulting from a Manufacturing Facility not having sufficient qualified personnel to continue operations due to an outbreak of, or exposure to, COVID-19.
COVID Actions means any material actions initially taken after the date hereof in connection with (1) events surrounding any public health emergency, epidemic, pandemic (including COVID-19) or disease outbreak, (2) reinitiating operation of all or a portion of the business of the Company to the extent shut down or slowed down in response to the events referenced in (1) of this definition, and (3) protecting the health and safety of customers, employees and other business relationships and to ensure compliance with any Law providing for business closures, “sheltering-in-place” or other restrictions that relate to, or arise out of, health conditions (including any public health emergency, epidemic, pandemic (including COVID-19) or disease outbreak).
COVID Actions means any commercially reasonable actions that Seller or the Company reasonably determines is necessary or prudent for Seller or the Company or any of the Company Subsidiaries, to take in connection with (i) events surrounding any pandemic or public health emergency caused by COVID, (ii) mitigating the adverse effects such events, pandemic or public health emergency on the business of the Company or any Company Subsidiary, or (iii) protecting the health and safety of customers, employees and other business relationships and to ensure compliance with any Law or any Public Health Measure.
COVID Actions means any commercially reasonable actions that the Sellers or Parent reasonably determine are necessary or prudent for the Sellers, Parent or any of their Subsidiaries to take in connection with (i) events surrounding any pandemic or public health emergency caused by COVID-19,
COVID Actions means any commercially reasonable actions that the Company or any of its Subsidiaries determine are necessary or prudent for the Company or any of its Subsidiaries to take in connection with or in response to (i) COVID-19 and any quarantine, “shelter in place,” “stay at home,” workforce reduction, furlough, social distancing, shut down, closure, sequester, safety or similar Law, directive or guidelines promulgated by any Governmental Entity or quasi-governmental authority (such as the Centers for Disease Control and Prevention and the World Health Organization), including ceasing the operation, or reinitiating the operation, of all or a portion of the Company’s or any of its Subsidiaries’ respective businesses, (ii) mitigating the adverse effects of the foregoing on the business of the Company, (iii) protecting the health and safety of customers, employees and other business relationships in connection with the forgoing, and (iv) ensuring compliance with any Law.
