Critical Person definition

Critical Person means any person who was an employee or director of the Company or any other Group Company at any time within one year prior to the Relevant Date who had access to trade secrets or confidential information of the Company or any other Group Company. This includes knowledge of, involvement with or influence over suppliers or clients of the Company or any other Group Company with whom you worked at any time during that period.
Critical Person any person who was an employee, agent, director, consultant or independent contractor employed, appointed or engaged by the Company or any Relevant Group Company at any time within the Relevant Period who by reason of such employment, appointment or engagement and in particular his/her seniority and expertise or knowledge of trade secrets or confidential information of the Company or any Group Company or knowledge of or influence over the clients, customers or suppliers of the Company or any Group Company is likely to be able to assist or benefit a business in or proposing to be in competition with the Company or any Relevant Group Company;
Critical Person means any person who was an employee, agent, director, consultant or independent contractor employed, appointed or engaged by the Company who had dealings with Executive or for whom Executive had management responsibilities in the 12 month period prior to Termination and who by reason of such employment, appointment or engagement and in particular his/her seniority and expertise or knowledge of trade secrets or confidential information of the Company or knowledge of or influence over the clients, customers or suppliers of the Company is likely to be able to assist or benefit a Competing Business;

Critical Person means any current or former employee, officer, director, agent, consultant or independent contractor employed, appointed or engaged by, or providing services to, any Relevant Company Body at any time during the Relevant Period (as defined below), in each case, (i) with whom you had more than incidental contact in the course of your employment, appointment, engagement, or providing of services during the Relevant Period and/or (ii) who by reason of such employment, appointment, engagement , or providing of services and in particular his or her seniority, expertise, or knowledge of Confidential Information of or concerning a Relevant Company Body, or knowledge of or influence over the clients, customers, suppliers, or business partners of a Relevant Company Body, is to be regarded as a material asset of a Relevant Company Body.
