Critical Person means any person who was an employee or director of the Company or any other Group Company at any time within one year prior to the Relevant Date who had access to trade secrets or confidential information of the Company or any other Group Company. This includes knowledge of, involvement with or influence over suppliers or clients of the Company or any other Group Company with whom you worked at any time during that period.

Critical Person means any person who was an employee, agent, director, consultant or independent contractor employed, appointed or engaged by the Company who had dealings with Executive or for whom Executive had management responsibilities in the 12 month period prior to Termination and who by reason of such employment, appointment or engagement and in particular his/her seniority and expertise or knowledge of trade secrets or confidential information of the Company or knowledge of or influence over the clients, customers or suppliers of the Company is likely to be able to assist or benefit a Competing Business;

Further, during the Restricted Period Executive will not solicit, encourage, assist, induce or entice away from the Company or, in connection with any Competing Business, employ, engage or appoint or in any way cause to be employed, engaged or appointed a Critical Person whether or not such person would commit any breach of his or her contract of employment or engagement by leaving the service of the Company.
None of the Critical Persons shall have ceased to be employed by, or expressed an intention to terminate their employment with, the Company, expressed an intention not to accept employment with Parent or the Final Surviving Entity or repudiated their Critical Person Retention Agreement.

Critical Person means any person who at any time during the period of 12 months before the termination of your employment was an employee, director, office or agent of the Company who by reason of their employment, appointment or engagement and particularly their seniority or expertise and knowledge of trade secrets or confidential information of the Company is likely to be able to assist or benefit a competitor of the Company.You will not from the date of termination of your employment either on your own account (whether directly or indirectly) or as a representative employee, partner, director, financier, shareholder or agent of any other person, firm, company or organisation:-· for a period of 12 months have any dealings in the sale or supply of any relevant goods or services to any relevant customer; or· for a period of 12 months canvass or solicit orders for any relevant goods or services from any relevant customer; or · for a period of 12 months directly or indirectly in connection with a business the same as or materially similar to that carried on by the Company when your employment terminates solicit, induce or entice away from the Company any critical person or employ, engage or cause, procure or encourage the employment or engagement in any capacity by you or by any person, firm, company or organisation of any critical person.The parties agree that the above periods will be reduced by one day for every day during which at the Company’s discretion pursuant to clause 15 above, you have been excluded from the Company’s premises and/or have not carried out any duties or have carried out duties other than your normal duties.PART TWO -INFORMATION
