Provision of Software. From time to time, Customer may purchase or license Software by executing a Transaction Document with AVEVA. Any additional Software purchased or licensed by Customer will be at the then-current price. AVEVA will provide the Software in accordance with the GTCs and the applicable Transaction Document.

S-A shall provide all hardware, software, and equipment ("Equipment") reasonably necessary for Wink to duplicate the S-A environment, and all Equipment that is used to perform the activities in Exhibit A or in support thereof pursuant to Section 9.2 and not expected to be used by Wink for porting to devices other than those described in Exhibit A, to Wink at S-A's cost therefor, provided, that Wink shall use such Equipment only for the Development Activities or as otherwise provided for in Section 9.2. Provision of Software. This agreement does not constitute a recommendation or advice to use software which may be provided to the Client via the Supplier by a third party. The Supplier bears no responsibility for the performance of any software, which is provided by a third party and used at the Client’s own risk. Notwithstanding this, where the Client is subscribing to the software via the Supplier instead of direct, then should the Client wish to terminate the provision of services the subscription to the software will also terminate.
Provision of Software hardware and services 4.1 In consideration for payment of the Charges, XXX: a where the Order states that the Customer is purchasing or renting Software, licenses that Software to the Customer in accordance with clause 5; b where the Order states that the Customer is purchasing Hosting Services or SaaS Services, will provide the Hosting Services or SaaS Services to the Customer in accordance with clause 6; c where the Order states that the Customer is renting XXX Software, purchasing Hosting Services or SaaS Services or subscribing to Support Services, will provide Support in accordance with clause 7; d where the Order states that the Customer is purchasing or renting Hardware, will sell or rent that Hardware to the Customer in accordance with clause 8; and e will provide the other Services set out in the Order, in each case, in accordance with the Agreement. 4.2 XXX must use reasonable efforts to provide the Services: a in accordance with the Agreement and New Zealand law; b exercising reasonable care, skill and diligence; and c using suitably skilled, experienced and qualified personnel. 4.3 The Customer must: a permit XXX’s personnel to have access to the Customer’s premises to provide the Services during normal business hours or at such other times as the parties agree, subject to XXX and its personnel complying with the Customer’s security, health and safety and other applicable polices notified by the Customer to XXX; b perform all tasks, functions and responsibilities set out in an order form or quote or otherwise reasonably requested by XXX in a timely manner, and supply sufficient suitably skilled resources and personnel for this purpose; c promptly make decisions (including approvals) and provide XXX with all information reasonably required to provide the Services; d before using the XXX NZTA Data Retrieval Service, sign and return to XXX a copy of the terms of use set out in the Schedule; and e when using the XXX NZTA Data Retrieval Service, comply with the terms of use set out in the Schedule. 4.4 SAM’s provision of the Software, Hardware and Services to the Customer is non-exclusive. Nothing in the Agreement prevents XXX from providing the Software, Hardware or Services to any other person.
