Dedicated Facility definition

Dedicated Facility means a facility (or facilities) listed in Schedule 3 that are designated by Port of Melbourne as the Dedicated Facility for the purposes of the Application.

Dedicated Facility means the manufacturing facility to be built by ISIS for the purposes of manufacturing the API in satisfaction of the Supply Agreement.

Dedicated Facility means (a) any Facility in Singapore for so long as CLIENT is paying for exclusivity as described in Section 8.1 below or (b) any Facility where CLIENT has committed to purchase during the applicable Binding Portion in the then-current Forecast, or is at the time actually purchasing, [***] or more of that Facility’s then-current capacity for the Products. For the avoidance of doubt, the term “Dedicated Facility” is intended to apply only with respect to matters addressed in this Section 4.6, and is not intended to affect or modify exclusivity issues that are addressed elsewhere in this Agreement.

Examples of Dedicated Facility in a sentence

• The cost of repairing any damage (excluding fair wear and tear) which, in the reasonable opinion of Port of Melbourne, arises from or is related to the hire or use of the Dedicated Facility by the Owner, the Shipping Agents, or their servants shall be borne by the Owner or, if such costs are incurred by Port of Melbourne, the Owner is liable to reimburse Port of Melbourne such costs which shall be recoverable by Port of Melbourne as a debt due and payable by the Owner.

• The Owner acknowledges that Port of Melbourne may give priority to any Vessel carrying Cargo over a Vessel that is Laying-up concerning access or use of a Dedicated Facility during an Access Period and reserves the right to refuse or withdraw permission for Laying- up at any time.

• The Shipping Agent must cooperate wherever possible with Port of Melbourne and other users of Port Facilities and the Dedicated Facility, at least to the extent that such cooperation is necessary to ensure compliance with all Legislative Requirements, including the MTOFSA.

• The Owner agrees that Port of Melbourne has made no representation and gives no warranty concerning the adequacy or suitability of the Dedicated Facility for the Vessel or the use intended by the Owner.

• The Owner acknowledges that the rights conferred upon it by this Agreement to use the Dedicated Facility may not be transferred or assigned to any other party.

More Definitions of Dedicated Facility

Dedicated Facility. Rent", and "Lease" shall have the meanings set forth in the Services and Access Rights Agreement. In addition, effective at the close of business on March 31, 2005, Seller shall terminate the employment of all employees to whom Purchaser has not offered employment. Employees of Seller to whom Purchaser has offered employment shall, as of April 1, 2005, be deemed to be Employees under the Services and Access Rights Agreement, as amended. With respect to all employees terminated by Seller pursuant to the foregoing, as required herein, Purchaser shall establish the Escrow Account (defined in Section 8.3(c)(i)) and deposit therein on March 31, 2005, an amount equal to the portion of the Purchase Price that Purchaser would have deposited in the Escrow Account pursuant to Section 8.3 if the Closing had occurred on March 31, 2005. The funds in the Escrow Account shall be available to Seller to pay the Separation Plan expenses described in Section 8.3 to the terminated employees as if the Closing had occurred on March 31, 2005.

Dedicated Facility means any Facility (or Facilities) utilized for the performance of Services hereunder to the extent, and for so long, that it is dedicated to the performance of such Services exclusively to Tops, else it is a Shared Facility.

Dedicated Facility means the facilities to be used to manufacture Collaboration Products for commercial sale.
