Equivalent Basic Subscriber or "EBS" shall mean with respect to the System, an active customer for basic service either in a single household, a commercial establishment or in a multi-unit dwelling (including a hotel unit); provided, however, that the number of customers in a multi-unit dwelling or commercial establishment that obtain service on a "bulk-rate" basis will be determined by dividing the gross bulk-rate billxxxx xxx basic service (excluding any installation or non-recurring revenue) attributable to such multi-unit dwelling or commercial establishment during the most recent billing period ended prior to the date of the calculation by the applicable expanded basic rate for non-bulk subscribers. For purposes of this definition, an "ACTIVE CUSTOMER" will mean any Person, commercial establishment or multi-unit dwelling at any given time that is paying for and receiving basic service from the System who has an account that is not more than 90 days past due (except for past due amounts of $5.00 or less, provided such account is otherwise current). For purposes of this definition, an "active customer" does not include any Person, commercial establishment or multi-unit dwelling that (i) as of the date of calculation has not paid in full the charges for at least one month of the services ordered; (ii) any subscriber whose service is pending disconnection for any reason; or (iii) any subscriber of the System which was obtained since July 1, 1998 through extraordinary marketing or promotional programs or marketing or promotional programs not consistent with the past practices of the System.

For example, if the gross bulk-rate xxxxxxxx for both Basic Cable Service and Expanded Basic Service (with the exclusions described above) for a multi-unit dwelling for a billing period are $250 and the retail rate charged during that billing period to individual households (with the exclusions described above) is $50, then that multi-dwelling unit will have five (5) Equivalent Basic Subscribers. For purposes of this Agreement, an "active customer" means any person, commercial establishment or multi-unit dwelling at any given time that is paying for and receiving at least Basic Cable Service from the System and who has an account as to which no amount in excess of $10.00 is more than 60 days past due. Equivalent Basic Subscriber means the number obtained by adding (i) the number of first outlet residential subscribers for basic CATV service of the Acquired Systems who have made at least one monthly payment for service at the normal monthly rate for basic service and whose accounts are not more than sixty (60) days past due from the first day of the month for which service was rendered (ii) the result obtained by dividing the aggregate of the gross monthly billing for limited basic, tier 1 and tier 2 services (excluding installation, connection, relocation and disconnection fees and miscellaneous rental charges for equipment such as remote control devices and converters) from business and commercial accounts, residential bulk units, hotels/motels and other commercial establishments who have made at least one monthly payment for service at the normal monthly rate and whose accounts are not more than sixty (60) days past due from the first day of the month for which such service was rendered, by $28.60, which represents the average monthly service charge in effect for a first outlet residential connection for expanded basic CATV service.
