Facility Books and Records definition

Facility Books and Records means any and all files, documents, instruments, books and records owned by Seller on the Closing Date relating exclusively to the Business, the Sites, the Acquired Assets or the operation, maintenance and condition of the Facilities, including papers, tapes, microfilms, photographs, letters, title policies, supplier lists, regulatory filings, technical documentation, user documentation, external and internal correspondence (including correspondence with contractors, customers, suppliers and vendors), on-Site accounting records, budgets, ledgers, journals, operating and engineering data, design plans, drawings and operating, safety and maintenance manuals.
Facility Books and Records means all books, records, files, documents, instruments, papers, journals, deeds, licenses, supplier lists, contractor and subcontractor lists, computer files and programs, retrieval programs, environmental samples, monitoring and studies, chemical inventories, operating data, purchase orders, safety and maintenance manuals, operations manuals, engineering or design plans, blue prints and as-built plans, drawings, specifications, test reports, quality documentation and reports, Maximo and PI records and reports, process and instrumentation diagrams, CEMS activity logs, regulatory correspondence (to the extent located at the Facility), hazardous waste disposal records, procedures and similar items relating to the construction, ownership, operation or maintenance of the Facility, whether in electronic or physical form, owned by and in the Sellerspossession or control on the Effective Date or subsequently acquired or obtained by Sellers prior to Closing, other than those relating to Employees, fuel procurement or power marketing and the accounting books and records of Rockingham or Dynegy.
Facility Books and Records means all books, records, papers, files, documents, or correspondence of any kind, whether in printed or electronic format, in the care, custody, or control of Seller that relate to the Facility, the Acquired Assets or the Assumed Liabilities, including copies of all Contracts, purchasing and sales records, customer and vendor lists, accounting and financial records (including records of development expenses), site control agreements, environmental reports, soils studies, engineering studies, feasibility studies, surveys, easement documents, title insurance policies, permitting documents, zoning information, invention disclosures, applications, registrations, certificates, grants, and all files and records relating to Facility Intellectual Property, and with respect to any of the foregoing, any related documentation and/or specifications.

Examples of Facility Books and Records in a sentence

  • No later than thirty (30) days after the Closing Date, Sellers shall deliver the Facility Books and Records to Purchaser at the Site or, at Purchaser’s request and expense, at Purchaser’s offices in Charlotte, North Carolina, or such other location as designated by Purchaser in or near Charlotte, North Carolina.

  • Excluded Books and Records has the meaning set forth in Section 2.2(a).

  • Borrower’s Books are all Borrower’s books and records including ledgers, federal and state tax returns, records regarding Borrower’s assets or liabilities, the Collateral, business operations or financial condition, and all computer programs or storage or any equipment containing such information.

  • Inspect means the ability to review and copy a CIF to the same extent as any other document contained in a court file.

  • Account Records is defined in Section 1(a)(i) of the Administration Agreement.

  • Collateral Records means books, records, ledger cards, files, correspondence, customer lists, blueprints, technical specifications, manuals, computer software, computer printouts, tapes, disks and related data processing software and similar items that at any time evidence or contain information relating to any of the Collateral or are otherwise necessary or helpful in the collection thereof or realization thereupon.

  • Receivables Records means (i) all original copies of all documents, instruments or other writings or electronic records or other Records evidencing the Receivables, (ii) all books, correspondence, credit or other files, Records, ledger sheets or cards, invoices, and other papers relating to Receivables, including, without limitation, all tapes, cards, computer tapes, computer discs, computer runs, record keeping systems and other papers and documents relating to the Receivables, whether in the possession or under the control of Grantor or any computer bureau or agent from time to time acting for Grantor or otherwise, (iii) all evidences of the filing of financing statements and the registration of other instruments in connection therewith, and amendments, supplements or other modifications thereto, notices to other creditors or secured parties, and certificates, acknowledgments, or other writings, including, without limitation, lien search reports, from filing or other registration officers, (iv) all credit information, reports and memoranda relating thereto and (v) all other written or nonwritten forms of information related in any way to the foregoing or any Receivable.

  • Business Records means, in respect of any Person, all data and Records relating to such Person, including client and customer lists and Records, referral sources, research and development reports and Records, cost information, sales and pricing data, customer prospect lists, customer and vendor data, production reports and Records, service and warranty Records, equipment logs, operating guides and manuals, financial and accounting Records, personnel Records (subject to Applicable Law), creative materials, advertising materials, promotional materials, studies, reports, correspondence and other similar documents and records.

  • Accounting Records means the general ledger and subsidiary ledgers and supporting schedules which support the general ledger balances.

  • Vital records means certificates or reports of birth, death, fetal death, marriage, dissolution, annulment, and related data.

  • Funds and Accounts means funds and accounts created pursuant to or referred to in Section 501

  • Property records means the records created and maintained by the contractor in support of its stewardship responsibilities for the management of Government property.

  • Tax Records means any Tax Returns, Tax Return workpapers, documentation relating to any Tax Contests, and any other books of account or records (whether or not in written, electronic or other tangible or intangible forms and whether or not stored on electronic or any other medium) required to be maintained under the Code or other applicable Tax Laws or under any record retention agreement with any Tax Authority.

  • Client Records has the meaning set forth in Section 3.14.

  • Visit means the member is actually examined by a professional provider. Covered expenses include physician consultations with written reports, as well as second opinion surgery consultations.

  • Examined Facility means (I) each proposed new Generator and proposed new UDR project, and each existing Generator that has ERIS only and no CRIS, that is a member of the Class Year Study, Additional SDU Study or Expedited Deliverability Study that requested CRIS, or that requested an evaluation of the transfer of CRIS rights from another location in the Class Year Facilities Study commencing in the calendar year in which the Class Year Facility Study determination is being made (the Capability Periods of expected entry as further described below in this Section, the “Mitigation Study Period”), and (II) each (i) existing Generator that did not have CRIS rights, and (ii) proposed new Generator and proposed new UDR project, provided such Generator under Subsection (i) or (ii) is an expected recipient of transferred CRIS rights at the same location regarding which the ISO has been notified by the transferor or the transferee of a transfer pursuant to OATT Attachment S Section 25.9.4 that will be effective on a date within the Mitigation Study Period (“Expected CRIS Transferee”). The term “Examined Facilities” does not include any facility exempt from an Offer Floor pursuant to the provisions of Section 23.4.5.7.7. Exceptional Circumstances: shall mean one or more unavoidable circumstances, as determined by the ISO, that individually or collectively render as unavailable the data necessary for the ISO to perform an audit and review of a Market Party, pursuant to Section 23.4.5.6.2 of this Services Tariff. Exceptional Circumstances may include, but are not limited to: the inaccessibility of the physical facility; the inaccessibility of necessary documentation or other data; and the unavailability of information regarding the regulatory obligations with which the Market Party will be required to comply in order to return its Generator to service which regulatory obligations are not yet known but which will be made known by the applicable regulatory authority under existing laws and regulations provided that none of the above described circumstances are the result of delay or inaction by the Market Party. The magnitude of the repair cost, alone, shall not be an Exceptional Circumstance.
