First Look definition

First Look means that a Project shall be submitted in writing solely and exclusively to an individual specifically designated by Employer for such purpose (your “Project Contact”) before it is submitted by you or on your behalf to any other person or entity; and “Project” means any idea, concept, story or other literary work intended by you or on your behalf for initial exploitation via any means of audio-visual exhibition, including, without limitation, television, motion-picture or theatrical exhibition. Employer shall notify you of the name and contact information of your Project Contact as promptly as practicable following the Commencement Date, provided, however, that Employer shall have the right to change your Project Contact from time to time with reasonable prior written notice to you. Employer shall have thirty (30) days following your submission of a Project in which to notify you of its acceptance or rejection of the Project (reducible to fifteen (15) days if you notify Employer at the time of submission that such Project is a “hot property”). In the event Employer rejects the Project (or fails to notify you of its acceptance of such Project in writing during the foregoing consideration period), you shall be free to submit the Project to any other person or entity and enter into any agreement or arrangement with respect thereto, with no further obligation to Employer whatsoever with respect thereto (whether legal, financial or otherwise), except as otherwise provided below, and without such submission to another person or entity being a violation of the First Look obligation, provided, however, that in the event of a material change in a material element of the Project (e.g., a material change in the development and/or production budget or a change in any key performer, producer, director or writer attached to the Project) prior to you entering into an agreement or arrangement with a third party with respect to such Project or such Project otherwise being set up with a third party, Employer shall be entitled to an additional First Look at the Project on the terms and conditions set forth herein and you shall re-submit the Project to Employer. First Look. Hasbro Studios Programming (Latin America). During the term of the Hasbro Studios Programming Agreement (as the same may be amended or extended), if any Hasbro Controlled Affiliate determines to seek distribution of Spanish-language 14-and-Under Programming (excluding Animal and Science Programming) on a Cable Television Network in Latin America or determines to license any third party to do so, then, subject to any contractual limitations applicable to such programming, Hasbro shall, to the extent it is contractually permitted to, provide a right of first look to Discovery (on behalf of Discovery Networks Latin America/U.S. Hispanic, so long as it is owned, operated or programmed by a Discovery Controlled Affiliate) in accordance with the following terms: (i) Hasbro shall first provide written notice to Discovery of its intent with respect to such programming; (ii) if Discovery is interested in securing rights to distribute such programming in Latin America, Hasbro shall provide Discovery with the first opportunity to negotiate (as compared to any opportunity that Hasbro Controlled Affiliates may afford to any other Cable Television Network in Latin America) for ten (10) Business Days with representatives of Hasbro Studios; and (iii) if Discovery is not interested (in which case Discovery shall promptly notify Hasbro), the terms are not acceptable or an agreement is not entered into within ten (10) Business Days following the notice described in subsection (i) above, then Hasbro Studios shall be free to exploit such programming and negotiate and enter into an agreement with or with respect to another Cable Television Network, including for distribution of the programming on another Cable Television Network in Latin America, and shall not be obligated to license, sublicense or assign such programming to the Company. (iv) Subject to 7.15(c), after Discovery has informed Hasbro that it is not interested in, the applicable time period with respect to Hasbro’s obligations hereunder have expired, or Hasbro is otherwise permitted to exploit, any programming, in each case, in accordance with this Section 7.15(b), then Discovery shall have no further rights to such programming or any renewals or future episodes or seasons of such program. First Look. TRANSFERS AFTER EXIT DATE. (a) Any Partner and/or its Affiliates (the "Selling Partner") may offer (the "Offer") to sell all of its Interests or all of its Affiliate's shares of the Partner Group (such Interests or shares being herein referred to as the "Offered Interests") to the Respondent at any time after January 1, 1999. The Offer shall include a copy of all material agreements pursuant to which the sale of the Offered Interests would occur. Respondent shall have a period of 30 days to respond to such Offer and within such time may make a written acceptance (the "Response") to the Selling Partner to purchase the Selling Partner's Offered Interest upon the price, terms, and conditions of the Offer. For the first six (6) months of the initial marketing period of each retail and restaurant space, the Developer shall accept offers only from local retailers and eateries. c. For the first five (5) years after issuance of a certificate of occupancy for a building with retail or restaurant space, the Developer shall include information in its marketing materials available online, through social media and provided to brokers, regarding opportunities for local retailers and eateries to lease space within the Project. d. For the purposes of this section, a “local retailer or eatery” shall mean an establishment with five or fewer stores, with a principal place of business within the City of Los Angeles, and not doing business as a franchisee or under a licensed trade name.
