Interest of Contractor and Employees. The Contractor covenants that he/she presently has no interest and shall not acquire interest, direct or indirect, in the study area or any parcels therein or any other interest which would conflict in any manner or degree with the performance of his services hereunder. The Contractor further covenants that in the performance of this Contract, no person having any such interest shall be employed.
Interest of Contractor and Employees. The CONTRACTOR covenants that no person described in Paragraph 24 A and B above who presently exercises any functions or responsibilities in connection with the Contract has any personal financial interest, direct or indirect, in this Contract. The CONTRACTOR further covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of its services hereunder. The CONTRACTOR further covenants that in the performance of this Contract no person having any conflicting interest shall be employed. An interest on the part of the CONTRACTOR or its employees must be disclosed to the CITY. Provided, however, that this paragraph shall be interpreted in such a manner so as not to unreasonably impede the statutory requirement that maximum opportunity be provided for employment of and participation by residents of the area.

COMPLIANCE WITH LOCAL LAWS This Agreement shall be governed by the laws of the State of Oklahoma. COPYRIGHT No reports, maps, or other documents produced in whole or in part under this Agreement shall be the subject of any application for copyright by or for the Contractor. CONFIDENTIALITY Contractor will not at any time or in any matter, either directly or indirectly, use for the personal benefit of ACOG, or divulge, disclose, or communicate in any manner any information that is proprietary to Applicant. Contractor will protect such information and treat it as strictly confidential. This provision shall continue to be effective after termination of this Agreement. INDEMINIFICATION Contractor agrees to indemnify and hold harmless Applicant from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against Contractor that result from acts or omissions of Applicant, Applicant’s employees, and if any, Applicant’s agents.

Reports and Information The Contractor, at such times and in such forms as the County may require, shall furnish the County such periodic reports as it may request pertaining to the work or services undertaken pursuant to the contract, costs and obligations incurred or to be incurred in connection there with and any other matters covered by this contract. Contractor shall furnish the County narrative reports and financial reports related to the elements of this contract in the forms and at such times as may be required by the County or federal grantor agencies.

This agreement may not be changed, modified, discharged, or extended except by written amendment, duly executed by the parties.

The CONTRACTOR further covenants that in the performance of this Contract no person having any conflicting interest shall be employed.
