Issue Agent definition

Issue Agent and "AGENT BANK" means, in relation to any Series of Notes, the person specified in the relevant Pricing Supplement or Supplementary Listing Particulars as the Principal Paying Agent, the Issue Agent and the Agent Bank respectively, for such Series. Certain statements in these terms and conditions (the "CONDITIONS") may be summaries of the detailed provisions appearing on the face of the Notes (which expression shall include the body thereof) and in the Principal Trust Deed. Copies of the Principal Trust Deed and the Agency Agreement are available for inspection at the principal office of the Trustee (presently at One Canada Square, London E14 5AL) and at the specified offices of thx Xxxxxxxxx Xxxxxx Xxxxx xx Xxxxxn. The Holders (as defined in Condition 1 below, and the holders of the coupons (the "COUPONS") (if any) appertaining to interest bearing Notes in bearer form (the "COUPONHOLDERS", which expression includes the holder of talons (the "TALONS") (if any) for further coupons attached to such Notes (the "TALONHOLDERS")) are entitled to the benefit of, are bound by, and are deemed to have notice of, all the provisions of the Trust Deed and to have notice of those provisions of the Agency Agreement applicable to them. The pricing supplement or, if the Notes are listed on the London Stock Exchange Limited (the "LONDON STOCK EXCHANGE"), the supplementary listing particulars relating to the Notes (respectively, the "PRICING SUPPLEMENT" and the "SUPPLEMENTARY LISTING PARTICULARS", each an "APPLICABLE SUPPLEMENT") will be endorsed upon or attached to the Notes and will supplement these Conditions and may specify other terms and conditions which shall, to the extent so specified or to the extent inconsistent with these Conditions, replace or modify these Conditions for the purpose of such Notes. Issue Agent. “Principal Paying Agent”, “Paying Agent”, “Registrar”, “Transfer Agent”, “Interest Calculation Agent”, “Determination Agent”, “Realisation Agent”, “Common Depositary”, “Custodian”, “Arranger”, “Dealer”, “Buyer” or “Seller” (as the case may be), references in this Constituting Instrument and the Series Documents to the Swap Counterparty, Issue Agent, Principal Paying Agent, Paying Agent, Registrar, Transfer Agent, Interest Calculation Agent, Determination Agent, Realisation Agent, Common Depositary, Custodian, Arranger, Dealer, Buyer or Seller (as the case may be) shall be ignored. Where there is no Swap Counterparty, references to the Charged Agreement shall be ignored, where there is no Custodian references to the Custody Agreement shall be ignored and where there is no Buyer and Seller, references to the Charged Assets Sale Agreement shall be ignored.

Issue Agent means, in relation to any Series, The Bank of New York Mellon acting through its London Branch, any successor issue agent which becomes such pursuant to the provisions of the Agency Agreement;

• The Paying Agents, the Issue Agent, the Determination Agent, the Calculation Agent and the Registrar (the "Agents") appointed by the Issuer and their respective specified offices are listed below or as otherwise appointed pursuant to the Agency Agreement and with specified offices as set out in the Applicable Supplement.

• Should any Note be lost, stolen, mutilated, defaced or destroyed, it may be replaced at the specified office (in the case of a Bearer Note) of the Issue Agent or (in the case of Registered Notes) of the Registrar or of the Transfer Agent upon payment by the claimant of such costs and expenses as may be incurred in connection therewith and on such terms as to evidence and indemnity as the Issuer may reasonably require.

• This Temporary Global Note Certificate shall not be valid for any purpose until authenticated for and on behalf of The Bank of New York, London Branch as Issue Agent.

• Neither the Issuers, the Trustee, the Issue Agent, the Principal Paying Agent, the Calculation Agent, the Disposal Agent, the other Agents, the Arrangers, the Dealers nor any of their respective affiliates make any representation as to the credit quality of the Swap Counterparty, the Repurchase Counterparty (if any), the Securities Lending Counterparty (if any), the Investment Provider or any Reference Entity (or Notional Reference Entity, as applicable).

• Any of the Issuers, the Trustee, the Issue Agent, the Principal Paying Agent, the Calculation Agent, the Disposal Agent, the other Agents, the Arrangers, the Dealers or any of their respective affiliates may have acquired, or during the term of the Notes may acquire, non-public information with respect to the Swap Counterparty, the Repurchase Counterparty (if any), the Securities Lending Counterparty (if any), the Investment Provider or any Reference Entity (or Notional Reference Entity, as applicable).

More Definitions of Issue Agent

Issue Agent means Citibank, N.A. and any successor issue agent appointed in accordance with the Agency Agreement;

Issue Agent means the entity, designated in accordance with the provisions of the Agreement, acting in the capacity of an issue agent within the meaning of Article 7a of the Financial Instruments Trading Act on the terms specified in the Agreement for the Appointment of the Issue Agent.

Issue Agent means Citibank, N.A., London Branch.

Issue Agent means The Bank of New York Mellon, acting through its London Branch. “Issue Date” means 11 April 2017.

Issue Agent and "Paying Agent" mean, respectively, the person or persons specified as such in the Programme Summary and any successor issue agent or, as the case may be, paying agent appointed in accordance with the Agency Agreement.

Issue Agent means the London Issue Agent and the New York Issue Agent and any other Issue Agents appointed pursuant to Clause 13 below and “Issue Agent” shall be construed accordingly;
