Licensee Systems definition

Licensee Systems means Licensee’s information technology infrastructure, including computers, software, hardware, databases, electronic systems (including database management systems) and networks, whether operated directly by Licensee or through the use of third party services.

Licensee Systems means, collectively, all Systems used in the Licensed Vacation Ownership Business, whether owned by Licensee or any other Person.

Licensee Systems means any one or more of the computers, data center locations, networks, Internet or intranet sites, servers or other systems of the applicable Governmental Entity or any of its Authorized Contractors. To the extent any Software or related Documentation is mailed or shipped, Vendor shall bear all freight, shipping, handling and insurance costs for the delivery and shall bear all risk of loss, including any losses resulting from any damage to or destruction, in whole or in part, which may occur prior to the delivery.

Examples of Licensee Systems in a sentence

• Licensee shall at all times during the Term: (a) set up, maintain and operate in good repair all Licensee Systems on or through which the Software or the Services are accessed or used; and (b) provide all cooperation and assistance as NCIT may reasonably request to enable NCIT to exercise its rights and perform its obligations under and in connection with this Agreement.

• Licensee shall maintain all Licensee Systems in connection with all Standards and Agreements.

• Licensee shall provide to Licensor all of its policies and procedures with respect to the Licensee Systems as of the Effective Date and will not materially change same without Licensor’s prior written consent.

• Licensee acknowledges that it is solely responsible for setting up, maintaining and operating in good repair all Licensee Systems on or through which the Software or the Services are accessed or used.

• Licensee shall at all times during the Term: (a) set up, maintain and operate in good repair all Licensee Systems on or through which the Services are accessed or used; and (b) provide all cooperation and assistance as Licensor may reasonably request to enable Licensor to exercise its rights and perform its obligations under and in connection with this Agreement.

• Licensor covenants that it will not under any circumstance, including enforcement of a valid contract right, (i) install or trigger a lockup program or disabling device, or (ii) take any step that would in any manner interfere with Licensee’s use of the Software or Licensee Systems, or restrict Licensee from accessing its data files or in any way interfere with the transaction of Licensee’s business.

• Licensee shall permit Company to review/audit Licensee’s use of the Software and the Service, and grant Company access to Licensee Systems for that purpose, upon reasonable notice to Licensee.

• Licensee shall at all times during the Term: (a) set up, maintain and operate in good repair all Licensee Systems on or through which the Software or the Services are accessed or used; and (b) provide all cooperation and assistance as Licensor may reasonably request to enable Licensor to exercise its rights and perform its obligations under and in connection with this Agreement; (c) provide additional information requested by the Licensor.

• Licensor shall deliver the Software to Agency and setup and install the Software (either directly, or indirectly, through Vendor) for use on the Licensee Systems specified by Licensee in accordance with the Services Contract and the Statement of Work.

• Company shall have no responsibility for the performance, adequacy, accuracy, concurrency or other matters related to Licensee Systems.

"NCIT Disabling Device" means any software, hardware or other technology, device or means (including any back door, time bomb, time out, drop dead device, software routine or other disabling device) used by NCIT or its designee to disable any Person's (including, without limitation, Licensee's or any Authorized User's) access to or use of the Services automatically with the passage of time or under the positive control of NCIT or its designee.
