Licensor Equipment definition

Licensor Equipment means, as between Licensor and the Proposer, any expenditure made by or on behalf of Licensor (or its affiliates), other than an expenditure made on behalf of Licensor by the Proposer, in connection with the design, purchase, and installation, (including the distribution and connection of any required utilities services) of certain fixed equipment.
Licensor Equipment means any equipment, systems or facilities provided by or on behalf of Licensor and used directly or indirectly in the provision of the Services.
Licensor Equipment means all equipment at the Stadium and on the Plaza to be used by Contractor hereunder for receiving, storing, holding, selling, and/or vending Refreshments; for preparing, cooking, and serving Refreshments; warewashing equipment; all inventory control security and surveillance equipment; telephones and telecommunications equipment; menu boards and signage; lifts, loaders, transports; all bar and beverage equipment; all refrigeration equipment, coolers and walk-ins; all Mobile Stands; and all POS Equipment, as more specifically described in the Drawings and Specifications and/or on Exhibit E. Office Equipment is specifically excluded from this definition, unless any Office Equipment was purchased or supplied by Licensor. If Office Equipment was purchased or supplied by Licensor, it shall be Licensor Equipment and Contractor shall have no claim to such Office Equipment.

Examples of Licensor Equipment in a sentence

  • Any cost of repair or replacement of Licensor Equipment, or any Equipment provided as part of the Proposer's Investment, or any other equipment located within the Facilities, which is a direct result of operator intentional or negligent acts or omissions, is the responsibility of the Proposer.

  • However, subject to paragraph 2(c)(iii) of the MSA, in no case shall Licensee tamper in any way with any Licensor Equipment, including without limitation, CRAC units, generators, chillers etc.

  • The License granted under Section 1.2.1 above includes (i) exclusive use by Contractor for Services to all present and future Facilities located in the Stadium and on the Plaza and use of associated Licensor Equipment (as defined in Section 6.1.1) for the Term, and (ii) the non-exclusive right of Contractor to use all common areas of the Stadium Site solely for the purposes provided herein.

  • On or immediately prior to the Commencement Date of Contractor's operations, the Parties shall conduct a joint inventory and condition survey of Licensor Equipment used by Contractor and make a written record thereof, with each Party indicating by authorized signature its acceptance of said written record.

  • Contractor shall be responsible for the repair and maintenance of the Leasehold Improvements and Licensor Equipment during the Term.

  • The Proposer shall be required to maintain and repair all Equipment and Licensor Equipment within the Facilities, and their adjacent areas including, but not limited to, bars, pantries, storage, Concession stands and other kitchens and storage areas.

  • Dependent on the proposed Financial Proposal Option outline in this RFP, the Proposer will potentially provide a capital investment related to the purchase of the Licensor Equipment, smallwares, POS system, tools of the trade and Leasehold Improvements.• The Proposer should include recommendations for the complete POS system, regardless of the party making the investment.• Services to the Team may be included in the definitive Agreement, at the discretion of the Team.

  • Contractor acknowledges that Licensor Equipment will be inspected by Contractor prior to its use and hereby agrees to accept Licensor Equipment in its installed and operating condition unless Contractor expressly states otherwise in a writing promptly delivered to Licensor within thirty (30) days following such inspection.

  • Contractor shall use, operate and treat Licensor Equipment with the same care as if it were owned by Contractor.

  • Licensor shall be responsible for the costs necessary to replace Licensor Equipment; provided, however, if replacement of Licensor Equipment becomes necessary due to the intentional misconduct or negligent act or omission of Contractor, the cost of such replacement shall be the obligation of Contractor.

Related to Licensor Equipment

  • Contractor Equipment means all appliances and things of whatsoever nature (other than temporary works) required for execution and completion of works and remedying of any defects, therein. But does not include plant, materials or other things intended to form or forming part of the permanent works.

  • Major Equipment means the items of Equipment listed as such in Attachment G.

  • Supplier Equipment means the Supplier's hardware, computer and telecoms devices, equipment, plant, materials and such other items supplied and used by the Supplier (but not hired, leased or loaned from the Customer) in the performance of its obligations under this Call Off Contract;

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • Your Equipment means all equipment located after (downstream of) the point that electricity leaves the Meter at the premises which is used to take supply of or consume electricity except any Electricity Supply Equipment.

  • Semiconductor equipment means (i) machinery or tools or repair parts or replacements thereof; (ii)

  • The Equipment/Product means all the Air conditioners along with the accessories which the Vendor is required to supply to the Bank under the Contract.

  • Third Party Equipment has the meaning given such term in Section 4.8 of this Agreement.

  • Other Equipment is leasehold improvements, intangible property such as computer software and software licenses, equipment specifically designed or manufactured for Borrower, other intangible property, limited use property and other similar property and soft costs approved by Bank, including taxes, shipping, warranty charges, freight discounts and installation expenses.

  • Licensed System means, collectively:

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Licensed facility means a facility licensed by the department under section 137 or an adult foster care facility.

  • Customer Premises Equipment or "CPE" means equipment employed on the premises of a Person other than a Carrier to originate, route or terminate Telecommunications (e.g., a telephone, PBX, modem pool, etc.).

  • Supplier System means the information and communications technology system used by the Supplier in performing the Services including the Software, the Equipment and related cabling (but excluding the Customer System);

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.

  • Computer equipment means Covered Property that is electronic computer or other data processing equipment, including peripherals used in conjunction with such equipment, and electronic media and records.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Communications Equipment means the communications equipment of the Licensee and its affiliates, including, without limitation, cabinets, racks, electronic equipment and other similar equipment.

  • Installation Works means, as the context so requires,

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Telecommunications Equipment means equipment, other than Customer Premises Equipment, used by a Carrier to provide Telecommunications Services, and include software integral to such equipment, including upgrades.

  • Manufacturing Site means the facilities where a Compound is Manufactured by or on behalf of a Party, as such Manufacturing Site may change from time to time in accordance with Section 8.7.

  • Designated Equipment means any equipment designated in the SLA, upon which the Licensed System may be used; Documentation means operating manuals and other printed materials which assist the Customer to use the Licensed System including any technical and user software material as published by Pentana Solutions; Escalation Request is as set out in the SLA;

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.
