Licensor Share definition

Licensor Share shall have the meaning specified in Section 8.1 below.

Licensor Share means, subject to Sections 3.6 and 3.7: (i) for each Current Film with an Availability Date greater than or equal to thirty (30) days after its Home Video Street Date or, if no home video release occurred, 60%; (ii) for each Current Film with an Availability Date greater than or equal to 1 but no more than 29 days after its Home Video Street Date, 65%; (iii) for each Current Film with an Availability Date that is the same day as or earlier than its Home Video Street Date, 70% (unless Licensor receives a higher split in accordance with Sections 3.6.1 or 3.7.1, as applicable); and (iv) for each Library Film, 50%.

Examples of Licensor Share in a sentence

  • If Licensee offers any other content licensor a higher licensor share for their respective Third Party Early Window Pictures at any time during the Early Window Test Term and Extension Period, as applicable, Licensee shall offer such higher licensor share to Licensor as the PPV and VOD Licensor Share, as applicable, for all comparable Early Window Titles (comparability to be measured solely by the proximity of a film’s availability date to its theatrical release date).

  • From April 1, 2013 through December 31, 2016, the Current PPV Licensor Share for all Current PPV Programs made available on the same day as their respective Home Video Street Dates shall be 70%.

  • Effective immediately through March 31, 2013, the Current PPV Licensor Share for all Current PPV Programs made available on the same day as their respective Home Video Street Dates shall be 60%.

  • VOD Day and Date Licensor Share Effective immediately through December 31, 2016, the Current VOD Licensor Share for all Current VOD Programs made available on the same day as their respective Home Video Street Dates shall be 70%.

  • The “License Fee Per PPV Buy” for each PPV Included Program received by a PPV Subscriber shall be the greater of the Actual PPV Retail Price and the Deemed Price for such PPV Included Program, multiplied by the applicable PPV Licensor Share.

  • To make this theorem correct, the extra hypothesis b =ƒ 0 is required in statement (1).


More Definitions of Licensor Share

Licensor Share is sixty percent (60%).
Licensor Share for each Included Program means the applicable amount set forth in Schedule B with respect to the applicable Approved System, as determined by the number of days the Availability Date for such Included Program is after the Home Video Rental Street Date (HVRSD) in the applicable Territory.

Related to Licensor Share

  • Licensed Rights means the rights granted to You subject to the terms and conditions of this Public License, which are limited to all Copyright and Similar Rights that apply to Your use of the Licensed Material and that the Licensor has authority to license.

  • Licensed Property means the portion of the Software and the Documentation to which Customer has purchased a License as identified on an applicable Order. Licensed Property shall include any updates or upgrades to the Licensed Property that AvePoint may at its discretion deliver to Customer.

  • Licensor Technology means the Licensor Patents, the Licensor Know-How, Licensor Materials, and Non-Patent Rights Controlled by Licensor or its Affiliates embodied in Licensor Know-How or Licensor Materials.

  • licensed distributor means any holder of a distribution licence.

  • Licensed Site means a place in any authorised street at which street trading may be engaged in by a Licence Holder, and includes any temporary alternative place approved by the Council or a duly authorised Officer of the Council.

  • Sublicensee means a third party to whom LICENSEE grants a sublicense of certain rights granted to LICENSEE under this Agreement.

  • Licensed Space means the indoor and outdoor space on the premises approved by the department for the purpose of providing licensed child care.

  • Licensed Know-How means any and all unpatented and/or non-patentable technical data, documents, materials, samples and other information and know‐how that is Controlled by LICENSOR or any of its Affiliates as of the Effective Date or thereafter during the Term that relates to, or is otherwise reasonably necessary or reasonably useful for, the use, Development, manufacture, or Commercialization of the Product. Licensed Know-How shall not include Licensed Patents.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

  • Licensed System means, collectively:

  • Licensed User means an employee, contractor or agent of Client who is authorized by Client to access and use the Licensed Software, to whom a password and user ID has been issued by Client and whose access to the Licensed Software has not been terminated, suspended or surrendered.

  • Licensed Trademark means those Trademarks set forth on Exhibit A attached hereto and such other Trademarks as may be designated by NovaDel in writing from time to time, and any registrations of the foregoing and pending applications relating thereto.

  • Licensed Marks means those MLS GRID and MLS trademarks, service marks, word marks, logos and distinctive marks of all other kinds, if any, set out in Exhibit A as Licensed Marks.

  • Sublicense Income means any payments that Company receives from a Sublicensee in consideration of the sublicense of the rights granted Company under Section 2.1., including without limitation license fees, royalties, milestone payments, and license maintenance fees, but excluding the following payments: (a) payments made in consideration for the issuance of equity or debt securities of Company at fair market value, and (b) payments specifically committed to the development of Licensed Products.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Services means all functions performed by the Licensed System.

  • Licensed Service means a service provided using Licensed Products or Licensed Methods, including, without limitation, any such service provided in the form of contract research or other research performed by Licensee on behalf of a third party.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.
