Licensor Share definition

Licensor Share for each Licensed Film is set forth below (nothing in the below should be deemed to give Licensee any License Period for any Licensed Film longer than the License Period provided to Licensee by Licensor as stipulated by Licensor to Licensee pursuant to Section 4.3 hereof): CATEGORY LICENSOR SHARE BY MONTH* Month 1 Month 2 Month 3 Month 4 Megahits 50% 48% 48% 47% Current A 48% 46% 46% 45% Current B 46% 44% 44% 43% Current C 44% 42% 42% 41% Current D 41% 40% 40% 40% * To the extent that the License Period for any Licensed Film extends beyond four months, the Licensor Share for each subsequent month past the fourth month shall be the Licensor Share for the fourth month for the relevant Licensed Film.
Licensor Share shall have the meaning specified in Section 8.1 below.
Licensor Share means, subject to Sections 3.6 and 3.7: (i) for each Current Film with an Availability Date greater than or equal to thirty (30) days after its Home Video Street Date or, if no home video release occurred, 60%; (ii) for each Current Film with an Availability Date greater than or equal to 1 but no more than 29 days after its Home Video Street Date, 65%; (iii) for each Current Film with an Availability Date that is the same day as or earlier than its Home Video Street Date, 70% (unless Licensor receives a higher split in accordance with Sections 3.6.1 or 3.7.1, as applicable); and (iv) for each Library Film, 50%. With respect to each Territory, “Licensor’s Share” for each Included Program shall be as set forth in the applicable Exhibit.

Examples of Licensor Share in a sentence

  • For each Included Film, the Licence Fee shall be equal to (a) the number of Subscriber Transactions for such Included Film, multiplied by (b) the applicable Licensor Share, multiplied by (c) the greater of (i) the applicable Deemed Retail Price for such Included Film and (ii) the highest Actual Retail Price payable for such Included Film.


More Definitions of Licensor Share

Licensor Share for each Included Program means the applicable amount set forth in Schedule B with respect to the applicable Approved System, as determined by the number of days the Availability Date for such Included Program is after the Home Video Rental Street Date (HVRSD) in the applicable Territory.
Licensor Share is sixty percent (60%).

Related to Licensor Share

  • Licensed Site means a place in any authorised street at which street trading may be engaged in by a Licence Holder, and includes any temporary alternative place approved by the Council or a duly authorised Officer of the Council.

  • Sublicensee means a third party to whom LICENSEE grants a sublicense of certain rights granted to LICENSEE under this Agreement.

  • Licensee has the meaning set forth in the preamble.

  • Licensed Technology means the Licensed Know-How and Licensed Patents.

  • the Licensee means the person(s) named in the licence.

  • Licensed Trademarks means the trademarks, service marks, trade dress, logos and other icons or indicia designated by SCEA in the SourceBook 2 or other Guidelines for use on or in connection with Licensed Products. Nothing contained in this Agreement shall in any way grant Publisher the right to use the trademark "Sony" in any manner. SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • Sublicense Income means any payments that Company receives from a Sublicensee in consideration of the sublicense of the rights granted Company under Section 2.1., including without limitation license fees, royalties, milestone payments, and license maintenance fees, but excluding the following payments: (a) payments made in consideration for the issuance of equity or debt securities of Company at fair market value, and (b) payments specifically committed to the development of Licensed Products.

  • Licensed Services means all functions performed by the Licensed System.

  • Licensed Service means performance of a service for any consideration using a Licensed Product, or the practice of a Licensed Process. For clarity, research and development of Licensed Products by Licensee, its Affiliates, or a Sublicensee does not constitute a Licensed Service.
