Managed Services Terms definition

Managed Services Terms the terms and conditions relating to the provision of the Managed Services as set out in Schedule 1. Minimum Commitment: the minimum commitment of usage or number of Authorised Users (as the case may be) agreed between the Parties from time to time. Normal Business Hours: 8.30 am to 5.30 pm local UK time on Business Days unless otherwise set out in a Statement of Work. Out of Scope: those out of scope services specified as such in the Statement of Work together with any other services which are not detailed in the Statement of Work. Party/ies: a party to this Agreement or parties. Product(s): the Microsoft or other Third Party Services, tools, software, hardware, or professional support or consulting services provided under the terms of the Customer Agreement, applicable Licence Agreement, Third Party Terms or as otherwise agreed between the Parties. Professional Services: the professional services described in the Statement of Work to be performed by the Supplier in accordance with this Agreement. Professional Services Terms: the terms and conditions relating to the provision of the Professional Services as set out in Schedule 2. Purpose: the purposes for which the Client Personal Data is processed, as set out in the applicable Statement of Work. Rates: the Supplier’s standard hourly or daily fee rates as set out in the applicable Statement of Work.

Related to Managed Services Terms

  • Managed Services means the services provided by a Client to End Users using the SaaS and Client’s intellectual capital and/or additional services supplied by Client.

  • Online Services Terms means the additional terms that apply to Customer’s use of Online Services published on the Licensing Site and updated from time to time.

  • Services Term means the period during which you are entitled by Red Hat to use, receive access or consume a particular Red Hat Product pursuant to an Order Form or Business Partner order.

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Hosted Services means the hosting, management and operation of the computing hardware, ancillary equipment, Software, firmware, data, other services (including support services), and related resources for remote electronic access and use by the State and its Authorized Users, including any services and facilities related to disaster recovery obligations.

  • Service Terms means the service terms applicable to each Service, which are made part of this Agreement upon the date you elect to register for or use the applicable Service, and any subsequent modifications we make to those terms.

  • Account Information Service Provider means a payment service provider pursuing business activities as referred to in point (8) of Annex I;

  • Payment Initiation Service Provider or “PISP” means an authorised third party provider which provides a service that allows that third party to pass payment instructions to us on your behalf in relation to your Account.

  • Network plan means a policy of group health insurance offered by an insurer under which the financing and delivery of medical care, including items and services paid for as medical care, are provided, in whole or in part, through a defined set of providers under contract with the insurer. The term does not include an arrangement for the financing of premiums.

  • Service Level Agreement (SLA) means the Contractual Commitment that prevails between the Buyer and the Service Provider with regard to type of service to be provided, deliverables, desired performance level, reliability and responsiveness, monitoring process and service level reporting, response and issue resolution time-frame, repercussions / penalties / remedies for service provider not meeting its commitment. The SLA of a particular contract may carry the matrix regarding the delivery of the goods and/or services and the corresponding penalties or remedies and liquidated damages as applicable.

  • Service Level Agreement or SLA means the processes, deliverables, key performance indicators and performance standards relating to the Services to be provided by the Service Provider;
