Member’s Obligations a. Calendar Year Deductible. This amount, when applicable, must be satisfied each Calendar Year before AvMed’s payment toward Covered Services will begin. Subject to Section 12.10, only those expenses for Covered Services submitted on Claims to AvMed will be credited toward the Calendar Year Deductible, and only up to the applicable Allowed Amount or Maximum Allowable Payment. Certain Covered Services may not be subject to the Calendar Year Deductible, as shown in your Schedule of Benefits.

The Self-only or Individual Calendar Year Deductible, when applicable, must be satisfied by each Member each calendar year before AvMed’s payment toward Covered Services will begin during that calendar year.
Member’s Obligations. In any case of Deadlock each of the Members shall (at the request of any Member) within fifteen (15) Business Days of Deadlock having arisen or become apparent, cause the Chairman of the Board, to prepare and circulate to the Members and the other Directors a memorandum or other form of statement setting out its position on the matter in respect of which the Deadlock has arisen and its reasons for adopting that position, but on the basis that such memorandum or statement shall always be prepared and delivered on a “without prejudice” basis. Each Member shall then refer the Deadlock to its Head of Paid Service and such persons shall use all reasonable efforts in the 20 Business Days following such reference to resolve the Deadlock.
Member’s Obligations. Except upon proper expressed cancellation and transfer rights, Member shall not be relieved of his/her obligations to make payment agreed to, and no deduction or allowance from any said payments shall be made, by reason at Member’s failure to attend or use the center’s facilities. (Member dues compensate the center for a period of time when the member is eligible to use facilities and is no way related to actual usage of the center.)
Member’s Obligations. 7.1. In his/her relations with EAÜ every Member is obliged: 7.1.1. to inform immediately EAÜ of changes related to his/her name or contact details (postal address, e-mail address, telephone) as well as bank account; 7.1.2. to submit to EAÜ sheet music of the Work, sound recording or other relevant material upon request by EAÜ; 7.1.3. not to hinder with his/her actions the activities of EAÜ in exercise of the rights resulting from the Agreement; 7.1.4. not to harm the reputation of EAÜ. 7.2. The Member as an author is obliged to register with EAÜ all the Works created by the time of the conclusion of the Agreement and the Works that will be created during the validity period of the Agreement in accordance with the procedure established by the board of EAÜ. 7.3. The Member as a publisher is obliged: 7.3.1. to submit to EAÜ documents proving that his/her areas of activity include publishing of music that he/she is constantly engaged in; 7.3.2. to submit to EAÜ all the copies of the publishing agreements concluded by him/her and to ensure that all the Works published by him/her are registered with EAÜ; 7.3.3. immediately to communicate EAÜ about all the alterations or early terminations concerning all the publishing agreements concluded.
Member’s Obligations. Each Member by its execution hereof acknowledges and agrees that it shall do all things necessary and appropriate in respect of the collection of special charges (or installments thereof), the certification of special charges on the tax rolls, the remittance of special charges collected as directed by the Commission and otherwise as such Member would perform in connection with special charges imposed by it on real property within its jurisdiction; and further shall cooperate with the Commission in respect of the enforcement of the liens of special charges on such properties.
Member’s Obligations. In addition to payment of the Environmental Contribution, the Member is bound by the obligations below in its capacity as producer.

Member’s Obligations. 5.1. The Member will comply with Aquis’ reasonable test requirements in relation to connectivity, IT systems and such other matters as Aquis may reasonably specify. 5.2. The Member shall maintain a connection to Aquis MTF of such minimum quality as Aquis may reasonably prescribe from time to time in accordance with the Technical Specification(s). The Member is solely responsible for connecting to, and maintaining its connection to, Aquis MTF. 5.3. The Member shall ensure that it meets the continuing obligations requirements as set out in the Rules as amended. 5.4. The Member shall provide Aquis with prior written notice (or, if not possible, as soon as reasonably practicable notice): 5.4.1. of any proposed or actual changes to its clearing arrangements and any material proposed or actual changes to its connectivity arrangements or IT systems; 5.4.2. of any Change of Controller; 5.4.3. of any material change in business or financial condition, or legal status that could affect the Member’s ability to comply with the Rules; and/or 5.4.4. in the event the Member becomes or is deemed insolvent, or has a receiver, administrative receiver, administrator or manager appointed over the whole or any part of its assets or business or is unable to pay its debts as they fall due. 5.5. The Member agrees that (to the extent it owns any rights to the same) Aquis may possess or use Member Data for any legitimate business purpose. Aquis shall not distribute such data to any third party without the prior written consent of the Member. Aquis will ensure that Member Data is de-identified and aggregated in a manner that does not directly identify or link the Member with any orders or transactions, where such Member Data is used in a data feed or otherwise made available to third parties. 5.6. The Member confirms that they comply with all applicable anti-corruption laws including the Xxxxxxx Xxx 0000. 5.7. The Member may not act as a Liquidity Provider on Aquis MTF unless and until it has executed a Liquidity Provider Addendum with Aquis.
Member’s Obligations. Each of the Members acknowledges that the confidential information and trade secrets of the other two parties shall be subject to Section 6.4 of the Operating Agreement as if each Member was the Company for the purposes of such section.
