Plan Transaction Documents definition

Plan Transaction Documents means all definitive documents and agreements to which the Debtors will be a party as contemplated by the Plan Sponsor Agreement and the Plan, including (a) the motion to approve the Plan Sponsor Agreement and the Plan Sponsor Agreement Approval Order; (b) the Plan and any documentation or agreements related thereto; (c) the Confirmation Order and pleadings in support of entry thereof; (d) the Backstop Commitment Letter, the Rights Offering Procedures, and any documentation or agreements related thereto, the motion to approve the Backstop Commitment Letter and Rights Offering Procedures, and the Backstop and Rights Offering Procedures Approval Order; (e) the Disclosure Statement, the solicitation materials in respect of the Plan, the motion to approve the Disclosure Statement, and the Disclosure Statement Approval Order; (f) the Employee Compensation Plans; (g) the Exit Facility Commitment Agreements and any documentation or agreements relating thereto; (h) the documents comprising the Exit Facility and any documentation or agreements related thereto; (i) the documents comprising the Euro Notes Exchange Offer and any documentation or agreements relating thereto; and (j) all documents that will comprise the Plan Supplement. The form and substance of each document comprising the Plan Transaction Documents shall be acceptable to the Plan Sponsor.

Plan Transaction Documents means all definitive documents and agreements to which the Debtors will be a party as contemplated by the Plan, including (a) the Plan and any documentation or agreements related thereto; (b) the Confirmation Order and pleadings in support of entry thereof; (c) the Disclosure Statement, (d) the Exit Facility Credit Agreement and any documentation or agreements relating thereto; and (e) all documents that will comprise the Plan Supplement.

Plan Transaction Documents means all definitive documents and agreements to which the Debtors will be a party as contemplated by the Plan including, without limitation, (a) the Plan and any documentation or agreements related thereto, (b) the Confirmation Order and pleadings (but not declarations) in support of entry thereof, (c) the solicitation materials in respect of the Plan, the motion to approve the Disclosure Statement, and the Disclosure Statement Order, (d) the Backstop Commitment Agreement, BCA Approval Order, Registration Rights Agreement, and Rights Offering Procedures, (e) the Reorganized Parent Organizational Documents and related corporate governance documents, and (f) all documents that will comprise the Plan Supplements.

• For the avoidance of doubt, the failure to specify a particular consent right in this Plan that is otherwise set forth in the RSA does not in any way impair, alter, or amend such consultation rights, which remain binding on the parties to the RSA and incorporated into the Plan, the Plan Supplement, and any Plan Transaction Documents or other related documents.

• The Debtor has exercised reasonable business judgment in deciding to enter into the Plan Transaction Documents, and all such Plan Transaction Documents, including the fees, expenses, and other payments set forth therein have been negotiated in good faith and at arm’s-length, are supported by reasonably equivalent value and fair consideration, and shall, upon completion of documentation and execution, be valid, binding, and enforceable agreements.

• All Plan Transaction Documents that remain subject to negotiation and completion shall contain terms, conditions, representations, warranties, and covenants materially consistent with the terms of this Agreement and the Plan Term Sheet, and shall otherwise be in form and substance reasonably satisfactory to each of (i) Exide and (ii) the Required Consenting Creditors.

Plan Transaction Documents means all definitive documents and agreements to which the Debtors or the Reorganized Debtors will be a party as contemplated by the RSA and the Plan, including (a) the Plan and any documentation or agreements related thereto; (b) the Confirmation Order and pleadings in support of entry thereof; (c) the New Organizational Documents; (d) the New First Lien Facility Documents; (e) the Warrants; (f) the DIP Financing; and (g) each other document that will comprise the Plan Supplement. The form and substance of each document comprising the Plan Transaction Documents shall be acceptable to the Debtors and the Majority Consenting Lenders.
