V případě, že Zadavatel ukončí spolupráci mezi Zadavatelem a XXXXX xx xxxx Xxxxxx, xxxx XXXXX xx xxxxxxx žádosti Zadavatele převést tuto Smlouvu na Zadavatele nebo jakoukoli třetí stranu zvolenou Zadavatelem. Místo provedení klinického hodnocení tímto souhlasí s takovým postoupením. Místu provedení klinického hodnocení bude takové postoupení či převod oznámeno Zadavatelem bez zbytečného odkladu. V případě takového postoupení této Smlouvy nebude IQVIA odpovídat za jakékoli závazky či odpovědnost za škodu podle této Smlouvy, jež vzniknou po datu postoupení, pokud takové závazky a/nebo odpovědnost za škodu nevzniknou v důsledku nedbalého jednání nebo vědomého porušení povinnosti nebo předchozího porušení Smlouvy na straně společnosti IQVIA. 18.4 Rozhodné právo Tato Smlouva bude vykládána a vymáhána v souladu s právním řádem České republiky. Jakékoli spory, neshody nebo nároky vzniklé na základě této smlouvy nebo ve spojitostí s ní, které není možné urovnat vzájemnou dohodou smluvních stran, budou řešeny prostřednictvím příslušného soudu České republiky. 18.5 Rozhodná jazyková verze Tato Smlouva je vyhotovena v anglickém a českém jazykovém znění. V případě jakéhokoli rozporu bude rozhodující česká jazyková verze. 18.6 Přetrvávající platnost Podmínky této Smlouvy, jež obsahují práva a povinnosti, jež svojí povahou nebo jak je výslovně uvedeno v této Smlouvě překračují okamžik dokončení Studie, zůstanou závazné i v případě ukončení či vypršení platnosti této Smlouvy.
