Quarterly Research Fee definition

Quarterly Research Fee means one-fourth ( 1/4) of the budget set forth for the relevant calendar year in the applicable Research Plan. To the extent any Research and Development Funding provided by Purdue in any calendar year pursuant to this Section 5.1 exceeds actual Research and Development Expenses incurred by Infinity in such year, such excess amount shall be applied toward any funding obligation that Purdue may have to Infinity with respect to Research and Development Expenses in the following calendar year. At the end of the Research Program Term, Infinity shall deliver a report to Purdue detailing the total Research and Development Expenses incurred by Infinity under the Research Program.
