Rights Offer Shares definition

Rights Offer Shares has the meaning given in Section 5.6(a).
Rights Offer Shares. The approximately 1,345,139,558 Econet Wireless Zimbabwe Limited Shares (comprising of 1,082,088,944 Ordinary Shares and 263,050,614 Class A Shares), each of which shall be linked to a Debenture, to be offered by Econet Wireless Zimbabwe Limited to Econet Wireless Zimbabwe Limited’s shareholders registered as such on the Record Date in terms of Rights Offer and at an offer price of 5 US Cents per share;
Rights Offer Shares means 228,571,376 Shares, including, for the avoidance of doubt, the Firm

Examples of Rights Offer Shares in a sentence

  • Rights Offer Shares will not be allotted in the name of an estate or a trust.

  • The table of entitlement illustrating the number of Rights Offer Shares to which Qualifying Shareholders will be entitled is set out in Annexure 1 to this Circular.

  • The Enclosed Form of Instruction reflects the Rights Offer Shares for which the Certificated Shareholder is entitled to subscribe.

  • The whole number of Rights to subscribe for Rights Offer Shares to which Qualifying Shareholders will become entitled will be determined by the Ratio of Entitlement.

  • If you are the person(s) in whose favour this Form of Instruction has been renounced and you wish to subscribe for the Rights Offer Shares, complete the applicable blocks as stated above as well as Form C of this Form of Instruction.

  • Please tick this box if you do NOT wish to receive the Rights Offer Shares to which you are entitled in Dematerialised form and instead wish to “rematerialise” the Dematerialised Rights Offer Shares due to you and replace these with a physical Document of Title (share certificate).

Rights Offer Shares means the 5 714 286 New Ordinary Shares, which are the subject of the Rights Offer; “Rights Offer Share Price” means the price per Rights Offer Share to be offered to Qualifying Shareholders in terms of the Rights Offer being R175.00 per Rights Offer Share, which has been determined on the basis set out in this Circular; “SARB” means the South African Reserve Bank; “SBSA” means The Standard Bank of South Africa Limited (Registration number 1962/000738/06), a public company incorporated with limited liability in accord- ance with the laws of South Africa (acting through its Corporate And Investment Banking Division); “Securities” means the securities of Nampak referred to in this Circular, being Nampak Shares; “SENS” means the Stock Exchange News Service of the JSE; “South Africa” or “SA” means the Republic of South Africa; “Strate” means Strate Proprietary Limited (Registration number 1998/022242/07), a private company incorporated with limited liability in accordance with the laws of South Africa, which is licensed as a registered central securities depositary under the Financial Markets Act responsible for the electronic custody and settlement system for transactions that take place on the JSE and off-market trades; “STT” means securities transfer tax; “Transfer Secretaries” means Computershare Investor Services Proprietary Limited (Registration number 2004/003647/07), a private company duly incorporated in accordance with the laws of South Africa, being Nampak’s transfer secretaries; “Treasury Shares” means 175 097 Ordinary Shares held by Nampak Products Limited; “Underwriters” means Coronation, A2 and Numus; “Underwriting Agreements” means the Coronation Underwriting Agreement, A2 Underwriting Agreement and Numus Underwriting Agreement; “United States” or “US” means the United States of America, its territories and possessions, any state of the United States and the District of Columbia; “US Securities Act” means the US Securities Act of 1933, as amended from time to time; “US$” or “US Dollar” or “USD” means the United States dollar, the lawful currency of the United States; “VAT” means value-added tax in terms of the South African Value-Added Tax Act, No. 89 of 1991, as amended from time to time; and “ZWL” means Zimbabwean dollars.
Rights Offer Shares means 357,142,857 Shares under the terms of the Rights Offer; “Securities Services Act” means the Securities Services Act, 2004 (Act 36 of 2004) of South Africa;

Related to Rights Offer Shares

  • New Securities means, collectively, equity securities of the Company, whether or not currently authorized, as well as rights, options, or warrants to purchase such equity securities, or securities of any type whatsoever that are, or may become, convertible or exchangeable into or exercisable for such equity securities.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Company Shares has the meaning set forth in the Recitals.

  • Sale Shares shall have the meaning set forth in Recital B above; and

  • Public Shares means the Ordinary Shares included in the Units issued in the Public Offering; (vi) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Warrants shall be deposited; (vii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b); and (viii) “Charter” shall mean the Company’s Amended and Restated Memorandum and Articles of Association, as the same may be amended from time to time.
