Role of Members. A Member, while a Member, retains the Lawyers exclusively to act for the Member in prosecution of their Claim and via the Scheme.
Role of Members. Each Member agrees to undertake such additional proceedings or actions as may be necessary in order to carry out the terms and intent of this Agreement, including actions specifically required by this Agreement. The support of each Member is important to the success of the Authority.
Role of Members. (a) The Members shall not have any right or power to take part in the management or control of the Company or its business and affairs or to act for or bind the Company in any way. Notwithstanding the foregoing, the Members shall have all of the rights and powers specifically set forth in this Agreement and, to the extent not inconsistent with this Agreement, the Act.
(b) The Members shall have voting rights solely with respect to matters for which the approval of the Members is affirmatively required by the Act.
Role of Members. (i) Meetings of the Members may be called upon the written request of the Board or Members holding at least 50% of the outstanding Units. Such request shall state the location of the meeting and the nature of the business to be transacted at the meeting. Written notice of any such meeting shall be given to all Members not less than two Business Days and not more than 30 days prior to the date of such meeting. Members may vote in person, by proxy or by telephone at any meeting of the Members and may waive advance notice of such meeting. Whenever the vote or consent of Members is permitted or required under this Agreement, such vote or consent may be given at a meeting of the Members or may be given in accordance with the procedure prescribed in this Section 3.01(c). Except as otherwise expressly provided in this Agreement, the affirmative vote of the Members holding a majority of the outstanding Units shall constitute the act of the Members. In any vote or consent of the Members where the Members holding Series A Preferred Units are entitled to vote, the holders of Series A Preferred Units will vote on an as converted to Common Unit basis assuming such Series A Preferred Units are converted pursuant to the Series A Preferred Conversion.
(ii) Each Member may authorize any Person or Persons to act for it by proxy on all matters in which such Member is entitled to participate, including waiving notice of any meeting, or voting or participating at a meeting. Every proxy must be signed by such Member or its attorney-in-fact. No proxy shall be valid after the expiration of 11 months from the date thereof unless otherwise provided in the proxy. Every proxy shall be revocable at the pleasure of the Member executing it.
(iii) Each meeting of Members shall be conducted by the Board or such individual Person as the Board deems appropriate.
(iv) Any action required or permitted to be taken by the Members may be taken without a meeting if the requisite Members whose approval is necessary consent thereto in writing (including the election of the Managers pursuant to Section 6.01). Any consent or approval of the Members required or permitted by this Agreement to be “written” may also be made by the use of electronic transmission.
Role of Members. 3.1 Members are requested to send a deputy to meetings if they are unable to attend.
3.2 To share information and provide updates at each meeting.
3.3 To feedback from this group to other groups involved and vice versa.
3.4 To identify issues that needs addressing.
Role of Members. Each Member agrees to cooperate in the development of a single GSP for the Corning Subbasin pursuant to the terms of this Agreement, and to comply with implementation of SGMA. This support will involve the following types of actions:
6.3.1. The Members will provide designated staff to support facilitating the development and implementation of the GSP by making available staff time, information, services, and facilities within available resources.
6.3.2. Contributions of funds and of personnel, services, equipment, or property may be made by any Member for any of the purposes of this Agreement, provided that no repayment will be made for such contributions unless otherwise agreed upon in accordance with Article 9.
Role of Members. Each Member agrees to cooperate in the development and implementation of a single GSP for the Basin pursuant to the terms of this Agreement and SGMA. This support will involve the following types of actions:
6.3.1. The Members will provide designated staff to facilitate the development of the GSP by making available staff time, information, services, and facilities within available resources.
6.3.2. Contributions of public funds and of personnel, services, equipment, or property for any of the purposes of this Agreement, provided that no repayment will be made for such contributions unless otherwise agreed upon.
Role of Members. Each Member agrees to undertake such additional proceedings or actions as may be necessary in order to carry out the terms and intent of this Agreement. The support of each Member is required for the success of the Authority. This support will involve the following types of actions:
a. On or before June 30, 2017, or if this Agreement is not executed before that date, upon execution of the Agreement, each Member that has previously filed notification with DWR to become a GSA will immediately take the steps necessary toformally rescind or relinquishwithdraw its respective individual GSA status within the boundaries of the Authority, such that the Authority is the sole GSA in the Basin.
b. The Members will provide support to the Board of Directors and any third party facilitating the development of the GSP by making available staff time, information and facilities within available resources.
c. Policy support shall be provided by the Members to either approve, or respond quickly to, any recommendations made as to funding shares, operational decisions, fare structures, and other policy areas.
d. Each Member shall contribute its share of operational fund allocations, as established by the Board of Directors in the annual budget, as approved by the Board of Directors.
e. Contributions of public funds and of personnel, services, equipment or property may be made to the Authority by any Member for any of the purposes of this Agreement provided that no repayment will be made for such contributions.
Role of Members. Members are expected to attend and fully participate in all meetings and to articulate their views and the views of their constituencies. Members are encouraged to strive to bridge gaps in understanding, seek creative resolution of differences which integrate the needs of all stakeholders, and to commit to the purpose enumerated above.
