Sustainability Certificate definition

Sustainability Certificate means a certificate signed by the Chief Executive Officer or Chief Financial Officer of the Parent Guarantor, in a form and substance reasonably satisfactory to the Agent and the Sustainability Coordinator and substantially in the form of Appendix B (Form of Sustainability Certificate) that shows the details of the weighted average of the Annual Efficiency Ratio (AER) of the vessels owned and bareboat chartered-in by the Parent Guarantor and its subsidiaries, setting forth the Sustainability Pricing Adjustment.
Sustainability Certificate means a certificate substantially in the form of Exhibit K.
Sustainability Certificate means a certificate substantially in the form of Exhibit 1.10(e), executed by the chief executive officer, chief operating officer, chief financial officer, chief sustainability officer, treasurer, assistant treasurer, controller or senior vice president of finance of the Borrower (a) setting forth the Sustainability Rate Adjustment, the Sustainability Commitment Fee Adjustment and calculations in reasonable detail of the KPI Metrics, in each case, for the Reference Year covered thereby, (b) attaching a true and complete copy of the Borrower’s Sustainability Report for the applicable Reference Year and (c) attaching a true and complete report of the Sustainability Metric Auditor, which report (i) measures, verifies, calculates and certifies each KPI Metric set forth in the Sustainability Certificate or the Sustainability Report, as applicable, for the applicable Reference Year and (ii) confirms that the Sustainability Metric Auditor is not aware of any modifications that should be made to such computations in order for them to be presented in all material respects in conformity with the ESG Standards.

Sustainability Certificate means a certificate substantially in the form set out in Exhibit F (Form of Sustainability Certificate).
Sustainability Certificate means a certificate in the form attached hereto as Exhibit O signed by a Financial Officer of the Borrower, in a form and substance reasonably satisfactory to the Administrative Agent and the Sustainability Coordinator delivered pursuant to Section 5.01(c)(iii).
Sustainability Certificate means a certificate substantially in the form of Exhibit H executed by an Authorized Representative of the Borrower and attaching (a) setting forth in reasonable detail the calculation of the KPI Metrics, the Sustainability Applicable Margin Adjustment and the Sustainability Facility Fee Adjustment, in each case, for the Reference Year covered thereby, (b) attaching a true and complete copy of the Borrower’s Sustainability Report and GRESB Report for the applicable Reference Year, (c) for calendar year ending December 31, 2022, attaching documentation and other information attesting to the development (including, but not limited to its table of contents, delivery method and requirements for completion) of Employee Sustainability Training on or before December 31, 2022, and (d) for subsequent Reference Years, attaching a review report of the Employee Sustainability Training Provider confirming that the Employee Sustainability Training Provider is not aware of any material modifications that should be made to computations included in the Sustainability Certificate in order for them to be presented in all material respects in conformity with the applicable reporting criteria.
Sustainability Certificate means a certificate substantially in the form of Exhibit M executed by a Responsible Officer of the Borrower (a) setting forth in reasonable detail the calculation of the KPI Metric and the Sustainability Rate Adjustment, in each case, for the Reference Year covered thereby, (b) attaching a true and complete copy of the Borrower’s Sustainability Report for the applicable Reference Year and (c) attaching a true and complete review report of the Sustainability Metric Auditor confirming that the Sustainability Metric Auditor is not aware of any modifications that should be made to such computations in order for them to be presented in all material respects in conformity with the SASB Standards.
Sustainability Certificate means, in relation to a Target Observation Date, the certificate signed by the Key Performance Indicator Auditors verifying the Issuer’s determination that each of the Key Performance Indicators (and not only some of them) as at that Target Observation Date has achieved the respective Sustainability Performance Targets for that Target Observation Date, to the satisfaction of the Key Performance Indicator Auditors, and showing the calculation or quantification of the Key Performance Indicators;
