Voluntary Action definition

Voluntary Action means, in respect of any Property, a voluntary action or omission by any Loan Party or an action or omission by any third party authorized by a Loan Party that, in each case, such Loan Party intends to result in (i) an imposition of a Lien (other than a Permitted Lien) on such Property or (ii) a Transfer of such Property in violation of this Agreement.
Voluntary Action means a voluntary action, as defined in section 3746.01 of the Revised Code, that is conducted under the voluntary action program established in Chapter 3746. of the Revised Code.
Voluntary Action means a series of measures that may be undertaken to identify and address potential sources of contamination of property by hazardous substances or petroleum and to establish that the property complies with applicable standards. "Voluntary action" may include, without limitation, a phase I property assessment conducted in accordance with rules adopted under division (B)(3) of section 3746.04 of the Revised Code or division (B) of section 3746.07 of the Revised Code, as appropriate, a phase II property assessment conducted in accordance with rules adopted under division (B)(4) of section 3746.04 of the Revised Code or division (C) of section 3746.07 of the Revised Code, as appropriate, a sampling plan, a remedial plan, or remedial activities followed by the issuance of a no further action letter under section 3746.11 of the Revised Code indicating that the property meets applicable standards upon demonstration by the person undertaking the measures either that there is no information indicating that there has been a release of hazardous substances or petroleum at or upon the property or that there has been a release of hazardous substances or petroleum at or upon the property and that applicable standards were not exceeded or have been or will be achieved in accordance with this chapter and rules adopted under it.

Voluntary Action means inspections or testing undertaken by or on behalf of the Investor or the LLCs that do not fall into one or more of the following categories (a)-(c): (a) required by applicable Environmental Law or the terms of a lease agreement then in effect, (b) undertaken in reasonable response to an unsolicited third party claim or demand or (c) undertaken in reasonable response to material facts indicating a potentially significant threat to human health or the environment. Notwithstanding the foregoing, under no circumstances shall "voluntary action" include either of the following: (i) the discovery of On-Site Contamination in the course of or in connection with production, maintenance, repair and inspection activities conducted in the normal course of the operation of the CTG Business, including environmental surveillance activities conducted pursuant to industry standard environmental management systems, consistent with standard industry practices; and (ii) actions taken in the ordinary course of facility expansion or construction projects.
Voluntary Action means any act or omission by or on behalf of any Buyer Indemnified Party, including any communication with any Governmental Entity or any soil, groundwater, surface water or soil or gas or vapor investigation or study undertaken after the Closing, unless such act or omission is (a) required by any applicable Law, (b) necessary to avoid a legal proceeding threatened in writing by a Governmental Entity under any applicable Law or (c) necessary to evaluate, prevent or mitigate a material and imminent threat to human health or the environment that first becomes known to Buyer after the Closing. Where any group or category of items or matters is defined collectively in the plural number, any item or matter within such definition may be referred to using such defined term in the singular number, and vice versa.
