  • The initial list of Xxxxxxx Software, if any, that is necessary for the Provider to use to perform the Services shall be identified in each SOW and updated as needed.

  • As between the Parties, Xxxxxxx is the sole and exclusive owner of all of Xxxxxxx Software, whether or not identified in an SOW, and except as expressly provided herein, nothing contained in the Agreement shall be construed to grant to Provider any right, title, license or other interest in, to or under any of Xxxxxxx Software (whether by estoppel, implication or otherwise).

  • Provider shall be responsible, at no charge to Xxxxxxx, for any modification or enhancement to, or substitution for, Xxxxxxx Software, the Provider Software, the Third Party Software and the Developed Software, and any other equipment or software used in connection with the Services, necessitated by: (i) unauthorized changes by Provider to Xxxxxxx Software or the Developed Software or (ii) changes by Provider to the Provider Software or related operating environments.

  • When Xxxxxxx Equipment, Xxxxxxx Software or related resources are no longer required for performance of the Services, or at Xxxxxxx written request, Provider shall return same to Xxxxxxx in substantially the same condition as when Provider began use thereof subject to reasonable wear and tear, if applicable.

Xxxxxxx Software means Xxxxxxx'x proprietary commercial computer software products described in ATTACHMENT 1.1, including any Updates thereto released from time to time by Xxxxxxx.

Xxxxxxx Software means Xxxxxxx’x simulation software solution for developing, testing and validating a ground vehicle’s autonomous driving system (ADS) and/or ADAS systems and their sensors (as well as for other transportation solutions, such as urban traffic planning), including all workarounds, bug fixes, corrections, modifications, new releases, and new versions of the Xxxxxxx Software which will be made available to You. Related to Xxxxxxx Software

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Software means any and all computer programs, including any and all software implementations of algorithms, models and methodologies, whether in source code or object code; databases and compilations, including any and all data and collections of data, whether machine readable or otherwise; descriptions, flow-charts and other work product used to design, plan, organize and develop any of the foregoing, screens, user interfaces, report formats, firmware, development tools, templates, menus, buttons and icons; and all documentation including user manuals and other training documentation related to any of the foregoing.
