TERMINATION. Buyer may immediately terminate all or any part of this Order at any time for any reason or for convenience upon notice to Seller. Seller immediately shall, and cause its suppliers and subcontractors to, stop all work on the portion of the Order so terminated. Seller shall submit a comprehensive termination claim with sufficient supporting data to Buyer within 30 days from the effective date of termination. Seller shall submit all supporting information as Buyer shall request. If such materials are delivered to Buyer, Buyer shall pay to Seller the price for unpaid: (a) completed goods and services; and (b) actual costs of work-in-process and raw materials incurred by Seller in furnishing the goods and services under this Order to the extent reasonable and properly allocable or apportionable under generally accepted accounting principles to the terminated portion of this Order, less the reasonable value or cost (whichever is higher) of goods or materials used or sold by Seller with Buyer’s consent. Buyer shall not pay for: (a) finished goods, works-in- process or raw materials in excess of this Order or shipment releases; (b) amounts subject to a condition precedent according to the delivery schedule sent by the Buyer, (c) undelivered goods which are in Seller’s standard stock or that are readily marketable; (d) claims by Seller or Seller’s subcontractors for loss of anticipated profit, unabsorbed overhead, interest on claims, product development and engineering costs, facilities and equipment rearrangement costs or rental, unamortized depreciation costs, and general and administrative burden charges arising from termination;

El Proveedor no podrá terminar anticipadamente el Contrato. Las obligaciones del Comprador con sus clientes han sido asumidas en función de los compromisos contraídos por el Proveedor en cada Pedido, por ello, el Proveedor no tendrá derecho a finalizar anticipadamente o de otra forma suspender el cumplimiento de la totalidad o parte del Contrato por ninguna causa, incluyendo entre otras, la inseguridad del Proveedor en el cumplimiento de las obligaciones por parte del Comprador. En el caso de existencia de cualquier disputa entre el Proveedor y el Comprador, que surja de, o esté en conexión con, cualquier Pedido; el Comprador y el Proveedor trabajarán para resolver la disputa de buena fe; sin embargo, ninguna disputa eximirá al Proveedor de su obligación con el Cliente de un suministro ininterrumpido y en las cantidades, plazos y condiciones establecidos bajo el Pedido. In no event shall Buyer’s obligation to Seller for termination charges exceed the amount allowed by Xxxxx’x customer for Seller’s work. In the event of termination, Seller shall protect all property in Seller’s possession or control in which Buyer or its customer has or may acquire an interest, including the Buyer’s property. Buyer and its customer shall have the right to full access to Seller’s premises during regular business hours in order to audit books, records, facilities, view the work, material, and inventories relating and all other relevant matters relating to any termination claim. Seller assumes the risk of the product production life being cancelled or extended by the OEM. Notwithstanding the above, if an expiration date or time is specified in an order, that order is binding until such expiration date, and is always subject to buyer termination right. Unless otherwise stated in the order, Buyer shall not be required to purchase the goods or services exclusively from seller. No Termination Right by Seller. Because Purchaser’s commitments to its Customers are made in reliance on Seller’s commitments under each Order, Seller has no right to terminate or otherwise suspend performance under all or any part of any Order for any reason, including without limitation Seller´s insecurity regarding Purchaser’s performance. In the event of any dispute between Seller and Purchaser arising out of, or in connection with, any Order, Purchaser and Seller will work to resolve the dispute in good faith; provided, however, that no such dispute shall excuse Seller’s obligation to provide Purchaser with a continuous, uninterrupted supply of Goods in accordance with the terms of the Order
