Physical Delivery. (1) Asset Transfer Notices In relation to Physical Delivery Certificates, in order to obtain delivery of the Entitlement(s) in respect of any Certificate, the relevant Holder must (a) in the case of Global Certificates held by a Common Depositary on behalf of Clearstream, Luxembourg or Euroclear and/or any other relevant Clearing System or by Euroclear France, deliver to Clearstream, Luxembourg or Euroclear and/or any other relevant Clearing System, as the case may be, or, as the case may be, the relevant Account Holder (in the case of Euroclear France Certificates), not later than 10.00 a.m. (Local Time) on the Cut-off Date, (b) in the case of Certificates represented by a Rule 144A Global Certificate held by a Custodian on behalf of DTC, deliver to the New York Certificate Agent not later than 5.00 p.m., New York City time on the Business Day in New York preceding the Cut-off Date or (c) in the case of Certificates represented by Private Placement Definitive Certificates, deliver to the Definitive Certificate Agent, not later than 5.00 p.m., New York City time on the Business Day in New York preceding the Cut-off Date, with a copy to the relevant Certificate Agent, a duly completed asset transfer notice (an "Asset Transfer Notice") in the form set out in the Agency Agreement in accordance with the provisions set out in this Condition. Copies of the Asset Transfer Notice may be obtained during normal business hours from the specified office of any Certificate Agent. In the case of Global Certificates, an Asset Transfer Notice may only be delivered in such manner as is acceptable to the relevant Clearing System or, as the case may be, the relevant Account Holder, which is expected to be by authenticated SWIFT message or tested telex or, in the case of the New York Certificate Agent and in the case of the Definitive Certificate Agent, by facsimile.

  • Notices All notices to Holders shall be valid if (i) (a) in the case of Clearing System Warrants (other than Warrants represented by a Rule 144A Global Warrant held by a Custodian on behalf of DTC) and Italian Dematerialised Warrants, delivered to the relevant Clearing System, (in the case of English Law Warrants) or the relevant Account Holder (in the case of French Law Warrants) for communication by them to the Holders, (b) in the case of Warrants represented by a Rule 144A Global Warrant held by a Custodian on behalf of DTC, to DTC for communication by it to the Holders and any such notices shall be conclusively presumed to have been received by the Holders, (c) in the case of Warrants represented by Private Placement Definitive Warrants, mailed to their registered addresses appearing in the Private Placement Register, (d) in the case of Registered Warrants, mailed to their registered addresses appearing in the Register or (e) in the case of VPC Warrants, mailed by VPC in accordance with the SFIA Act and the VPC rules and (ii) for so long as the Warrants are listed on a stock exchange or are admitted to trading by another relevant authority, in accordance with the rules and regulations of the relevant stock exchange or other relevant authority (in the case of Italian Dematerialised Warrants that are Italian Listed Warrants such notices shall be published by Borsa Italiana S.p.A.). If the Warrants are listed and admitted to trading on the Luxembourg Stock Exchange, and so long as the rules of the Luxembourg Stock Exchange so require, notices shall be made available on the website of the Luxembourg Stock Exchange ("▇▇▇.▇▇▇▇▇▇.▇▇"). Any such notice shall be deemed to have been given on the second Business Day following such delivery or, if earlier, the date of such publication or, if published more than once, on the date of the first such publication.

  • Diritto di rivalsa La Società si riserva il diritto di Rivalsa per somme indebitamente pagate in conseguenza di un atto doloso compiuto dall’Assicurato.

  • DIRITTO DI SURROGA La Società, per effetto del pagamento dell’Indennizzo all’Assicurato, si intende surrogata, fino alla concorrenza dell’importo pagato e per lo stesso titolo, nei diritti dell’Assicurato verso il terzo responsabile. Salvo il caso di dolo, la Società rinuncia al diritto di surrogazione se il danno è causato dal conducente che abbia diritto di utilizzo del veicolo.

  • Diritto di assemblea Fatto salvo quanto previsto in tema di diritti e prerogative sindacali dal CCNQ del 07.08.1998 e dalla disciplina contrattuale di comparto, i dipendenti hanno diritto di partecipare, durante l'orario di lavoro, ad assemblee sindacali in idonei locali concordati con l'amministrazione, per 12 ore annue pro capite, senza decurtazione della retribuzione. Le assemblee, che riguardano la generalità dei dipendenti o gruppi di essi, possono essere indette singolarmente o congiuntamente, con specifico ordine del giorno su materie di interesse sindacale e di lavoro, da i soggetti indicati dall’art. 10 del citato CCNQ. La convocazione, la sede, l'orario, l'ordine del giorno e l'eventuale partecipazione di dirigenti sindacali esterni sono comunicate all'ufficio gestione del personale, di norma, almeno tre giorni prima. Eventuali condizioni eccezionali e motivate che comportassero l'esigenza per l'amministrazione di uno spostamento della data dell'assemblea devono essere da questa comunicate per iscritto entro 24 ore prima alle rappresentanze sindacali promotrici. La rilevazione dei partecipanti e delle ore di partecipazione di ciascuno all'assemblea è effettuata dai responsabili di servizio e comunicata all'ufficio per la gestione del personale, per la decurtazione dal monte ore complessivo. Nei casi in cui l'attività lavorativa sia articolata in turni, l'assemblea riservata al personale turnista è svolta di norma all'inizio o alla fine di ciascun turno di lavoro. Analoga disciplina si applica nel caso di assemblee riservate agli uffici con servizi continuativi aperti al pubblico. Le assemblee si svolgeranno in locali messi a disposizione dall'Amministrazione. In caso di assemblee generali, territoriali o di zona, sarà consentito al personale di usufruire del tempo aggiuntivo strettamente necessario per raggiungere il luogo dove si svolge l'assemblea, nonché per l'eventuale rientro al posto di lavoro da computarsi nel monte ore individuale destinato all’esercizio del diritto di assemblea. Durante lo svolgimento delle assemblee deve essere garantita la continuità delle prestazioni relative ai servizi minimi indispensabili nelle unità operative interessate secondo le analoghe disposizioni previste dai contratti nazionali e decentrati vigenti in caso di sciopero. Ovviamente i tempi sono quelli previsti al precedente comma 3.
