A/E’s REPRESENTATIONS. A/E represents that it is financially solvent, able to pay its debts as they become due, and possesses sufficient working capital to complete the services and perform its obligation under this Agreement and under the Contract Documents. In consideration of the Basic Fee provided in the Agreement, A/E shall perform the following Basic Services, based on standard planning, landscape architectural, architectural, and engineering practices: SCOPE OF WORK: Justice of the Peace, Precinct 4 000 Xx Xxxxxxx Blvd Hutto, Texas 78634 P548 Provide an envelope assessment, recommendations, and an opinion of probable cost for the repair of distressed and failing areas of the entire building with special focus on weather intrusion. Design services shall be conducted in phases as outlined herein. Phases may be combined to expedite design process when defined in Exhibit C – Production Schedule. Individual phases or groups of phases shall be authorized herein or by fully executed Supplemental Agreement.

A/E further represents and acknowledges that: (a) it is a sophisticated business entity that possesses the required level of experience and expertise in business administration, construction, and contract administration of projects of similar or like size, complexity, and nature as the Project; (b) County is relying on A/E’s representation herein that it possesses sufficient skill, knowledge, experience, and ability to fully perform the services and its obligations under this Agreement; (c) A/E shall assign to this Project qualified individual landscape architects and engineers, as required, and experienced personnel to manage those professionals, as needed, to ensure the quality of performance required herein; and (d) the fee stated in this Agreement is adequate compensation for the timely completion of the Basic Services. Furthermore, A/E’s duties as set forth herein shall at no time be in any way diminished by reason of any approval by County nor shall A/E be released from any liability by reason of such approval by County, it being understood that County at all times is ultimately relying upon A/E’s skill and knowledge in performing the services required hereunder.

A/E’s REPRESENTATIONS. The A/E’s issuance of a Certificate for Payment shall constitute a representation to the Owner that to the best of the A/E’s knowledge, information and belief, based upon the A/E’s observations at the site, the data comprising the Application for Payment, and what is reasonably inferable from the observations and data, that the Work has progressed to the point indicated in the Application and that the quality of the work is in accordance with the Contract Documents. The foregoing representations are subject to minor deviations from the Contract Documents correctable prior to completion and to specific qualifications expressed by the A/E. The issuance of a Certificate for Payment will further constitute a representation that the Contractor is entitled to payment in the amount certified. However, the issuance of a Certificate for Payment shall not be a representation that the A/E has (a) made exhaustive or continuous on- site inspections to check the quality or quantity of the Work, (b) reviewed construction means, methods, techniques, sequences or procedures,
