ACQ. Subject to Sections 5.1.2 and 5.1.3, Buyer’s annual contract quantity of LNG under this Agreement (“ACQ”) for a given Contract Year shall be one hundred four million three hundred and forty thousand (104,340,000) MMBtu.
ACQ. SUB is a Maryland real estate investment trust, duly organized, validly existing and in good standing under the laws of the State of Maryland and has all requisite power and authority to own, lease and operate its properties and to carry on its business as now being conducted.
ACQ. Shortly after the end of 1998, the Total Market Out Volume for 1998 will be known and the ACQ for 1998 can be calculated. To calculate the ACQ for 1998, first state the Total Market Out Volume in Bcf truncated at three decimal places, then round to two decimal places. For example, if the Total Market Out Volume ("TMOV") for 1998 is 8,669,836,000 cf:
ACQ. Date. Enter the date the item was acquired by the recipient. For items furnished by the Federal Government, enter the date received by the recipient.
ACQ. Buyer’s annual contract quantity of LNG (in MMBtu) under this Agreement (“ACQ”) for any given Contract Year (“CY”) shall be a quantity calculated by Seller that equals:
(a) Seller’s forecast of the Driftwood LNG Terminal’s LNG production (taking into consideration major scheduled maintenance) in CY (in MMBtu), as determined by Seller acting as a Reasonable and Prudent Operator; plus
(b) the expected in-tank LNG inventory at the Driftwood LNG Terminal from the Contract Year immediately prior to CY; minus
(c) the sum of all adjusted annual contract quantities under all other LNG sale and purchase agreements between Seller and Partnership Buyers for CY. Seller shall notify Buyer of the estimated ACQ for a given Contract Year as of the date one hundred forty (140) Days prior to the start of such Contract Year, pursuant to Section 8.1.2, and shall notify Buyer of the ACQ for such Contract Year at the xxxx Xxxxxx issues the ADP for such Contract Year to Buyer pursuant to Section 8.2.
ACQ. 5.1.1. Subject to the remainder of this Section 5.1 and, if applicable, any reduction in ACQ in accordance with Section 4.3.1, the annual contract quantity (“ACQ”) for each Contract Year shall equal the Buyer ACQ.
5.1.2. In respect of the First Contract Year of Initial Term, the Final Contract Year of Initial Term, the First Contract Year of Extension Period, and Final Contract Year of Extension Period, the ACQ shall be prorated based on the number of Days in such Contract Year, compared to the number of Days in the calendar year in which such Contract Year occurs.
5.1.3. The ACQ for purposes of determining all obligations under this Agreement shall be the amount expressed in MMBtus. All references in this Agreement to Full ISO Containers, shipments, or other quantities or modes of transport are solely for operational convenience.

ACQ. 5.1.1 Subject to Section 5.1.4, the annual contract quantity (“ACQ”) for any Contract Year shall be an amount equal to: ACQ = T1Q + T2Q Where: T1Q equals, for the First Contract Year and each subsequent Contract Year, the Train 1 Tranche; and T2Q equals, (i) for any Contract Year prior to the Contract Year during which the T2 DFCD occurs, zero (0); and (ii) for the Contract Year during which the T2 DFCD occurs and each subsequent Contract Year, the Train 2 Tranche.
5.1.2 The ACQ for purposes of determining all obligations under this Agreement shall be the amount expressed in MMBtus. All references in this Agreement to cargoes or other quantities are solely for operational convenience.
5.1.3 With respect to each Contract Year, the AACQ for the relevant Contract Year shall be scheduled for delivery in the relevant ADP on a reasonably even and ratable basis throughout the relevant Contract Year, taking into consideration planned maintenance at the Corpus Christi Facility.
5.1.4 The ACQ for partial Contract Years and for any Contract Year during which the T2 DFCD occurs shall be adjusted as follows:
(a) if the First Contract Year does not commence on January 1st and/or if the Final Contract Year does not end on December 31st, then the T1Q for each such applicable Contract Year will be reduced to an amount determined by multiplying (x) the Train 1 Tranche by (y) a fraction, the numerator of which is the number of Days in the applicable Contract Year and the denominator of which is the total number of Days in the calendar year in which the applicable Contract Year occurs; and
(b) if the T2 DFCD does not occur on January 1st and/or if the Final Contract Year does not end on December 31st, then the T2Q for the Contract Year in which T2 DFCD occurs or the Final Contract Year, as applicable, will be reduced to an amount determined by multiplying (x) the Train 2 Tranche by (y) a fraction, the numerator of which is the number of Days in the applicable Contract Year which occur on and after the T2 DFCD and the denominator of which is the total number of Days in the calendar year in which the applicable Contract Year occurs.
