Activation/Deactivation. DISTRIBUTOR may initiate Tracking of any iTracker-ET PTU at any time (and from time-to-time) during the Term in its sole discretion ("Activate") by electronically registering and activating such iTracker-ET PTU for such Active GPS Tracking or Passive GPS Tracking in the Application ("Activation"). DISTRIBUTOR may terminate Tracking of any Activated iTracker Unit at any time (and from time-to-time) during the Term in its sole discretion ("Deactivate") by electronically deactivating such Activated iTracker Unit in the Application ("Deactivation"). DISTRIBUTOR may begin and continue to access and use the Application to acquire, use, and perform Tracking of and for any iSecureTrac-ET PTU from the date that DISTRIBUTOR electronically Activates such iSecureTrac-ET PTU for Tracking in the Application (each an "Activation Date") through and including such time as DISTRIBUTOR electronically Deactivates such iTracker Unit in the Application ("Deactivation Date") as described above (the "Activation Term"). An iSecureTrac-ET PTU electronically Activated by DISTRIBUTOR hereunder shall be an "Activated iTracker Unit" and have "Active Status" hereunder at all times during its Activation Term, that is, until its Deactivation Date, even if such Activation Term and Deactivation Date occur and extend after the effective date of any Agreement Termination ("Termination Date"). During its Activation Term (and until its Deactivation Date), an Activated iTracker Unit shall be (i) an "Active iTracker Unit" hereunder if electronically registered and Activated for Active GPS Tracking in the Application, and (ii) a "Passive iTracker Unit" hereunder if electronically registered and Activated for Passive GPS Tracking in the Application. The Activation Term, Active Status, and Hosting Fees for and of any Activated iTracker Unit shall automatically terminate and cease upon its Deactivation, effective as of its Deactivation Date. In addition, on and after its Deactivation Date, an iSecureTrac-ET PTU shall no longer be an Activated iTracker Unit, Active iTracker Unit, or Passive iTracker Unit for any purpose hereunder.

Activation/Deactivation. (a) Customer will utilize the Rogers Control Centre to activate, deactivate and perform maintenance. (b) Business automation rules drive the transition from one SIM Status to another SIM Status, as detailed in the User Guide. (c) Where certain functions cannot be performed using the Xxxxxx Control Centre because those functions are not configured in the Xxxxxx Control Centre, Customer acknowledges and agrees that Rogers shall have no obligation to make those functions available to Customer. (d) Customer shall have the option to temporarily suspend, in whole or in part, in the Xxxxxx Control Centre, the Control Centre Services for one or several users while Customer maintains the account of those users, provided Customer agrees to pay to Rogers the service fees set out in the Product Quotation, associated with any temporarily suspended Control Centre Services. (e) Customer shall, at its sole cost and expense, be responsible for acquiring and maintaining any computer systems and/or telecommunications connections required to activate, deactivate and perform maintenance activities on XXXx and perform the designated maintenance services and/or other activities using the Rogers Control Centre. Customer shall be solely responsible for any cost or expense resulting from Customer’s use of the Xxxxxx Control Centre, including costs or expenses resulting from any errors made by Customer in connection with activations or deactivations. (f) Customer acknowledges that functions of the Rogers Control Centre may be added, deleted or modified from time to time and that enhancements thereto may be provided upon written notice thereof to Customer provided that any deletion or modification will not affect the core functionality of the Control Centre Services. (g) Rogers reserves the right at any time and at its sole discretion to cease making available the Xxxxxx Control Centre and replace it with another solution and amend this document to include modified terms and conditions as a result thereof, upon reasonable written notice to Customer.

The Essential tier of the Xxxxxx Control Centre platform does not include automation rules which require the addition of an add-on package. The Advantage tier of the Xxxxxx Control Centre platform includes automation rules. (c) Where certain functions cannot be performed using the Xxxxxx Control Centre platform because such functions are not configured in the Xxxxxx Control Centre platform, you acknowledge and agree that Rogers shall have no obligation to make those functions available to you. (d) The Xxxxxx Control Centre Services may not be used illegally, for the purpose of creating or enhancing services that compete with the Xxxxxx Control Centre Services or in a manner that either infringes on a third party’s intellectual property rights or in Rogers’ reasonable opinion potentially disrupts lawful use of the Xxxxxx Control Centre Services by others. Rogers reserves the right to suspend use of the Xxxxxx Control Centre Services if Rogers in good faith believes that any of the usage guidelines referred to in the preceding sentence have been violated. In case of suspension, Rogers will use reasonable, good faith efforts to provide advance notice (emergencies excepted) and to make suspension as selective and brief as practical. (e) You will, at your sole cost and expense, be responsible for acquiring and maintaining any computer systems and/or telecommunications connections required to activate, deactivate and perform maintenance activities on XXXx and perform the designated maintenance services and/or other activities using the Xxxxxx Control Centre Services. Activation/Deactivation. (1) Rogers will use reasonable commercial efforts to Activate the Equipment of End Users to the Rogers Facilities within four (4) Business Hours of Rogers' receipt of a request from Reseller for the provision of the Rogers Services in accordance with the procedures set out in this Agreement and the Reseller Operations Manual. (2) Rogers will use reasonable commercial efforts to Deactivate the Equipment of End Users from the Rogers Facilities within four (4) Business Hours of Rogers' receipt of a request from Reseller to effect such Deactivation in accordance with the procedures set out in this Agreement and the Reseller Operations Manual. (3) Any requests from Reseller to Activate, Deactivate or make any change in the Rogers Services will be accepted by Rogers only from Reseller, and not from agents of Reseller or from End Users. (4) Rogers shall use reasonable efforts to maintain a sufficient inventory of Numbers in order to satisfy Reseller's requirements therefor from time to time. If, at any time, Reseller requires an unusual number of Numbers in any particular geographic location, it shall provide Rogers written notice of its requirement for such Numbers not later than seventy-five (75) days prior to the time when such Numbers are required. Failure to provide such a notice or inaccurate forecasting could result in delays in receiving Numbers up to seventy-five (75) days from the time of request.
Activation/Deactivation. Certain Services may require additional activation or enrollments, including activation of Hardware and Connected Vehicles. In such event, Ford will provide Company with applicable instructions, which may include accessing the Fleet Account and enrolling eligible Connected Vehicles, either individually or via batch upload, for activation. Company may deactivate a Connected Vehicle modem at any time through its Fleet Account. If Company becomes aware that the ownership of any Connected Vehicle has changed or that any of its Operators have withdrawn their Consent to participate in the Services, Company shall promptly (i) advise Ford of such change or withdrawal, and (ii) unenroll the affected Connected Vehicle from the Fleet Account. Failure to unenroll any such Connected Vehicle shall be grounds for immediate termination of these T&Cs and all Services hereunder without Notice.

  • Deactivation Computershare applications shall automatically deactivate a User ID after a specified number of unsuccessful log-in attempts. Sessions must be restricted or timed out after a defined period of inactivity and require Users to re-authenticate. User IDs for Computershare Personnel with access to Customer Confidential Information shall be deactivated immediately upon changes in job responsibilities that render such access unnecessary, or upon termination of employment.

  • Activation We will notify the Xxxxxx of your request to receive electronic billing information. The presentment of your first electronic bill may vary from Xxxxxx to Xxxxxx and may take up to sixty (60) days, depending on the billing cycle of each Xxxxxx. While your electronic bill feature is being activated it is your responsibility to keep your accounts current. Each electronic Xxxxxx reserves the right to accept or deny your request to receive electronic bills.

  • Service Activation For new customers - the services are activated immediately after successful processing of payment and our fraud detection software approves the order. The payment verification procedure is obligatory and if we fail to approve a transaction within 48 hours of the payment submission, the funds will be credited back to the payer and the order will be cancelled. Free Trials - All free trial orders are manually processed. If we deem your order to be suspicious or high risk, we will notify you and request additional information before process the order. Failure to comply with our request for more information will result in cancellation of the order. For existing customers - the services for existing customers, including upgrade services and renewals, are activated immediately after our Sales Department receives the according service payment.

  • Connectivity User is solely responsible for providing and maintaining all necessary electronic communications with Exchange, including, wiring, computer hardware, software, communication line access, and networking devices.

  • No-­‐Activation Period Registry Operator shall not activate any names in the DNS zone for the Registry TLD (except for "NIC") until at least 120 calendar days after the effective date of this agreement. Registry Operator may allocate names (subject to subsection 6.2 below) during this period only if Registry Operator causes registrants to be clearly informed of the inability to activate names until the No-­‐Activation Period ends.

  • Signaling Link Transport 9.2.1 Signaling Link Transport is a set of two or four dedicated 56 kbps transmission paths between Global Connection-designated Signaling Points of Interconnection that provide appropriate physical diversity.

  • Signaling Each Party will provide the other Party with access to its databases and associated signaling necessary for the routing and completion of the other Party’s traffic in accordance with the provisions contained in the Unbundled Network Element Attachment or applicable access tariff.

  • Subprocessing The data importer shall not subcontract any of its processing operations performed on behalf of the data exporter under the Clauses without the prior written consent of the data exporter. Where the data importer subcontracts its obligations under the Clauses, with the consent of the data exporter, it shall do so only by way of a written agreement with the subprocessor which imposes the same obligations on the subprocessor as are imposed on the data importer under the Clauses. Where the subprocessor fails to fulfil its data protection obligations under such written agreement the data importer shall remain fully liable to the data exporter for the performance of the subprocessor's obligations under such agreement.

  • Provisioning Line Splitting and Splitter Space 3.8.1 The Data LEC, Voice CLEC or BellSouth may provide the splitter. When Southern Telecom or its authorized agent owns the splitter, Line Splitting requires the following: a non-designed analog Loop from the serving wire center to the NID at the End User’s location; a collocation cross connection connecting the Loop to the collocation space; a second collocation cross connection from the collocation space connected to a voice port; the high frequency spectrum line activation, and a splitter. The Loop and port cannot be a Loop and port combination (i.e. UNE-P), but must be individual stand-alone Network Elements. When BellSouth owns the splitter, Line Splitting requires the following: a non designed analog Loop from the serving wire center to the NID at the End User’s location with CFA and splitter port assignments, and a collocation cross connection from the collocation space connected to a voice port. 3.8.2 An unloaded 2-wire copper Loop must serve the End User. The meet point for the Voice CLEC and the Data LEC is the point of termination on the MDF for the Data LEC's cable and pairs. 3.8.3 The foregoing procedures are applicable to migration to Line Splitting Service from a UNE-P arrangement, BellSouth Retail Voice Service, BellSouth High Frequency Spectrum (CO Based) Line Sharing. 3.8.4 For other migration scenarios to line splitting, BellSouth will work cooperatively with CLECs to develop methods and procedures to develop a process whereby a Voice CLEC and a Data LEC may provide services over the same Loop.

  • Signaling protocol The Parties will interconnect their networks using SS7 signaling where Technically Feasible and available as defined in GR 905 Telcordia Standards including ISDN User Part (ISUP) for trunk signaling and TCAP for CCS-based features in the Interconnection of their networks. All Network Operations Forum (NOF) adopted standards shall be adhered to. Where available, CenturyLink signaling services to link its Signaling Transfer Points (STPs) for CLEC switches which connect to CenturyLink’s STPs via “A” links or for CLEC’s STPs to connect to CenturyLink’s STPs via “D” links which are dedicated to the transport of signaling for local Interconnection, may be ordered from the CenturyLink Tariff.
