Administrator and Authorized Users. 37.1 Member shall designate an Administrator with Navigant as set forth in Schedule B to this Agreement or other set-up form(s). Member is solely responsible for designating its Administrator. 37.2 The Administrator may designate Authorized Users. As an additional security procedure Member may designate only one Administrator at a time. Member accepts as its sole responsibility the Administrator’s designation of Authorized Users. Member understands that the Administrator will control, and Member authorizes the Administrator to control, access by Authorized Users of Online Banking through the issuance of Access Devices. The Administrator has full online control over and access to Online Banking and has the responsibility and authority to: (i) designate Authorized Users by establishing User Access Devices; (ii) terminate or cancel User Access Devices; (iii) grant and/or deny a User's access to Member’s online Accounts; (iv) grant and/or deny a User's access to specific features of Online Banking; (v) establish User limits for initiating transactions; and (vi) grant and/or deny approval authority to a User. Navigant does not control access by any of Member’s Authorized Users to Online Banking. 37.3 Member will require the Administrator and each Authorized User to review and comply with all provisions of this Agreement and all other applicable agreements. Member acknowledges and agrees that it is fully responsible for the failure of the Administrator or any Authorized User to comply with this Agreement and all other applicable agreements. Member is responsible for any payment, transfer and other use of Online Banking and any charges incurred by the Administrator and any Authorized User, even if such Administrator or Authorized User exceeds his/her authorization. 37.4 It is Member’s responsibility to notify Navigant, in writing, whenever Member’s Administrator leaves Member’s employ or Member changes the designation of the Administrator. Navigant may rely on all designations until it has received written notification of the revocation of a designation and has a reasonable time to act on such notification. Whenever any Authorized User leaves Member’s employ or is no longer authorized, it is Member’s responsibility through the Administrator, to terminate that User's access to Online Banking. 37.5 The designation and termination of the authority of any Authorized User and the control of access to any functionality of Online Banking is in the sole control of Member...

Administrator and Authorized Users. You agree to appoint and designate an administrator (the “Administrator”) who will be authorized and responsible for creating, and maintaining subsequent Administrators and Authorized Users on your behalf, including assigning and revoking accessing privileges (including the Online Banking Username and Password) for persons to use the Services and providing subsequent Online Banking Usernames or Passwords to those individuals. You agree and understand that when you designate an individual as an Administrator, you are providing the authority for that Administrator to designate additional Administrators or Authorized Users all of whom will have access to your accounts that are linked in the system. Any Administrator(s) will be authorized to create additional Administrators or Authorized Users with access to your accounts. You authorize Bank to follow any and all instructions entered and transactions initiated by your Administrators or Authorized Users unless and until you have notified us, according to the notification procedures prescribed by us, that the Online Banking Username and/or Password or other security code has been stolen, compromised, or otherwise becomes known to persons other than you and until we have had a reasonable opportunity to act on such notice. You agree that the initiation of a transaction or instructions by your Administrators or Authorized Users using the Online Banking Username and Password constitutes sufficient authorization for the Bank to execute such transaction or instruction notwithstanding any particular designation by you of authorized persons or signature requirements identified on any signature card or other documents relating to the Account Agreements or your deposit Account maintained with Bank, and You agree and intend that the submission of a transaction and instructions using the Online Banking Username and Password shall be considered the same as your authorized written signature in authorizing us to execute each such transaction or instruction. Administrator and Authorized Users. If prompted by Business Online Banking, you will appoint an individual to act as an Administrator with the authority to determine who will be authorized to use the Business Online Banking on your behalf. The Administrator will be able to designate additional Authorized Users and remove existing Authorized Users. The Administrator will also determine what Business Online Banking Services will be available to particular Authorized Users, when to change passwords and any limitations on the use of the Services by individual Authorized Users. You agree that passwords will be changed with sufficient frequency to protect confidentiality, and in any event no less frequently than every one hundred and eighty (180) days. We will not control or oversee the Administrator function. You agree to all action taken by the Administrator or any Authorized User designated or authorized by the Administrator, and all such persons are your agents for purposes of Business Online Banking, each authorized to act individually or in concert. The fact that we are, or may be made aware of, or could have discovered, any limitation on access to Business Online Banking does not make us obligated to enforce or attempt to enforce any limitation. You understand that the Administrator and each Authorized User may utilize Business Online Banking (including inquiries, transfers and account verification) without regard to any restrictions otherwise applicable to an Account. For example, the Administrator and each Authorized User will be able to utilize Business Online Banking regardless of whether they are also authorized signers on your signature card.‌‌

  • Security Administrator and Authorized Users Grantee shall: 1. designate a Security Administrator and a back-up Security Administrator. The Security Administrator is required to implement and maintain a system for management of user accounts/user roles to ensure that all the CMBHS user accounts are current. 2. have a security policy that ensures adequate system security and protection of confidential information. 3. notify the CMBHS Help-desk within ten (10) business days of any change to the designated Security Administrator or the back-up Security Administrator. Grantee will: i. ensure that access to CMBHS is restricted to only currently authorized users. ii. within 24 hours, remove access to users who are no longer authorized to have access to secure data in CMBHS. iii. maintain the CMBHS Authorized Users List which includes former and current Grantee’s employees, contracted labor, subcontractors or any other users authorized to have access to secure data in CMBHS.   • Power and Authorization The Company is duly incorporated, validly existing and in good standing under the laws of its state of incorporation, and has the power, authority and capacity to execute and deliver this Agreement, to perform its obligations hereunder, and to consummate the Exchange contemplated hereby.

  • Card Information Updates and Authorizations If you have authorized a merchant to xxxx charges to your card on a recurring basis, it is your responsibility to notify the merchant in the event your card is replaced, your card information (such as card number and expiration date) changes, or the account associated with your card is closed. However, if your card is replaced or card information changes, you authorize us, without obligation on our part, to provide the updated card information to the merchant in order to permit the merchant to xxxx recurring charges to the card. You authorize us to apply such recurring charges to the card until you notify us that you have revoked authorization for the charges to your card.

  • Cloud Computing State Risk and Authorization Management Program In accordance with Senate Bill 475, Acts 2021, 87th Leg., R.S., pursuant to Texas Government Code, Section 2054.0593, Contractor acknowledges and agrees that, if providing cloud computing services for System Agency, Contractor must comply with the requirements of the state risk and authorization management program and that System Agency may not enter or renew a contract with Contractor to purchase cloud computing services for the agency that are subject to the state risk and authorization management program unless Contractor demonstrates compliance with program requirements. If providing cloud computing services for System Agency that are subject to the state risk and authorization management program, Contractor certifies it will maintain program compliance and certification throughout the term of the Contract.

  • Power and Authority The Servicer has the corporate power and authority to execute and deliver this Agreement and to carry out its terms; and the execution, delivery and performance of this Agreement have been duly authorized by the Servicer by all necessary corporate action.

  • Activities of the Administrator The services of the Administrator to the Company are not to be deemed to be exclusive, and the Administrator and each affiliate is free to render services to others. It is understood that directors, officers, employees and stockholders of the Company are or may become interested in the Administrator and its affiliates, as directors, officers, members, managers, employees, partners, stockholders or otherwise, and that the Administrator and directors, officers, members, managers, employees, partners and stockholders of the Administrator and its affiliates are or may become similarly interested in the Company as stockholders or otherwise.
