Agency Qualifications. (i) Borrower fails to meet any GNMA seller or servicing standard or requirement that is a Material-Adverse Event, (ii) GNMA revokes or terminates Borrower's Right to service for GNMA, (iii) GNMA issues a letter of extinguishment under any GNMA guaranty agreement, (iv) Borrower ceases to be an eligible issuer or servicer for either FNMA or FHLMC, (v) FNMA or FHLMC impose any sanctions upon Borrower resulting in a Material-Adverse Event, (vi) FNMA or FHLMC terminate or revoke Borrower's Right to service for FNMA or FHLMC, or (vii) FNMA or FHLMC initiate any transfer of servicing from Borrower.
Agency Qualifications. (i) Ryland or any Servicing Subsidiary fails to meet any GNMA seller or servicing standard or requirement and that failure is a Material-Adverse Event, (ii) GNMA revokes or terminates Xxxxxx'x or any Servicing Subsidiary's Right to service for GNMA, (iii) GNMA issues a letter of extinguishment under any GNMA guaranty agreement, (iv) Ryland or any Servicing Subsidiary ceases to be an eligible issuer or servicer under either the FNMA or FHLMC Guide, (v) FNMA or FHLMC impose any sanctions upon Ryland or any Servicing Subsidiary resulting in a Material-Adverse Event, (vi) FNMA or FHLMC terminate or revoke Xxxxxx'x or any Servicing Subsidiary's Right to service for FNMA or FHLMC, or (vi) FNMA or FHLMC initiate any transfer of servicing from Ryland or any Servicing Subsidiary to another Person other than in the ordinary course of business. A Servicing Subsidiary is included in this Section 10.1(j) solely to the extent that its servicing rights are being included to meet the minimum requirements of Section 9.5(a) and solely as any of the foregoing provisions relate to the Mortgage Loans or Mortgage Securities that are part of those servicing rights.

Agency Qualifications. Seller ceases to be an eligible lender, issuer, seller or servicer for the Approved Investor, (ii) any Agency imposes any sanctions upon Seller resulting in a material adverse effect, (iii) any Agency terminates or revokes Seller’s right to service for such Agency, or (iv) any Agency initiates any transfer of servicing from Seller.
Agency Qualifications. The Company is an approved seller/servicer in good standing by Fxxxxx Mxx and is a HUD‑approved FHA non‑supervised mortgagee. The Company is not an approved seller‑servicer of Fxxxxxx Mac or Gxxxxx Mxx. No license, registration or approval of any Agency required for the Company to operate its business as it operates it on the date hereof is held or owned in the name of any Seller or any other Affiliate of the Company. The Company is not in material default under any applicable Agency Agreement, and no event has occurred which would make the Company unable to comply in all material respects with the Applicable Requirements, including eligibility requirements under the Agency and Investor Guidelines. No event has occurred, including a change in insurance coverage, which would make the Company unable to comply in all material respects with the Applicable Requirements.

Agency Qualifications. If Party B obtains the sales right of Party A, according to the requires of GSP, Party B shall provide the appropriate legal qualification materials, photocopy of identity cards of the person who is responsible for the development of products of Party A, letter of authorization of Party B and other related materials to Party A for the record. Agency Qualifications. No event has occurred, including but not limited to a change in insurance coverage, which would make the Borrower unable to comply with Xxxxxx Mae, Xxxxxxx Mac or Xxxxxx Mae eligibility requirements or which would require notification to Xxxxxx Xxx, Xxxxxxx Mac or Xxxxxx Mae (in each case, other than routine and customary notices not materially affecting its eligibility to service or sell mortgage loans to the applicable Agency) in each case, unless the Borrower has previously accomplished a Voluntary Partial Cancellation with such Agency or a Voluntary Cancellation with respect to Xxxxxx Xxx. Furthermore, if at any time prior to the termination of this Agreement, the Borrower (a) accomplishes a Voluntary Cancellation or Voluntary Partial Cancellation or otherwise forfeits, relinquishes or loses its approved status with any Agency, or (b) is unable to comply with any of the Xxxxxx Mae, Xxxxxxx Mac or Xxxxxx Mae eligibility requirements, and consequently loses its approval through the respective Agency, the Borrower shall immediately notify the Lender in writing.
