Agreement Governance. 2.1. This Agreement applies to the Software and Services identified in the relevant Orders and any UiPath Background IPR related thereto. Any software or service released after the Effective Date that is subsequently purchased by Customer may be governed by specific terms to be made available by UiPath upon such purchase. For the avoidance of any doubt, software or services released by UiPath under community, trial, early access, alpha, beta, preview, academic or learning designation, are governed by their applicable terms of use, made available on the Trust Portal.

L 111-5, including as implemented by 45 C.F.R. Part 164, Subpart D (“HITECH”), all as they may be amended from time to time (collectively, the “HIPAA Regulations”). c. This BAA applies to the extent Customer is acting as a Covered Entity and to the extent UiPath is deemed under the HIPAA Regulations to be acting as a Business Associate pursuant to 45 C.F.R. § 160.103 in connection with the Protected Health Information (as defined in 45 C.F.R. § 160.103) that UiPath receives from Customer, or creates, receives, maintains, or transmits on behalf of Customer (“PHI”). This BAA applies in relation to those Software and/or Services, as indicated by UiPath on its trust and security portal available at xxxxx://xxx.xxxxxx.xxx/legal/trust-and-security (or successor website).
Agreement Governance. 2.1. This Agreement applies to KDDIA’s Products and PS. Use of Products or access to PS which are not contemplated at the Effective Date may be subject to additional terms and conditions. In such cases, Customer’s use of such Products or access to such PS shall be deem acceptance of such additional terms and conditions, as provided by KDDIA within the Products. 2.2. Notwithstanding anything contained herein to the contrary, any technology used or any Service provided to and/or accessed by Customer, without an underlying agreement or Order, will nevertheless be deemed subject to the terms and conditions in this Agreement . The Partiesfailure to conclude any Order for any Product or Service shall trigger Customer’s immediate obligation to return to KDDIA the underlying Technology and stop any use thereof. KDDIA hereby expressly disclaims any and all liability which may arise from Customer’s use of such Technology or access to such Service. 2.3. Support services and service levels apply to Products during the License Term as provided in the Support Terms available at xxxxx://xxx.xxxxxx.xxx/hubfs/legalspot/UiPath_Support_Terms.pdf (or successor website).

Agreement Governance. (a) This Agreement applies to Services made available by Kubeark free of charge (except otherwise specified in writing), for trial purposes only, whether part of early access, preview programs or independent of any program, or for proofs of concepts or demos. This Agreement does not govern access to any paid Service. Specific services may be governed by additional or specific terms which may be accepted by the Customer before access. (b) This Agreement also applies to the Community Program, in accordance with the license provided hereinbelow. (c) License provided pursuant to this Agreement are not subject to any fees, except where Parties agree otherwise via orders or in writing, in which case the payment provisions in such orders will apply.

Agreement Governance. 14.1 For the purposes of delivering the intended aims and outcomes of this agreement the Partners will establish the following arrangements. 14.2 Darlington Borough Council, on behalf of the Partners will be the lead agency for delivering the agreement. 14.3 The LDP will comply with the principles and standards of corporate governance relevant to the NHS and Local Authority LDP Governance Group 14.4 The Partners will establish the LDP Governance Group to take responsibility for and lead the LDP. The scope, terms of reference, membership and meeting cycle of the LDP Agreement Governance Group are set out in Schedule 6. 14.5 The LDP Governance Group will be responsible on behalf of the Partners for delivering the agreement aims, outcomes, delegation of functions, fulfilment of statutory duties and Health Act flexibilities put in to effect through this agreement 14.6 The Council will nominate a member of its Executive with lead responsibility for social care services to be a member of the LDP Governance Group (the cabinet member) who will be advised and assisted by the Director of Community Services, and the Chief Executive of the Council. The Council will nominate a member of its Executive to act as deputy for the Cabinet Member whenever required. 14.7 The PCT will nominate a Non-Executive Director of its Board to be a member of the LDP Governance Group. The PCT will nominate a Member of its Board to act as a deputy for the Non-Executive Director whenever required. 14.8 The Group will be chaired by the Director of Community Services, Darlington Borough Council, who is the officer, accountable on behalf of the Partners, for all aspects of this agreement and will include, as co-opted members, service user and carer representatives. Officers of the Partner Agencies will attend LDP Governance Group meetings in order to give advice 14.9 The LDP Governance Group will be accountable for its responsibilities to the governance arrangements of the respective party agencies through the processes set out in this agreement. 14.10 The LDP Governance Group will provide quarterly reports of its activity to the Darlington Learning Disabilities Partnership Board. The scope, terms of reference, membership and meeting cycle of the Darlington Learning Disabilities Partnership Board are set out in Schedule 6.
