Annual Cash Performance Bonus. Executive’s aggregate target annual cash performance bonus amount of $17,000,000 (“Aggregate Annual Target Cash Bonus”) is allocated to each Service Company based on its respective Executive Percentage and may be made subject to the achievement of one or more performance metrics as described in Section 4.3 of the Executive Employment Agreement; and · Annual Equity Awards. Executive’s aggregate annual equity award target value of $17,500,000 (“Aggregate Annual Equity Award Target”) is allocated to each Service Company based on its respective Executive Percentage.

Annual Cash Performance Bonus. (i) Prior to or within sixty (60) days of the beginning of each calendar year during the Term (each a “Performance Period”), the Committee and the Executive shall agree on an objective performance criteria dashboard (with respect to the performance of the Executive and REIT) that will serve as the basis for determining an annual cash performance bonus (the “Annual Performance Bonus”). Commencing with the Performance Period that begins at 12:00 AM, January 1, 2012, the Executive shall have a target Annual Performance Bonus and the opportunity to earn a maximum Annual Performance Bonus (the “Target Bonus” and the “Maximum Bonus,” respectively), each set as a percentage of Base Salary and as established annually by the Committee. No Target Bonus shall be determined or payable for any part of 2010 or 2011. The Annual Performance Bonus earned by the Executive for any Performance Period shall be paid within sixty (60) days after the end of the applicable Performance Period, provided the Executive is employed on the last day of such Performance Period, except as provided in Sections 7(a) and 7(d) below.
Annual Cash Performance Bonus. For each year during Executive’s employment with the Company beginning with the year ending December 31, 2011, Executive shall be eligible to receive an annual performance cash bonus (the “Annual Cash Bonus”) based upon certain annual performance targets set by the Board or a committee thereof in their discretion in accordance with the Company’s applicable corporate governance charters and guidelines and both the Company’s and Executive’s performance in relation to those targets as determined by the Board or committee thereof, subject to Section 3(e) below. The Annual Cash Bonus shall be payable if the annual performance targets set forth in Section 3(e) below are achieved, as determined by the Board in its sole discretion. The Annual Cash Bonus payable to Executive for each year shall be subject to review and approval by the Board or a committee thereof in their discretion in accordance with the Company’s applicable corporate governance charters and guidelines. Any Annual Cash Bonus payable to Executive will be paid at the time the Company normally pays such bonuses to its senior executives, but in no event later than two-and-one-half months following December 31 of the applicable year.
Annual Cash Performance Bonus. Subject to the terms of the Company’s annual incentive cash bonus program as in effect from time to time and the provisions of this Agreement, for each fiscal year of the Company ending during the Employment Term, Executive shall be eligible to receive an annual cash bonus (the “Annual Bonus”), with a target annual cash bonus opportunity of 60% of Base Salary (such target bonus, as may hereafter be increased, the “Target Bonus”) with the opportunity to receive a maximum annual cash bonus of 200% of the Target Bonus; provided that, for fiscal year 2024, Executive’s annual bonus shall be pro-rated for the number of days Executive is employed by the Company during such fiscal year following the Commencement Date;. The actual Annual Bonus earned by Executive for any applicable fiscal year, if any, will be payable in the Company’s discretion and in accordance with the Company’s customary practices applicable to bonuses paid to similarly situated executives of the Company (which, in all cases, will be paid no later than March 15 of the calendar year following the calendar year to which such Annual Bonus relates), subject to Executive’s continued employment through the applicable payment date.

Annual Cash Performance Bonus. In addition to Executive’s base salary, Executive shall be entitled to participate during the Term in an annual cash bonus plan generally made available to senior executives of the Company, including any cash bonus plans and equity incentive plans sponsored by the Company. Any annual cash bonus shall be paid to Executive within two and one-half (2.5) months following the end of the fiscal year in which the Executive has a right to payment of the bonus.

  • Annual Performance Bonus In the discretion of the Company's Compensation Committee, the Executive shall be eligible to receive an annual performance bonus payable in cash for each full or partial fiscal year of the Company during the Employment Period in accordance with the Company's performance-based bonus program for Executive Officers.

  • Incentive Bonus During the Term, Employee shall be eligible to receive an incentive bonus up to the amount, based upon the criteria, and payable in such amount, at such times as are specified in Exhibit A attached hereto.   • Annual Bonus In addition to Annual Base Salary, Executive shall be awarded, for each fiscal year ending during the Employment Period, an annual bonus (the “Annual Bonus”) in cash at least equal to Executive’s highest annual bonus for the last three full fiscal years prior to the Effective Date (annualized in the event that Executive was not employed by the Company for the whole of such fiscal year). Each such Annual Bonus shall be paid no later than the end of the third month of the fiscal year next following the fiscal year for which the Annual Bonus is awarded, unless Executive shall elect to defer the receipt of such Annual Bonus.
