Annual licence fees. 8.1 The Annual License Fees payable by the Licensee are set out in Schedule 3 in accordance with this Schedule 2. 8.2 Each Licenced Data Type licensed by a Licensee attracts an individual fee; the individual fee amount is dependent on two factors: (a) The Licensed Data Type classification: each Licensed Data Type is classified as either Premium or Non-Premium, with different fees associated with each classification; and (b) The Price Tier: for each Licensed Data Type classification, a Price Tier is applied based on the number of different Licensed Data Types the licensee chooses to License or uses. The Price Tier for Premium Licensed Data is separate from Non-Premium Licensed Data. For the purpose of counting the Licenced Data Types in each Price Tier, any Licensed Data Types that are not Third Party Data shall be counted before any Licenced Data Types that are Third Party Data. 8.3 The Annual License Fee is the annual sum total of the fees associated with each individual Licenced Data Type. 8.4 Where any amendments are made to Order Form of the Agreement at the request of the Licensee during any Initial Term or any subsequent Renewal Term resulting in a change to the Licensed Data utilised within this Agreement, thus causing the Annual License Fee to increase, following approval of the amendments by the LME, the Licensee shall pay to the LME the additional Annual License Fee equal to the Annual License Fee pro-rated from the updated Order Form’s Effective Date to the end of the Initial Term or Renewal Term. Such pro-rata calculations will be a daily calculation.

Annual licence fees. (a) In consideration of the licence rights and services provided by Kinduct hereunder, during the Term, Client will pay to Kinduct an annual licence fee as listed in the Order Form (each, an “Annual Licence Fee”). (4) The operating licence may make provision for advice to be furnished to the Minister in connection with the exercise of the Minister’s functions under this section. (5) A penalty imposed under this section may be recovered in any court of competent jurisdiction as if it were a debt due to the Crown. 40 Enforcement of operating licence by IPART (cf Sydney Water Act 1994, section 19A) (1) IPART may impose a monetary penalty on the Corporation. (2) IPART may, instead of imposing a monetary penalty, require the Corporation to take such action as IPART considers appropriate in the circumstances, including (for example) requiring the sending of information to customers or the publication of notices in newspapers. (3) IPART may not require action to be taken under subsection (2) by the Corporation if the cost of that action would exceed the monetary penalty that IPART could impose under this section on the Corporation. (4) If IPART requires information to be sent to a customer under subsection (2), the Corporation may satisfy that requirement by sending t...

  • Perpetual License Notwithstanding anything else in the Agreement, Licensor grants to Licensee and Participating Institutions a nonexclusive, royalty-free, system-wide perpetual license limited to the territory of Czech Republic to use any Licensed Materials that were subscribed to or for which a perpetual license fee has been paid during the term of this Agreement. Such use shall be in accordance with the provisions of this Agreement, which provisions shall survive any termination of this Agreement. The means by which Licensee and/or Participating Institutions shall have access to such Licensed Materials shall be in a manner and form substantially equivalent to the means by which access is provided under this Agreement.
