Assignment Postoupení. 12.1.1 The Institution/Principal Investigator may not assign its/his or her rights and/or delegate its/his or her obligations under this Agreement without the prior written consent of ICON, which consent shall not be unreasonably withheld. ICON shall have the power to assign this Agreement to the Sponsor without the Institution´s/Principal Investigator’s consent. Společnost ICON má právo postoupit tuto smlouvu zadavateli bez souhlasu zdravotnického zařízení / hlavního zkoušejícího.

Assignment Postoupení. Each of CRO and Janssen shall have the right to assign this Agreement among each other or to any of its respective affiliates and, in addition, Janssen may assign this Agreement to any third party. In the event of such an assignment, CRO or Janssen, as the case may be, shall use reasonable efforts to provide prior written notice to Institution. Neither Institution nor Principal Investigator shall assign its rights or duties under this Agreement to another without prior written consent of CRO and Janssen. ICON bude písemne informovat poskytovatele/zkoušejícího o každém takovém postoupení.

15.1.2 The Parties acknowledge that the Sponsor shall have the right, at any time, to assign its sponsorship of the Study to a third party, following which assignment such third party shall be considered the “Sponsor” for purposes of this Agreement, and whereupon such new Sponsor shall take over and assume all rights and obligations of the Sponsor under this Agreement. ICON or Sponsor shall without delay notify Institution/Investigator of any such assignment in writing, and the Institution/Investigator hereby unconditionally approves any such assignment. Společnost ICON nebo Zadavatel bez prodlevy okamžitě Zdravotické zařízení/Zkoušejícího písemně uvědomí o takovém převodu, a Zdravotnické zařízení/Zkoušející tímto bezpodmínečně vyjadřuje souhlas s jakýmkoli takovým převodem.
