Authority and Description of Services. During the term of this Consulting Agreement CONSULTANT will furnish some or all of the various services from time to time as requested by the COMPANY and agreed upon by the parties as described herein as follows: >> Acting as advisor to the Company with respect to providing consultation on research and development COMPANY acknowledges that CONSULTANT will devote such time as is reasonably necessary to perform the services for COMPANY, having due regard for CONSULTANT's commitments and obligations to other businesses for which it performs consulting services. IT IS HEREBY ACKNOWLEDGED BY THE PARTIES THAT: CONSULTANT IS NOT ENGAGED TO RAISE CAPITAL OR INTRODUCE THE COMPANY TO INVESTOR FOR SUCH PURPOSES.
Authority and Description of Services. During the term of this Agreement, Consultant will furnish the following services from time to time as requested by CORPORATION: CONSULTANT Shall assist the Corporation in locating web site development personnel to update the design, graphics, and functional aspects of the Corporations website; Assist the Corporation to establish an incentive program its' customers; Assist the Corporation to locate venues to conduct advertising of its products; and Assist the Corporation in expanding its product lines on its website.
Authority and Description of Services. During the term of this Agreement, GIVIGEST shall furnish various professional services. Said professional services and advice shall relate to those services, items and/or subjects described in Addendum "A", which is attached hereto and made a part hereof by this reference, and/or as follows:
Authority and Description of Services. During the term of this Consulting Agreement SPI shall furnish some or all of the various services described in Addenda A, as requested by the COMPANY and agreed upon by the parties as described herein as follows: - SPI shall act, generally, as corporate Investor relations counsel, essentially acting (as liaison between COMPANY and its Stockbrokers; (2) as advisor to COMPANY with respect to existing and potential market makers, broker-dealers, and Stockbrokers as well as being the liaison between COMPANY and such persons.
Authority and Description of Services. During the term of this Consulting Agreement CONSULTANT will furnish some or all of the various services from time to time as requested by the CORPORATION and agreed upon by the parties as described herein as follows:
a. CONSULTANT shall: Act as liaison between CORPORATION and its current suppliers and new suppliers; Act as advisor to CORPORATION with respect to existing and potential marketing of the Corporation's homeopathic and other products; Advise the CORPORATION with respect to communication and information, which may include, but is not necessarily limited to, preparation of magazine advertorials, and assistance in the technical writing of a business plan and business overview to be used on the CORPORATION'S website. Locate, interview and supervise the hiring of key management and sales personnel for the Corporation's business; Supervise and assist development of Corporation's website; and CORPORATION acknowledges that CONSULTANT will devote such time as is reasonably necessary to perform the services for CORPORATION, having due regard for Consultant's commitments and obligations to other businesses for which it performs consulting services. IT IS HEREBY ACKNOWLEDGED BY THE PARTIES THAT: CONSULTANT IS NOT ENGAGED TO RAISE CAPITAL OR INTRODUCE THE CORPORATION TO INVESTORS FOR SUCH PURPOSES.
Authority and Description of Services. During the term of this Consulting Agreement Consultant shall furnish some or all of the various services from time to time as requested by the Company and agreed upon by the parties as described herein as follows:
1. Consultant shall assist Company in preparing a business strategy for its customer.
2. Consultant shall provide guidance in the development of a strategic business and marketing plan for the purpose of guiding the growth of the Customer's business.
3. Consultant shall provide guidance to the Company in regard to the selection of Merger and Acquisition candidates for the Company to evaluate with the Consultant.
4. Consultant shall assist the Company in identifying business opportunities for its customer base and in evaluating these in the global markets.
5. Consultant shall not be required to perform any investment banking related activities on behalf of Company as a condition of this Agreement. For the purposes of this Agreement investment banking activities shall be defined as being any of the following:
A. The location, negotiation and/or securing of public or private debt for Company.
B. The location, negotiation and/or securing of any public or private equity for Company.
C. The production of any documentation that is to be utilized for the purposes and activities as relating to the activities as outlined in subheadings (1) and (2) above.
D. Any other activities as may normally be associated with the practice of investment banking.
Authority and Description of Services. During the term of the Agreement, IIRG shall furnish various professional services and advice as specifically requested by the COMPANY. Said professional services and advice shall relate to those services, items and/or subjects described in Addendum "A", which is attached hereto and made a part hereof by this reference, and/or as follows:
A. IRRG shall act, generally, as corporate investor relations counsel, essentially acting (I) as liaison between COMPANY and its shareholders; (2) as advisor to COMPANY with respect to existing and potential market makers, broker-dealers, underwriters, and investors as well as being the liaison between COMPANY and such persons; and (3) as advisor to COMPANY with respect to communications and information, including but not necessarily limited to preparation of a one page magazine advertorial, writing of a corporate profile, preparation of a research report, planning, developing, designing, organizing, writing and distributing such communications and information, bookings and organizing road shows.
B. IIRG shall assist in establishing, and advise COMPANY with respect to interviews of COMPANY officers by the financial media; interviews of COMPANY officers by analysts, market makers, broker-dealers, and other members of the financial community.
C. IIRG shall seek to make COMPANY , its management, its products, and its financial situation and prospects known to the financial media, financial publications, broker-dealers, mutual funds, institutional investors, market makers, analysts, investment advisors, and other members of the financial community as well as the public generally.
D. IIRG, in providing the foregoing services, shall be responsible for all costs of providing the services, including but not limited to out-of-pocket expenses for postage, delivery service (e.g., Federal Express, United Parcel Service, DHL Worldwide Service), telephone charges, compensation to third party vendors, copywriters, xxxxx xxxxxxx, art and graphic personnel, subcontractors, printing, etc.
E. IIRG's compensation under this Agreement shall be deemed to include the above-mentioned costs and expenses, unless otherwise expressly provided herein.
Authority and Description of Services. During the term of this Agreement REVIIV shall furnish various professional services for AFFW as requested by AFFW. REVIIV shall not disseminate any information to the public regarding AFFW without the express written approval and consent of AFFW or authorized agent. Said professional services and advice shall relate to those services, items and/or subjects described in the Preamble on page 1 of this document, and on page 2, paragraph 6 above, wherein REVIIV and the services it provides are described, and/or as follows:
a. REVIIV shall act, generally, to disseminate non-financial related press releases of AFFW to the REVIIVclients, and other such promotional material as may be provided to REVIIV by AFFW, by essentially acting (1) as liaison between AFFW and AFFW’s shareholders and potential investors;
b. REVIIV shall seek to make AFFW, its management, its products, and its growth strategy, known to existing shareholders but enhance this by simultaneous distribution through financial media, financial publications, broker-dealers, mutual funds, institutional investors, investment advisors, and other members of the financial community as well as the general public.
c. REVIIV, in providing the foregoing services, shall be solely responsible for payment of all costs of providing the services, including, but not limited to, out-of-pocket expenses for postage, delivery service (e.g., Federal Express), telephone charges. These costs include compensation to third party vendors, copywriters, sxxxx xxxxxxx, art and graphic personnel, subcontractors, printing, etc.
d. REVIIV’s compensation under this Agreement shall be deemed to include the above-mentioned costs and expenses, unless otherwise expressly provided herein.
Authority and Description of Services. During the term of this Agreement, Consultant shall furnish some or all of the various services from time to time as requested by the Client and agreed upon by the parties as described below: Provide an independent research report and summary PowerPoint presentation, written by a qualified Chartered Financial Analyst (CFA), which is distributed to a combination of broker-dealers, institutions, or micro and small-cap funds. Provide a listing of interested recipients of the research report to the Client and assist the Client in coordinating appointments with any interested recipient. Provide the necessary updates on the report and PowerPoint over the term of the Agreement as seen fit by the Client and the appointed CFA. Assist Client’s internal PR department or outside PR firms with making the report available for public access. Any coordination of efforts will be approved by the Client before any communication between Consultant and any outside firm. Provide comprehensive and strategic M&A advisory services that includes: · Acquisition Due Diligence · Business Valuations and Evaluations · Analysis of potential candidates for a merger or acquisition · Transaction Structuring · Merger Integration · Post-Merger Integration Consultant shall not be required to perform any investment banking related activities on behalf of Client as a condition of this Agreement. For the purposes of this Agreement investment-banking activities shall be defined as being any of the following:
i. The location, negotiation and/or securing of public or private debt for Client.
ii. The location, negotiation and/or securing of any public or private equity for Client.
iii. The production of any documentation that is to be utilized for the sole purpose and activity as relating to subheadings (1) and (2) above.
iv. Any other activities as may normally be associated with the practice of investment banking.
Authority and Description of Services. During the term of this Consulting Agreement CONSULTANT shall furnish various professional services and advice as specifically requested by Brad Nordling, who is an auxxxxxxxx xxxxxsentative of COMPANY, and holds the positions and/or titles of President and Director of COMPANY. Said professional services and advise shall relate to those services, items and/or subjects described as follows: a. CONSULTANT shall act, generally through J. Ed Dhonau, as head of mergers xxx xxxuisitions for the COMPANY, essentially acting as (1) liaison between COMPANY and prospective opportunities for acquisitions, mergers, and the financing related, and (2) advisor to COMPANY with respect to communications and information. b. CONSULTANT shall seek to make COMPANY, its management, products, financial situation and prospects known to the financial media, financial publications, broker-dealers, mutual funds, institutional investors, market makers, analysts, investment advisors and other members of the financial community as well as the public generally, all with the purpose of strengthening the COMPANY for purposes of enabling the COMPANY to build its asset base by acquisitions and mergers. d. CONSULTANT, in providing the foregoing services, shall be responsible for tracking and paying all costs of providing the services, including, but not limited to, out-of-pocket expenses for postage, delivery service (e.g., Federal Express), telephone charges, traveling expenses, etc.
