Authority Board. If the grievance is not resolved to the satisfaction of the aggrieved at Step Two above, the aggrieved shall, within ten (10) working days after the response at Step Two, submit the grievance to the Authority Board, or a committee thereof. The Authority Board, or committee thereof, shall hold a hearing on such grievance within thirty (30) calendar days thereafter to render its decision. With respect to grievances not involving the express terms of this Agreement, the Authority Board decision shall be final and binding upon the parties.

Authority Board. A. The Authority shall be governed by a Board (the “Authority Board”) that shall exercise the powers of the Authority. The Authority Board may delegate to its staff, volunteers and committees such powers as it deems appropriate, as long as such delegation does not create a conflict of interest or is otherwise unlawful. B. The initial Authority Board shall be comprised of nine (9) members. No member of the Authority Board shall be a current employee of the Authority, nor a member of another fire department with whom the Authority has a contract. The legislative body of each Incorporating Municipality shall appoint two (2) members to the Authority Board. Each member of the Authority Board appointed shall be a resident of the municipality making the appointment. Except for the first appointments and the appointment of the rotating member described below, each member of the Authority Board shall serve for a term of three (3) years, or until his or her successor is appointed and assumes office. For the first appointments, the Village of Ashley and Xxxx Township shall each initially appoint two (2) members of the Authority Board for a term of three (3) years; Xxxxxxxx Township and Washington Township shall each initially appoint two (2) members of the Authority Board for a term of two (2) years. One (1) additional member of the Authority Board shall be appointed for a term of two (2) years by an Incorporating Municipality on a rotating basis, beginning with the Village of Ashley, then Xxxx Township, then Xxxxxxxx Township, then Washington Township, then repeating that rotation for the life of this Agreement or until this section is duly amended by the Incorporating Municipalities. After the initial appointments, regular appointments to the Authority Board shall be made by the Incorporating Municipalities no later than November 30 of each year and newly appointed members shall begin their terms on January 1 of each year. C. Any Authority Board member appointed by a legislative body may be removed from the Authority Board by the legislative body that made the appointment following written reasons and a public hearing. Any vacancy that occurs on the Authority Board shall be filled by the legislative body that made the original appointment for the balance of the term being filled. D.
