Authorized Customers. (a) Reseller may sell Products solely to Authorized Third-Party Resellers or End Users.
Authorized Customers. Retailer is authorized to sell Products to End Users. An “End User” is a purchaser of the Products who is the ultimate consumer of the Products and who does not intend to resell the Products to any third party. Retailer shall not sell or transfer Products to any person or entity Retailer knows or has reason to know intends to resell the Products. Retailer shall not sell or transfer a quantity of the Products to any individual greater than that typically purchased for personal use. Retailer shall not sell, ship, invoice, or promote the Products outside the United States of America.
Authorized Customers. BPA use will be restricted to AF executive office and conference furniture acquisitions or any projects utilizing AF funds. Contracting Officers (CO) or Government Purchase Card (GPC) holders buying AF executive office and conference furniture are authorized to use these BPAs. Other service departments and federal agencies are not authorized to use these BPAs unless they have a joint base agreement with the AF or AF base. For example, USACE may use the BPAs to execute a MILCON on behalf of an Air Force installation. Air Force Executive Office and Conference Furniture BPAs are Mandatory Use for all AF CONUS installations. In any situation where the purchase is made by an AF installation/buying office for a non-AF customer, the buying office should review any local policies/host tenant agreements and request a waiver for use of the program. Although it is not mandatory for OCONUS, AF Reserves, and Air National Guard to use these BPAs, it is highly encouraged.
Authorized Customers. (a) Reseller may sell Products solely to Authorized Third-Party Resellers or End Users.
(b) An “Authorized Third-Party Reseller” is an individual or business entity that: (i) purchases Products from Reseller and resells the Products as part of a commercial enterprise; (ii) has received and agrees to adhere to the Xxxxxxxxx Xxxx Company Authorized Third-Party Reseller Policy; and (iii) has not had its Authorized Third-Party Reseller status revoked by Company.
(c) An “End User” is any purchaser of Products who is the ultimate consumer of the Products and does not intend to resell the Products to any third party.
(d) If any customer or prospective customer of Reseller that seeks to purchase Products for resale is not yet an Authorized Third-Party Reseller, Reseller shall immediately provide the Xxxxxxxxx-Xxxx Company Authorized Third-Party Reseller Policy to such customer or prospective customer. If such customer or prospective customer accepts the terms in the Xxxxxxxxx-Xxxx Company Authorized Third-Party Reseller Policy, Reseller may thereafter sell Products to such customer, which shall thereafter be an Authorized Third-Party Reseller unless and until Company revokes such status. Authorized Third-Party Resellers are determined by Company in its sole discretion.
(e) Reseller shall distribute policies, updates to policies, product information, educational materials, and other information to its Authorized Third-Party Reseller customers as requested by Company from time to time.
(f) Reseller shall cease or suspend sales to any customer promptly upon Company’s request.
(g) Notwithstanding Sections 2(b) and 2(d), Reseller shall not sell Products to or through any entity that operates an online marketplace, including, without limitation, Xxxxxx.xxx, Xxxxxxx.xxx, or Xxx.xxx, without the prior written consent of Company.
(h) Reseller shall not sell, ship, invoice, or promote Products outside the United States or to anyone Reseller knows or has reason to know intends to ship Products outside the United States without Company’s prior written consent, except that Reseller may sell Products to End Users in Canada.
Authorized Customers. 3.1. U.S. Government Customer Use. Use of and access to the Service when hosted in any U.S. SnowGov Region is limited to U.S. Government Customers.
Authorized Customers. All end users at their business establishments, except Public Water Systems as defined in the Federal Safe Drinking Water Act, and except as related in any way to hemodialysis applications. In addition, vended water may be offered to end users from the Approved Locations (as such term is defined in the applicable franchise agreement between Culligan Parent and the franchisee) and from other business establishments. TERRITORIAL RESTRICTION No territorial restriction but no Approved Location outside territory.
Authorized Customers. Authorized Customers are assigned to Sales Agent by name and/or territory. Sales Agent understands and agrees that during the course of this Agreement, changes may be needed by Apple in the solicitation of, sale, marketing, installation, demonstration and/or distribution of Apple Products to K-12 institutional customers. Such changes, which will be made by Apple in its sole discretion, could result from changes in federal, state and/or local laws, competitive bidding, or other requirements. Apple reserves the right to (1) discontinue or modify Sales Agent's assignment of any or all of the assigned Authorized Customers at any time, with or without cause, upon written notice to Sales Agent, and (2) authorize other entities to solicit the sale of, sell, market, install, demonstrate, distribute or otherwise promote Apple Products to Authorized Customers assigned to Sales Agent. At Apple's sole discretion the Sales Agent may or may not be compensated for these sales.
Authorized Customers. Dealer shall only sell the Products to end-users. Wholesale sales of Products or sales of Products to other business entities is strictly prohibited.
Authorized Customers. Distributor is authorized to sell Products for purposes of resale only to Authorized Resellers. Distributor shall not sell the Products to End Users without the prior written consent of Xxxxxx. An “Authorized Reseller” is a Health Care Professional (as defined below) or a business entity that: (i) purchases Products from Xxxxxx or an Authorized Distributor and resells the Products as part of a healthcare practice or health-related commercial enterprise; (ii) has credentials which have been verified by Xxxxx or Distributor; (iii) has received and agrees to adhere to the Xxxxx Authorized Resale Policy; and (iv) has not had its Authorized Reseller status revoked by Xxxxxx. A “Health Care Professional” is an individual who holds a degree or other qualification from an accredited school or program and/or a license or certificate in good standing in one of the fields/occupations designated as approved by Xxxxxx, which list may be amended by Xxxxxx from time to time in its sole and absolute discretion. An “End User” is any purchaser of the Product who is the ultimate consumer for whom the Product was designed and who does not intend to resell the Product to any third party. Distributor shall cease or suspend sales to any customer promptly upon request of Xxxxxx. Such customers will be communicated to Distributor via Xxxxxx’x “Do Not Sell” List, which may be published by Xxxxxx and communicated to Distributor from time to time. This Section 1(a) shall not apply where prohibited by law, e.g., the European Union (the “EU”).
Authorized Customers. Distributor shall not sell the Products to end users without the prior written consent of H&C Animal Health. Products sold for purposes of resale shall be sold only to Authorized Resellers. An “Authorized Reseller” (i) is an individual or business entity that purchases and resells the Products as part of a commercial retail enterprise, not including veterinary offices or clinics;
