Bargaining Employees. Primex hereby acknowledges and agrees that it shall be the "successor employer" to Oxxx under the collective bargaining agreements listed on Schedule 6.07 (the "Collective Bargaining Agreements"). Effective as of the Effective Time, Primex shall adopt a pension plan and establish a pension trust for the purpose of funding benefits which accrue under the Collective Bargaining Agreements following the Effective Time. Credited service accrued under the Oxxx Pension Plan prior to the Effective Time with respect to the Collective Bargaining Agreements will be recognized under such Primex pension plan for the purpose of meeting all vesting and early retirement requirements thereunder (but not for the purpose of calculating benefit service credit thereunder). No Oxxx pension assets for bargaining employees will be transferred to Primex or to a Primex pension trust for bargaining employees. The Oxxx Pension Plan shall be responsible for pension benefits of Olin's bargaining employees which have accrued under the Collective Bargaining Agreements prior to the Effective Time.

Bargaining Employees. Seller is a party to a collective bargaining agreement covering Bargaining Employees set forth on Schedule 3.11(f) (and which also constitutes a Contract) (the “Collective Bargaining Agreement”). On and after the Closing Date, Purchaser agrees to assume the Collective Bargaining Agreement (including the Huffy Savings Plan for the Hourly-Rate Employees of Huffy Sporting Goods Division and the Huffy Pension Plan for the Hourly-Rate Employees of Huffy Sporting Goods Division (the "Plans") maintained under the Collective Bargaining Agreement) with respect to the performance of services by Bargaining Employees after the Closing Date who accept employment with Purchaser.
