BCBSM. BCN will not permit a group to separate its Medicare and non-Medicare retirees between carriers except when the group offers a BCBSM or BCN group Medicare Advantage plan. Applies to all retiree-only plans and ASC groups.

BCBSM. BCN reserves the right to request a copy of one of the following: Group Health Plan document, Summary Plan Description, Section 125 Cafeteria Plan document or union contract. Document submitted must clearly define retiree eligibility requirements including years of service, age of retirement, and employer contributions amount, surviving spouse options and level of benefits. A letter from Group will not be accepted in lieu of one of these required documents.
BCBSM. BCN, in its sole discretion, may immediately terminate this Agreement with or without cause at any time. BCBSM/BCN shall terminate access to the Company, Principal Administrator, any Delegated Administrator and any Users and BCBSM/BCN shall have no liability in connection with such termination.
BCBSM. The DCC agrees to make available to BCBSM, as the funding agency, data from the MTQIP clinical registry on which to judge participating sites’ participation in the MTQIP clinical registry and quality improvement initiatives. This information may include the timeliness, completeness, and quality of the participating sites data submissions, and their rates of attendance at MTQIP meetings, as well as responsiveness to DCC data queries and to resolving patterns of problems with regard to data validity. The DCC will also provide BCBSM Foundation information regarding the average and range of performance within the collaborative as a whole so that it may assess the extent to which the overall effort is succeeding in improving trauma surgery care. The DCC will not however make available to BCBSM confidential information on the performance of individual sites, other than performance/participation in quality improvement initiatives as part of the annual CQI index measures and scoring report.
BCBSM and BCN shall give Provider sixty (60) days prior written notice of substantial modifications to the Specialty Pharmacy program in accordance with section 3.1 (F). Other changes will be effective with notice.
BCBSM is a major participant in and is familiar with the Minnesota healthcare market and knows of or has developed relationships with healthcare consumers, hospitals, physicians, employers, insurance companies and other healthcare related entities.
BCBSM in its sole discretion, shall have the option to rescind this Agreement in its entirety if BCBSM determines in good faith that the total dollar amount of Relevant Purchases (as defined in the Plan of Allocation) by Settlement Class Members who validly request exclusion materially undermines the value of the Settlement to BCBSM. In the event that Aetna Inc. requests exclusion, BCBSM agrees that it will not include the Relevant Purchases of Aetna Inc. in determining whether the total dollar amount of Relevant Purchases by Settlement Class Members who validly request exclusion materially undermines the value of the Settlement to BCBSM.

  • Collaboration Management Promptly after the Effective Date, each Party will appoint a person who will oversee day-to-day contact between the Parties for all matters related to the management of the Collaboration Activities in between meetings of the JSC and will have such other responsibilities as the Parties may agree in writing after the Effective Date. One person will be designated by Merck (the “Merck Program Director”) and one person will be designated by Moderna (the “Moderna Program Director,”) together will be the “Program Directors”. Each Party may replace its Program Director at any time by notice in writing to the other Party.   • Baxter and Nexell shall cooperate in any action taken by a third party solely involving a nullity action, opposition, reexamination or any other action taken by such third party alleging the invalidity or unenforceability of any Licensed Intellectual Property. Both parties agree to share equally in the cost of the defense of such Licensed Intellectual Property.

  • Sponsorship As required by section 286.25, F.S., if the Provider is a non-governmental organization which sponsors a program financed wholly or in part by State funds, including any funds obtained through this Contract, it shall, in publicizing, advertising, or describing the sponsorship of the program state: “Sponsored by (Provider's name) and the State of Florida, Department of Children and Families”. If the sponsorship reference is in written material, the words “State of Florida, Department of Children and Families” shall appear in at least the same size letters or type as the name of the organization.

  • Third Party Vendors Nothing herein shall impose any duty upon DST in connection with or make DST liable for the actions or omissions to act of the following types of unaffiliated third parties: (a) courier and mail services including but not limited to Airborne Services, Federal Express, UPS and the U.S. Mails, (b) telecommunications companies including but not limited to AT&T, Sprint, MCI and other delivery, telecommunications and other such companies not under the party’s reasonable control, and (c) third parties not under the party’s reasonable control or subcontract relationship providing services to the financial industry generally, such as, by way of example and not limitation, the National Securities Clearing Corporation (processing and settlement services), Fund custodian banks (custody and fund accounting services) and administrators (blue sky and Fund administration services), and national database providers such as Choice Point, Acxiom, TransUnion or Lexis/Nexis and any replacements thereof or similar entities, provided, if DST selected such company, DST shall have exercised due care in selecting the same. Such third party vendors shall not be deemed, and are not, subcontractors for purposes of this Agreement.

  • Cornerstone shall notify the LLC and confirm such advice in writing (i) when the filing of any post-effective amendment to the Registration Statement or supplement to the Prospectus is required, when the same is filed and, in the case of the Registration Statement and any post-effective amendment, when the same becomes effective, (ii) of any request by the Securities and Exchange Commission for any amendment of or supplement to the Registration Statement or the Prospectus or for additional information and (iii) of the entry of any stop order suspending the effectiveness of the Registration Statement or the initiation or threatening of any proceedings for that purpose, and, if such stop order shall be entered, Cornerstone shall use its best efforts promptly to obtain the lifting thereof.

  • Health Plans The health plans offered and benefits provided by those plans shall be those approved by the City's JLMBC and administered by the Personnel Department in accordance with LAAC Section 4.
