Beneficial Occupancy Period. Tenant may enter the Premises upon Substantial Completion of the Premises to conduct business therein, provided that prior to any such entry Tenant shall deliver to Landlord evidence the insurance required under Section 11.1 of this Lease has been obtained. Any such entry shall be on the terms of this Lease, but no Basic Rent, Operating Costs or Taxes under Section 4.2 of this Lease shall accrue during the period Tenant so enters the Premises prior to the Commencement Date. However, Tenant shall pay Tenant’s Proportionate Share of Electrical Costs during such period, notwithstanding anything else in this Lease. Tenant shall conduct its activities therein at its risk and expense.

Beneficial Occupancy Period. In the event the Tenant Improvements to be constructed in the Expansion Premises are Substantially Complete prior to the Expansion Commencement Date, Tenant will be permitted to occupy the Expansion Premises and commence and continue its business operations from the Expansion Premises from the date of substantial completion until such Expansion Commencement Date (the “Beneficial Occupancy Period”), provided that prior to such occupancy (A) Landlord shall be in receipt of a certificate of insurance in compliance with the Lease, and (B) to the extent the same is required by the city in which the Building is located, a temporary certificate of occupancy (or its equivalent, e.g., a final approval by the building inspector) shall have been issued by the appropriate governmental authorities for the Expansion Premises. Other than Tenant’s obligation to pay Minimum Monthly Rental, all of the terms and conditions of the Lease shall apply during any Beneficial Occupancy Period, specifically including Tenant’s obligation to pay the cost of supplying all utilities during the Beneficial Occupancy Period.
Beneficial Occupancy Period. If the Tenant Improvement Work is substantially complete before August 1, 2018, then (A) during the period elapsing between such date that the Tenant Improvement Work is substantially completed and July 31, 2018 (such period, if applicable, being the “Beneficial Occupancy Period”), Tenant shall be entitled, in Tenant’s sole and absolute discretion, to conduct business operations from the Premises and (B) the Commencement Date shall be conclusively deemed to be August 1, 2018. If Tenant elects to conduct business operations prior to August 1, 2018 in accordance with the immediately-preceding sentence, other than the obligation to pay Rent with respect to the Premises pursuant to Paragraph 1.8 of this Lease, during such Beneficial Occupancy Period, all of Tenant’s obligations hereunder with respect to the Premises (including, without limitation, Tenant’s obligation to pay (x) Tenant’s percentage share of Operating Expenses, (y) the cost and expense of any Services (as defined in Paragraph 9 below) and (z) any and all other Additional Rent) shall apply during such Beneficial Occupancy Period.
Beneficial Occupancy Period. Notwithstanding anything herein to the contrary, Tenant shall have the right to enter the Premises, forty-five (45) days prior to the estimated Commencement Date in order to install its cabling and wiring for telephone service and modular furniture, provided that Tenant shall not materially interfere with Landlord's substantial completion of the Premises. Tenant will not be required to pay for rent, utilities or operating expenses until the Commencement Date, but shall not be allowed to conduct business operations in the Premises during the forty five (45) day period contemplated by this section.
Beneficial Occupancy Period. Notwithstanding anything to the contrary contained herein, Tenant shall have the right to commence business from the Premises and install furniture, fixtures and equipment in the Premises during the period (the "Beneficial Occupancy Period") from the date of Substantial Completion of the Landlord Work through the day prior to the Commencement Date, provided that (a) a certificate of occupancy (or its equivalent) shall have been issued by the appropriate governmental authorities for the Premises, and (b) all of the terms and conditions of this Lease shall apply during the Beneficial Occupancy Period (if any), except that Tenant's obligation to pay Base Rent and Tenant's Pro Rata Share of Expenses and Taxes shall not apply during the Beneficial Occupancy Period. Prior to Tenant's entry into the Premises as permitted by the terms of this Section 2, Tenant shall submit certificates of insurance reasonably acceptable to Landlord.
Beneficial Occupancy Period. Notwithstanding anything to the contrary contained in this Lease, Tenant shall have the right to commence business from the Must Take Space during the period (the "Beneficial Occupancy Period") from the Lease Commencement Date until the Must Take Commencement Date provided that all of the terms and conditions of this Lease shall apply during the Beneficial Occupancy Period, except that Tenant's obligation to pay monthly Base Rent for the Must Take Space only shall not apply during the Beneficial Occupancy Period.

  • Early Occupancy If Tenant occupies the Property prior to the Commencement Date, Tenant's occupancy of the Property shall be subject to all of the provisions of this Lease. Early occupancy of the Property shall not advance the expiration date of this Lease. Tenant shall pay Base Rent and all other charges specified in this Lease for the early occupancy period.

  • Ready for Occupancy For purposes of Section 1.3.2 of this Agreement, the Premises shall be deemed “Ready for Occupancy” upon the substantial completion of the Tenant Improvement Work. Subject to Section 4.2 below, the Tenant Improvement Work shall be deemed to be “substantially complete” upon the completion of the Tenant Improvement Work pursuant to the Approved Construction Drawings (as reasonably determined by Landlord), with the exception of any details of construction, mechanical adjustment or any other similar matter the non-completion of which does not materially interfere with Tenant’s use of the Premises.

  • Certificate of Occupancy 16.01 Tenant will at no time use or occupy the Premises in violation of the certificate of occupancy issued for the Building. The statement in this Lease of the nature of the business to be conducted by Tenant shall not be deemed to constitute a representation or guaranty by Landlord that such use is lawful or permissible in the Premises under the certificate of occupancy for the Building.

  • Permits; Certificate of Occupancy Lender shall have received a copy of all Permits necessary for the use and operation of the Property and the certificate(s) of occupancy, if required, for the Property, all of which shall be in form and substance reasonably satisfactory to Lender.

  • Occupancy After Foreclosure Any sale of the Mortgaged Property or any part thereof will divest all right, title and interest of Mortgagor in and to the property sold. Subject to applicable law, any purchaser at a foreclosure sale will receive immediate possession of the property purchased. If Mortgagor retains possession of such property or any part thereof subsequent to such sale, Mortgagor will be considered a tenant at sufferance of the purchaser, and will, if Mortgagor remains in possession after demand to remove, be subject to eviction and removal, forcible or otherwise, with or without process of law.

  • Lessee as Prior Owner/Occupant The warranties made by Lessor in Paragraph 2 shall be of no force or effect if immediately prior to the Start Date Lessee was the owner or occupant of the Premises. In such event, Lessee shall be responsible for any necessary corrective work.

  • Expansion Premises In addition to the Original Premises, commencing on the Expansion Premises Commencement Date (as defined below), Landlord leases to Tenant, and Tenant leases from Landlord, the Expansion Premises.

  • Tenant’s Entry Into the Premises Prior to Substantial Completion Subject to the terms hereof and provided that Tenant and its agents do not interfere with, or delay, Contractor’s work in the Building and the Premises, at Landlord’s reasonable discretion, Contractor shall allow Tenant access to the Premises prior to the Substantial Completion of the Premises for the purpose of Tenant installing any necessary furniture, equipment or fixtures (including Tenant’s data and telephone equipment) in the Premises. Prior to Tenant’s entry into the Premises as permitted by the terms of this Section 6.01, Tenant shall submit a schedule to Landlord and Contractor, for their approval, which schedule shall detail the timing and purpose of Tenant’s entry, and Landlord will reasonably cooperate with Tenant to coordinate Landlord’s Contractor’s work of constructing the Tenant Improvements with such access by Tenant for the installation of Tenant’s furniture, equipment and fixtures. In connection with any such entry, Tenant acknowledges and agrees that Tenant’s employees, agents, contractors, consultants, workmen, mechanics, suppliers and invitees shall fully cooperate, work in harmony and not, in any manner, interfere with Landlord or Landlord’s Contractor, agents or representatives in performing work in the Building and the Premises, or interfere with the general operation of the Building and/or the Project; and such entry shall be subject to the site management rules of Landlord and Landlord’s Contractor. If at any time any such person representing Tenant shall not be cooperative or shall otherwise cause or threaten to cause any such disharmony or interference, including, without limitation, labor disharmony, and Tenant fails to immediately institute and maintain corrective actions as directed by Landlord, then Landlord may revoke Tenant’s entry rights upon twenty-four (24) hours’ prior written notice to Tenant. Tenant acknowledges and agrees that any such entry into and occupancy of the Premises or any portion thereof by Tenant or any person or entity working for or on behalf of Tenant shall be deemed to be subject to all of the terms, covenants, conditions and provisions of the Lease, excluding only the covenant to pay Rent (until the occurrence of the Lease Commencement Date). Tenant further acknowledges and agrees that Landlord shall not be liable for any injury, loss or damage which may occur to any of Tenant’s work made in or about the Premises in connection with such entry or to any property placed therein prior to the Lease Commencement Date, the same being at Tenant’s sole risk and liability. Tenant shall be liable to Landlord for any damage to any portion of the Premises, including the Tenant Improvement work, caused by Tenant or any of Tenant’s employees, agents, contractors, consultants, workmen, mechanics, suppliers and invitees. If the performance of Tenant’s work in connection with such entry causes extra costs to be incurred by Landlord or requires the use of any Building services, Tenant shall promptly reimburse Landlord for such extra costs and/or shall pay Landlord for such Building services at Landlord’s standard rates then in effect. In addition, Tenant shall hold Landlord harmless from and indemnify, protect and defend Landlord against any loss or damage to the Building or Premises and against injury to any persons caused by Tenant’s actions pursuant to this Section 6.01.

  • Temporary Space Upon reasonable prior notice from Tenant to Landlord, Landlord agrees to provide Tenant with temporary space (the "Temporary Space") on either the second floor of Building A or the second floor of Building B of a size and in a location to be mutually agreed upon by Landlord and Tenant for a period of time commencing no earlier than sixty (60) days from the date of Tenant's notice requesting that the Temporary Space be made available and expiring on the Commencement Date of this Lease. Tenant's occupancy of the Temporary Space shall be subject to all of the terms and conditions of this Lease to the extent appropriate, except that (i) Annual Fixed Rent for the Temporary Space shall be payable at the annual rate equal to the product of (x) $4.00 and (y) the rentable floor area of the Temporary Space, (ii) for the purposes of determining Tenant's payments on account of Landlord's Operating Expenses under Section 2.6 above and Landlord's Tax Expenses under Section 2.7 with respect to the Temporary Space, the "Rentable Floor Area of the Premises" shall be deemed to be the rentable floor area of the Temporary Space and (iii) the Temporary Space shall be delivered to Tenant in its "as is" condition and no improvement allowance or brokerage commission shall be payable with respect thereto. In addition, it is acknowledged and agreed that if Tenant shall elect to lease any Temporary Space hereunder, Tenant shall be occupying such Temporary Space while Landlord is proceeding with components of the Base Building Work in Buildings A and B and accordingly that Tenant shall use and occupy the Temporary Space in such as manner as to minimize any unreasonable interference with Landlord's performance of the Base Building Work.
